About this file
This is a Non-Competitive Procurement Justification Memorandum for a simplified acquisition threshold (SAT) purchase by the Naval Surface Warfare Center Carderock Division (NSWCCD), dated April 15, 2026.
The procurement is for one Skydio X10D Unmanned Aerial Vehicle (UAV) equipped with a Skydio NightSense infrared attachment, to be procured from the sole source manufacturer, Skydio, Inc. (3000 Clearview Way, San Mateo, CA 94402). The UAV will be operated by Carderock Aerial Vehicle Operators to capture aerial infrared signature data. The justification for non-competitive procurement is based on brand name and unique technical requirements. Specifically, the Skydio X10D is one of the few UAVs approved on the BlueSUAS list for Department of Defense operations, features a thermal sensor with a proprietary file format compatible with Codes 741 and 742 processing software, and represents the only platform for which Carderock has completed qualification flights and trained certified operators. Procuring alternative UAVs would result in software incompatibility, system failure, and substantial additional labor costs for operator retraining. The memorandum documents technical certification of these facts and references compliance with FAR 13.106-1(b)(1)(i) and FAR 8.405-6 governing single-source acquisitions under the simplified acquisition threshold.

NSWCCD SAP Non-Competitive Procurement Justification Memo Effective April 2025
MEMORANDUM FOR FILE
FROM:
CODE: 742
TO: Code 02
DATE: 4/15/2026
SUBJECT: Non-Competitive Procurement Justification Memo for Actions Under SAT
I. BACKGROUND
1. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available.
2. FAR 8.405-6 allows for limiting sources for orders or BPAs under Federal Supply Schedules under certain circumstances or for items peculiar to one manufacturer
3. As required by FAR 13.106-3(b)(3)(i), FAR 8.405-6(a)(1), or FAR 8.405-6(b)(2), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.
II. DESCRIPTION OF ITEM OR SERVICE (Include manufacture/sole source name and address.)
Purchase of quantity one (1) Skydio X10D Unmanned Aerial Vehicle (UAV) with a Skydio NightSense infrared (IR) Attachment. This UAV will be operated by Carderock Aerial Vehicle Operators (AVOs) to capture aerial Infrared signature data.
Manufacturer: Skydio, Inc.
Address: 3000 Clearview Way, San Mateo, CA 94402 Phone: 631-796-7275 POC: John McLaughlin | john.mclaughlin@skydio.com
III. BASIS FOR DETERMINATION FOR USE OF OTHER THAN FULL & OPEN COMPETITION
A. BRAND NAME. The item required must be a brand name product, or feature of a product, particular to one manufacturer.
1. Restrictive Rights. The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.
2. Exclusive Licensing Agreements. The item or service is only available from the Original Equipment Manufacturer (OEM).
3. Federal Supply Schedule (FSS): IAW FAR 8.405-6(b).
NSWCCD SAP Non-Competitive Procurement Justification Memo Effective April 2025
4. Other Reasons.
The Skydio X10D is the necessary branded UAV for this procurement. The Skydio X10D is one of the few
UAVs that are on the BlueSUAS list that allows for DoD operations.
The thermal sensor on the Skydio X10D is a unique sensor that records data in a specific file format that is compatible with Code 741 and Code 742 software to process imagery collected during field testing. Failure to procure the Skydio X10D will result in a failure to procure a system that is compatible with currently designed Carderock processing programs.
Additionally, the Skydio X10D is the UAV that Carderock has performed qualification flights with, therefore failure to procure Skydio Inc. UAVs would result in additional labor costs to train certified Aerial Vehicle Operators (AVOs) to perform mission critical operations.
B. SOLE SOURCE. (select all that apply)
1. Restrictive Rights. The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.
2. Exclusive Licensing Agreements. The item or service is only available from the Original Equipment Manufacturer (OEM), or there is only one authorized distributor or technical representative for the OEM.
3. Other Reasons.
4. Federal Supply Schedules (FSS): IAW FAR 8.405-6(a)(1)
a. An urgent and compelling need exists, and following the procedures would result in unacceptable delays;
b. Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or
c. In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order or BPA must not have been previously issued under sole-source or limited-sources procedures.
IV. CERTIFICATIONS & APPROVALS
