About this file
This is a Specifications Manual and bidding document for the St. Joseph Public Schools Innovation Center, a Construction Manager at Risk project involving the St. Joseph Public Schools as owner, Pearson Construction Company as construction manager, and Abonmarche Consultants, Inc. as architect/engineer. The project entails the erection and interior build-out of a new 7,000 square foot metal building with a corridor connecting to an existing structure, along with associated site modifications located at 2521 Stadium Drive, St. Joseph, Michigan. Bids for multiple trade categories were due by 3:00 PM on June 29, 2018, with contracts to be awarded on or about July 6, 2018. A non-mandatory pre-bid conference was scheduled for June 20, 2018 at 10:00 AM at the project site. Work was anticipated to commence within ten calendar days after bid receipt, with substantial completion required by December 14, 2018. The preliminary construction schedule spans from July 11, 2018 through December 14, 2018, encompassing 110 construction days. Bids were submitted in sealed envelopes to St. Joseph Public Schools at 3275 Lincoln Avenue, with three copies required per bidder.
The project is structured with sixteen separate bid categories covering general trades, concrete, steel erection, roofing, doors, electrical, mechanical, plumbing, fire suppression, asphalt paving, earthwork, and miscellaneous specialties. All trade contractors serve as subcontractors to the construction manager. Bidders were required to acknowledge all addenda and submit bids with base bid amounts and any applicable alternates. The agreement form is based on AGC Document No. 604, a standard short form agreement between contractor and subcontractor. Subcontractors must maintain comprehensive insurance including commercial general liability with $1,000,000 per occurrence limits, workers compensation coverage, and automobile liability insurance, with the contractor and owner named as additional insureds. Bonding was furnished by the construction manager rather than individual subcontractors. Progress payments were to be made within fourteen days of receipt by the contractor from the owner, less retainage at a specified percentage, contingent upon receipt of applications for payment, lien waivers, and compliance documentation.

Failing to request clarification, the Bidder will be expected to overcome such conditions without additions to its Bid prices.
C. Prospective Bidders in doubt as to the true meaning of a part of the Drawings, Specifications, or other Contract Documents shall submit to the Construction Manager, not less than seven (7) days before the date of the Bid, a written request for interpretation and clarification. The reply will be in the form of an Addendum, a copy of which will be forwarded to known plan holders.

The contact should be made within the time herein required before the date scheduled for the closing of Bid, so that an Addendum can be issued to clarify the situation.
CM Project No. 218138 00 21 13 - 3
B. It is not possible to set the time allowance for the resolution of every problem; however, the time allowed shall not be less than seven (7) days before Bid date. Each party requesting a ruling under this shall be responsible for the proper evaluation of the time involved and shall submit its request in ample time, as determined by the Architect, to process it.
C. Prior to receipt of Bid, the Architect will consider proposals for substitution of materials, equipment, and methods only when such proposals are submitted in writing within the time period stated before the date and time set for receipt of Bid, and are accompanied by full and complete technical data and other information required by the Architect to evaluate the proposed substitution. The submission shall provide sufficient information to determine acceptability of such products.
D. Provide complete information on required revisions to other work to accommodate each proposed substitution.
E. Provide products as specified unless substitutions are submitted in this manner and accepted

E. In the event that delivery of addenda to Bidders is delayed, for reasons not the fault of the Bidders, the Owner may be requested to allow a reasonable extension of time for the opening of Bid, to permit inclusion of such addenda.
F. Each Bidder shall enumerate in its Bid each addendum he has received.
G. If a Bidder fails to indicate receipt of each addendum through the last addendum, issued by the Architect and Construction Manager, on its Bid Proposal, the Bid of such Bidder shall:
1. Clearly indicate that the Bidder received the addendum, such as where the addendum added another item to be Bid upon and the Bidder submitted a Bid on that item; or
2. Indicate the addendum involves only a matter of form or is one which has either no effect or has merely a trivial or negligible effect, as determined by the Construction Manager on price, quantity, quality, or delivery of the item Bid upon.
3. Failure to include either item above will be reason to deem the Bid nonresponsive.
1.10. ALTERNATIVES
A. Requested alternatives are listed on the Bid Proposal Form and are described in detail under Section 01 23 00 ALTERNATES. They must be Bid with base Bid. NOTE: The terms "alternate" and "alternative" are used interchangeably to have the same meaning in this Project Manual and on the Drawings.

CM Project No. 218138 00 21 13 - 4
C. Indicate variation of Bid price for Alternates listed on the Bid Form. Unless otherwise indicated, indicate Alternatives as a difference in Bid price by adding to or deducting from the base Bid price.
D. Each Bidder shall be responsible for bidding alternates which affect the Work of the base Bid it is bidding, regardless of whether listed or not listed on the Bid Form. If an applicable alternate(s) is not listed on the Bid Form, the Bidder shall submit the cost of said alternate(s). No additional costs will be allowed after signing of Contract for failure to Bid applicable alternates.
E. The Construction Manager retains the right to include or exclude work required by Alternates, for the sums established exercisable within one hundred twenty (120) days from and including the date of signing the Contract.
1.11. ARCHITECT'S AND CONSTRUCTION MANAGER'S COOPERATION DURING BIDDING PERIOD
A. Each Bidder is encouraged to contact the Architect and Construction Manager in the event that problems occur or questions arise in analyzing the Drawings and Specifications, where additional clarification or information would be helpful in the preparation of a proper Bid.
B. The Architect and Construction Manager will cooperate fully in connection with requests, and will provide information required, providing the Architect's and Construction Manager's ethical responsibilities are not encroached upon. This will include, upon request, providing information in order to clarify basic intentions of the Specifications; and other assistance as may be helpful in the preparation of a proper, competitive Bid.
C. It is the general policy of the Architect and Construction Manager to be as helpful as possible to Bidders, insofar as is consistent with fair and open competition.

K. An abstract summary of submitted Bid will later be made available to all bidders following Bid opening.
1.13. COMBINED BIDS
A. Bids shall be submitted for each individual Bid category. Bids may also be submitted for a combination of two or more Bid categories but may not be accepted unless individual Bids have been submitted for each Bid in the combination.
B. Separate Bid and combination Bid may be enclosed in a single envelope.
CM Project No. 218138 00 21 13 - 5
1.14. MODIFICATION OR WITHDRAWAL OF BID PROPOSAL
A. A Bid may not be modified, withdrawn, or cancelled by the Bidder after the time and date designated for the receipt of Bids, and Bidder so agrees in submitting its Bid.
B. Prior to the time and date designated for receipt of Bids, Bids submitted early may be modified or withdrawn only by notice to the party receiving Bids at the place and prior to the time designated for receipt of Bids.
C. Withdrawn Bids may be resubmitted up to the time designated for the receipt of Bids.
1.15. OPENING OF BIDS
A. Bids will be opened publicly after time for receipt of Bids. Bidders may be present. The Owner and Construction Manager have the right to accept or reject any and all Bids presented.
1.16. DISQUALIFICATION
A. The Owner and the Construction Manager reserve the right to reject each and every Bid, to waive formalities or informalities in bidding, to accept or reject alternates regardless of their order or sequence.
B. The right is reserved to reject a Bid where an investigation of the available evidence of information does not satisfy the Owner or the Construction Manager that the Bidder is responsible to perform the terms of the Contract Documents.
C. Only “bona fide” Bids in a definite stated amount, without special clauses governing price of labor and material increases, will be considered. The Contract shall not include what is commonly known as an “Escalator Clause".
D. Bids which contain qualifications or conditions that are contrary to the text or intent of the Contract Documents, and which are inserted in the Bid for the purpose of limiting or otherwise qualifying the responsibility of the Bidder, outside of the text or intent of the Contract Documents, will be determined to be nonresponsive.
E. Failure to submit the requested information with the Bid shall be grounds for rejecting the Bid.
F. The Bidder acknowledges the right of the Owner to reject each Bid and to waive informalities or irregularities in Bid received. In addition, the Bidder recognizes the right of the Owner to reject a Bid if the Bidder failed to submit the data required by the bidding Documents or if the Bid is incomplete or irregular.
1.17. DETERMINATION OF LOWEST RESPONSIBLE BID
A. The Pearson Construction Company will award the Contract for the Work to the Bidder submitting the lowest responsive Bid. In determining which Bid is the lowest responsive Bid, the Owner and Construction Manager may take into consideration not only the amount of the Bid but also:
1. Whether the Bidder has submitted a Bid or quote that conforms in all material respects to the Contract Documents.
2. Whether the Bidder has submitted a Bid that complies specifically with the Invitation to Bid and the Instructions to Bidders.
3. Whether the Bidder has complied with all applicable statutes.
4. The ability and capacity of the Bidder to perform the Work.
5. The integrity, character, and reputation of the Bidder.
6. The competence and experience of the Bidder.
B. Owner and Construction Manager reserve the right to reject any or all Bids, including without limitation, nonconforming, nonresponsive, unbalanced, or conditional Bids. Owner and CM further reserve the right to reject the Bid of any Bidder whom it finds, after reasonable inquiry and evaluation, to not be responsible. The Owner and CM may also reject the Bid of any Bidder if the
CM Project No. 218138 00 21 13 - 6
Owner or CM believes that it would not be in the best interest of the Project to make an award to that Bidder. The Owner and CM also reserve the right to waive all informalities not involving price, time, or changes in the Work and to negotiate contract terms with the Successful Bidder.
C. In addition to the above items; the Owner will consider, in awarding Work, if the intent of the Preliminary Construction Schedule and completion of Work can be met within the specified number of consecutive calendar days.
D. More than one Bid for the same Work from an individual or entity under the same or different names will not be considered. Reasonable grounds for believing that any Bidder has an interest in more than one Bid for the Work may be cause for disqualification of that Bidder and the rejection of all Bids in which that Bidder has an interest.
E. Bids will be evaluated on the base Bid price. After determination of a successful bidder, consideration will be given to Alternates and Bid price adjustments. The Owner and the Construction Manager shall have the right to accept Alternates in any order or combination and to determine the successful Bidder on the basis of the sum of the Base Bid and the Alternates accepted.
F. In evaluating Bids, the Construction Manager will consider whether or not the Bids comply with the prescribed requirements, and such alternates, unit prices, and other data, as may be requested in the Bid Form or prior to the Notice of Award.
G. In evaluating Bidders, Construction Manager will consider the qualifications of Bidders and may consider the qualifications and experience of Subcontractors, Suppliers, and other individuals or entities proposed for those portions of the Work for which the identity of Subcontractors, Suppliers, and other individuals or entities must be submitted. The failure to submit requested information on a timely basis may result in the determination that the Bidder is not responsible.
H. Owner and CM may conduct such investigations as Owner and CM deems necessary to establish the responsibility, qualifications, and financial ability of Bidders, proposed Subcontractors, Suppliers, individuals, or entities proposed for those portions of the Work in accordance with the Contract Documents.
I. If the Contract is to be awarded, the Construction Manager will award the Contract to the Bidder whose Bid is in the best interests of the Project.
1.18. DURATION OF OFFER
A. Bids shall remain open to acceptance and shall be irrevocable for a period of sixty (60) days after the Bid closing date
1.19. EXECUTION OF THE CONTRACT
A. Subsequent to the award, and within five (5) days after the prescribed Form of Agreement is presented for its signature, the Awardee shall execute and deliver them to Pearson Construction Company, in such number of counterparts as Pearson Construction Company may require.
1.20. TIME OF COMMENCEMENT AND COMPLETION
A. The Contractor shall commence work within five (5) days after the effective date of the Contract, or when notified in writing to proceed, and shall complete the Work within the time limitations established in the Form of Agreement, these Instructions to Bidders, and in Section 01 12 00
