About this file

This document is a Single Source Justification under the Simplified Acquisition Threshold (SAT) for the U.S. Consulate in Dhahran, Saudi Arabia. It requests approval to award a sole-source contract to HEADWORKS BIO INC. to provide software and licenses to maintain the Post's wastewater treatment plant. The required software includes Factory Talk View Studio (Machine Edition) for HMI programming and Allen Bradley Studio 5000 for PLC programming. The estimated value of the contract is $29,000, including options. The justification cites FAR 13.106-1(b)(1) for sole-source acquisitions under the SAT, as HEADWORKS BIO INC. is the original manufacturer and the only authorized source for the required software. The wastewater treatment plant is critical infrastructure, and its non-functioning state has caused over $100,000 in financial harm to the government. Delaying this purchase would cause further harm. The Contracting Officer has determined the price to be fair and reasonable.

SINGLE SOURCE JUSTIFICATION NOT EXCEEDING THE SIMPLIFIED ACQUISTION

THRESHOLD

SECTION 1: IDENTIFICATION OF THE AGENCY AND THE CONTRACTING ACTIVITY

Department of State Contracting Activity

☒ Overseas Post: USCG Dhahran

Requiring Activity

NEA/DHAHRAN/MGT/FAC

SECTION 2: NATURE AND/OR DESCRIPTION OF THE ACTION BEING APPROVED

Approval is requested to award on a sole source basis to HEADWORKS BIO INC at USCG Dhahran, for the supplies and/or services described in Section 3 on behalf of the Requiring Activity.

SECTION 3: DESCRIPTION OF SUPPLIES/SERVICES REQUIRED TO MEET THE AGENCY’S NEEDS

The requirement is to provide software packages and licenses to maintain Post’s wastewater treatment plant operational at USCG Dhahran. The estimated value for the entire period of performance is $29,000.00, including options. These supplies/services require the installation of two software packages and the activation of their licenses: a) Factory Talk View Studio (Machine Edition), an HMI Programming Software with License;

and b) Allen Bradley Studio 5000, a PLC Programming Software with License. This will allow the Facility office to accomplish to upgrade the software of Post’s wastewater treatment plant, enabling the capability to work in automatic mode, as per the Master Specifications for the Dhahran New Consulate Compound Project.

Currently the wastewater treatment plan for U.S. Consulate Dhahran does not work as intended. The plan only runs in manual mode, and someone must be stationed at the plant to run it. The plant is designed to work automatically to process the wastewater coming from the compound.

The software is essential for the control and monitoring of the wastewater processing plant’s operations. It must be compatible with the existing systems and meet the specific technical requirements set by the plant’s manufacturer.

SECTION 4: IDENTIFICATION OF THE STATUTORY AUTHORITY PERMITTING OTHER THAN

FULL AND OPEN COMPETITION

In accordance with Federal Acquisition Regulation (FAR) 13.106-1(b)(1), the Contracting Officer has deemed only one source reasonably available based on the following:

☒ Exclusive licensing agreements

SECTION 5: DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE

QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF THE AUTHORITY

CITED

HEADWORKS BIO INC is the original manufacturer of the wastewater treatment plant installed at Post. They are the only authorized source for this purchase as they own the licensing rights for the required software to program and update Dhahran’s wastewater treatment plant.

Offers were not solicited to other potential sources. The proposed contract action described here is made under the conditions described in FAR 13.106-1(b)(1)) (for purchases conducted using simplified acquisition procedures under the SAT, when unique supplies or services available from only one source or only one supplier with unique capabilities) and the Government would be seriously injured if the agency complies with the time periods specified in FAR 5.203.

The wastewater treatment plant should provide water to irrigate the gardens on the Consulate Compound.

The plant is supposed to separate biological waste from wastewater, treat it, and send the now usable water to the irrigation system and the solid waste to the municipal sewer system. Currently, Post uses water from the local water company and the compound’s well for the irrigation system, at great cost. The non-working plant has caused financial harm over $100,000 to the U.S. Government and delaying this purchase would cause more harm.

SECTION 6. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED COST

TO THE GOVERNMENT IS FAIR AND REASONABLE

By signing the justification, the Contracting Officer makes a determination that the price to the Government is anticipated to be fair and reasonable.

SECTION 7. CERTIFICATIONS
