About this file

This document is a Justification for Other Than Full and Open Competition (JOFOC) for the procurement of online legal research capabilities from West Publishing Corporation (Westlaw), a Thomson Reuters business, to support the National Nuclear Security Administration (NNSA) Office of the General Counsel (NA-GC).

The NNSA seeks to award a sole source, firm-fixed-price contract to West Publishing Corporation for a five-year period of performance, including a base year and four one-year option periods. West Publishing Corporation is the only vendor capable of providing the specialized legal research services and secondary source materials, such as Corpus Juris Secundum and Nash & Cibinic, required by NA-GC personnel to accomplish their mission-essential work. Additionally, as the incumbent provider, West Publishing Corporation can eliminate the need for retraining attorneys on a new search platform or repopulating existing research libraries. The NNSA performed market research but did not identify any other sources that could fully meet the legal research requirements.

III. DESCRIPTION OF SUPPLIES AND/OR SERVICES

The Government seeks to procure online legal research capabilities to support the work of attorneys, paralegals, and legal interns in the NNSA Office of the General Counsel (NA-GC). NA-GC personnel require real-time access to large online databases of statutes, regulations, non-codified legislation, executive orders, case decisions from courts and administrative agencies, journal publications, and other legal materials. The legal research platform utilized by NA-GC must include search features – including direct term searches, predictive language capabilities, etc. - that result in comprehensive, accurate, and prioritized response sets, 100 percent of the time. NA-GC personnel utilize this content to prepare legal pleadings required to defend the agency in legal matters, opinions and memoranda, transactional documents, and administrative legal filings that are mission-essential for NNSA programs. While general legal materials (e.g., laws, regulations, and case decisions) are available from multiple vendors, NA-GC personnel depend on access to secondary source materials that are often unique to a single vendor. Corpus Juris Secundum and Nash & Cibinic are examples of the secondary sources that are regularly utilized by NA-GC personnel. Familiarity is also a critical attribute for NA-GC’s legal research platform because the downtime caused by retraining personnel or by transitioning or replacing stored research libraries, search histories, etc. would lead to unreasonable delays in NA-GC work product.

IV. AUTHORITY

Issuance of a sole source award is authorized in accordance with FAR 13.501(a) and 41 U.S.C.

1901(a)(2).

41 U.S.C. 1901(a)(2), “…To promote efficiency and economy in contracting and to avoid unnecessary burdens for agencies and contractors, the Federal Acquisition Regulation shall provide for special simplified procedures for purchases of property and services for amounts greater than the simplified acquisition threshold but not greater than $5,000,000 for which the contracting officer reasonably expects, based on the nature of the property or services sought and on market research, that offers will include only commercial products or commercial services.”

V. APPLICATION OF AUTHORITY

West Publishing Corporation, a Thomson Reuters business, is the foremost provider of integrated information solutions to the U.S. legal market and has been providing research materials to the legal and professional community for more than 150 years. The Contractor’s specialized capabilities (see below) meet the Office of General Counsel’s legal research requirements and are essential for mission operations.

Critically, the Contractor is the only vendor capable of providing the Government with access to secondary sources like Corpus Juris Secundum and Nash & Cibinic, which are among the suite of legal resources that NA-GC depends on to accomplish its mission work. Also, as an incumbent provider of legal research capabilities to NNSA, only West Publishing Corporation can provide a product that eliminates

This additional content expands the scope of our ability to research nuanced legal issues in an efficient and effective manner.

VI. EFFORTS TO IDENTIFY ADDITIONAL SOURCES

The Government performed a search for legal services; however, it was deemed by the Office of General Counsel that Westlaw Publishing Corporation meets the requirements to support the mission.

The above-described notice constitutes a synopsis of the proposed contract action and satisfies the requirements of FAR 5.201(b)(1)(i).

VII. DETERMINATION OF REASONABLENESS OF COST OR PRICE

Prior to award, the Contracting Officer will determine that prices paid are fair and reasonable in accordance with FAR 13.106-3(a)(2). Notably, the Contracting Officer will be able to determine that prices paid are fair and reasonable by comparing quoted prices to commercially available price lists, the Independent Government estimate, GSA Pricing, and FedLink pricing. Notwithstanding the foregoing, the Government reserves the right to require data other than certified cost and pricing data if deemed necessary by the Contracting Officer.

VIII. MARKET RESEARCH

Market research was conducted in accordance with FAR 10.001(a)(2). This was a previous purchase to Westlaw Publishing as a five (5) year contract; 89233119CNA000117, Period of Performance of 10/1/2019 to 09/30/2024 as a simplified acquisition, sole source.

Market research was conducted by searching for and reviewing various on-line research databases such as:

vLex/FastCase, LoisLaw, VersusLaw, Hein On-Line.

These research tools offered state court opinions and statutes for all 50 states and access to federal and state cases, however, the databases did not offer core legal research resources required by NA-GC to perform mission essential work in a timely basis. Failure to have essential research tools readily available would result in delays to critical court deadlines.
