Part 12 Clauses (CONTINUED)

LOT 1 - Level 2 Disposable Isolation Gown (both sizes) that are BERRY COMPLIANT1

LOT 2 - Level 2 Disposable Isolation Gowns (both sizes) that are BUY AMERICAN ACT COMPLIANT END ITEMS FROM DOMESTIC OR QUALIFYING COUNTRIES OR PROVIDE AN END ITEM WHOSE PRIMARY END

ITEM FABRIC IS MANUFACTURED IN THE UNITED STATES2

LOT 3 - Level 2 Disposable Isolation Gowns (both sizes) that are TRADE AGREEMENT ACT COMPLIANT3

Level 2 disposable isolation gowns (both sizes) are preferred under this solicitation; however, the Government will also accept proposals for level 3 disposable gowns to meet overall requirements. An offeror shall clearly identify the item level in the proposal submission form and must submit a submission form for each level, if proposing both level 2 and level 3 gowns. Level 2 and level 3 proposals will be evaluated under the same appropriate lot based upon lowest price technically acceptable requirements outlined in the solicitation.

1 Subject gowns are considered clothing items therefore, proposals submitted under Lot 1 are subject to the Berry Amendment and DFARS 252.225-7012 Preference for Certain Domestic Commodities. Although a domestic non-availability determination has been approved, it requires Berry Amendment compliant items to the extent available.

DLA Troop Support solicitations include Defense appropriations and authorization acts and other statutes (including what is commonly referred to as “The Berry Amendment”) which impose restrictions on the DoD's acquisition of foreign products and services. Generally, clothing and textile items (as defined in DFARS clause 252.225-7012), including the materials and components thereof (other than sensors, electronics, or other items added to, and not normally associated with clothing), must be grown, reprocessed, reused, melted or produced in the United States, its possessions or Puerto Rico, unless one of the DFARS 225.7002-2 exceptions applies. In plain terms, ALL components down to the raw materials and fibers must be grown or produced in the United States, its possessions or Puerto Rico. For example, material that is woven in the United States may not be Berry Compliant. In order for that material to be Berry Compliant, the raw materials/fibers have to be grown or made in the United States or its possessions or Puerto Rico; the raw materials/fibers have to be spun in the United States or its possessions or Puerto Rico; the weaving and dying must also take place in the United States or its possessions or Puerto Rico; and finally all cutting and sewing must take place in the United States or its possessions or Puerto Rico.

2 This lot applies when offers under lot 1 do not provide for sufficient quantities available within the time required. A domestic non-availability determination has been approved and the Berry Amendment is not applicable to this lot.

Additionally an exception to the application of the TAA has been granted to the extent that BAA compliant offers can meet the government's needs. For this acquisition, the provisions of DFARS 252.225-7000 and DFARS 252.225-7001 are applicable only to the extent that offers are received from domestic or qualifying countries. The subject item is considered a commercial-off-the-shelf (COTS) item. Offerors must either meet the requirements of the BUY AMERICAN ACT by providing a domestic end product or a qualifying country end product OR provide an end item whose primary end item fabric is manufactured in the United States. Under this lot, awards will be made in accordance with the following order of precedence:

1) Buy American Act compliant offers of domestic or qualifying country end items;

2) Offers of end items whose primary end item fabric is manufactured in the United States, regardless of country of end item manufacture. Offers of end items whose primary end item fabric is manufactured in the United States will ONLY be considered if quantity requirements cannot be met in the required timeframe with Buy American Act compliant offers of domestic or qualifying country end items.

3 This lot applies when offers eligible for award under lots 1 and 2 do not provide for sufficient quantities available

CONTINUATION SHEET REFERENCE NO. OF DOCUMENT BEING CONTINUED: PAGE 6 OF 62 PAGES

SPE1C1-20-R-0138

Part 12 Clauses (CONTINUED) within the time required. Proposals submitted under Lot 3 are subject to DFARS 252.225-7021 TRADE AGREEMENTS- BASIC and DFARS 252.225-7020 TRADE AGREEMENTS CERTIFICATE - Basic. A domestic non-availability determination has been approved and the Berry Amendment is not applicable to this lot. The subject item is considered a commercial-off-the-shelf (COTS) item.

GOVERNMENT REQUIREMENT:

Minimum Quantity: 47,500,000 each Estimated Quantity: 189,750,000 each Maximum Quantity: 285,000,000 each

Offerors shall provide both sizes in its proposal as outlined in the proposal submission form. Any offeror that submits a proposal that does not include both sizes will be considered non-compliant and will be rejected as it is ineligible for award.

Within each lot, the Government intends to award multiple contracts to fulfill these quantities in the most advantageous manner to ensure all available quantity is received by January 15, 2021. The Government intends to award Lot 1 (the Berry Compliant lot) first. If the Government is unable to make enough awards to achieve the estimated quantity with proposals received under Lot 1, the remaining quantity may then be awarded under Lot 2. If the Government is unable to make enough awards to achieve the estimated quantity with proposals received under Lot 2, the remaining quantity may then be awarded under Lot 3. The Government intends to award multiple contracts, to responsive and responsible offerors that have a technically acceptable offer, starting with the lowest priced technically acceptable offer, and continuing to the next lowest priced technically acceptable offer as needed, to fulfill the estimated quantity. Any resultant contract(s) will be made based on the information provided by the offeror in the proposal submission form. The contract's guaranteed minimum quantity will be based on the offeror's response to the “Minimum Quantity Acceptable for Award” question on page two (2) of the proposal submission form.

The contract's maximum quantity will not exceed the offeror's total quantity listed in response to the “Delivery Capabilities” question on page two (2) of the proposal submission form. The Government intends to make multiple awards to ensure the estimated quantity is received by January 15, 2021. Therefore, the estimated quantity and maximum quantity of each contract will be finalized prior to award. Proposed awardees will be notified of the quantities planned for its award and will be required to enter into a bilateral contract to indicate agreement with these quantities. The Government will not place individual delivery orders that require the offeror to deliver more than the quantity listed in response to the “Monthly Maximum Capacity” question on page three (3) of the proposal submission form. The Government will be obligated to place orders for a minimum of one (1) pallet under individual delivery orders as outlined in FAR 52.216-19 Order Limitations. Due to the varying production capabilities of each awardee, delivery orders will be issued under each separate contract in accordance with the terms and conditions of the contract and without notice to, or consideration of, any other contractor, or consideration of the terms and conditions of any other contract. The fair opportunity provisions of FAR 16.505(b) will not be applicable to orders under the resulting contracts.

SPRS compiles supplier's past performance data in areas of product delivery and quality to determine risks and creates a Supplier Risk Score used by procurement specialists. The quality and delivery classifications identified for a supplier in SPRS will be used by the contracting officer to evaluate a supplier's past performance in conjunction with the supplier's references (if requested) and other provisions of the solicitation under the past performance evaluation factor.

It is imperative that vendors validate their performance data in SPRS. Vendors must register at the SPRS website https://www.sprs.csd.disa.mil/access.htm for access to view their past performance scores and negative delivery and quality records affecting the scores.
