SECTION 5: OVERSEAS INSURANCE & LOCAL BASE ACCESS REQUIREMENTS (Ref: FAR 52.228-3, FAR 52.228-4, & FAR 52.228-5)
5.1 Defense Base Act (DBA) Insurance Requirement (FAR 52.228-3)
The Prime Contractor (Kotrack Incorporated) shall procure and maintain Defense Base Act (DBA) insurance coverage for all U.S. citizens, lawful permanent residents (green card holders), and individuals hired within the United States performing duties under this contract.
5.2 DBA Insurance Waiver for Host-Nation and Third-Country Nationals (FAR 52.228-4)
Pursuant to FAR 52.228-4, the United States Secretary of Labor has waived mandatory DBA insurance requirements for employees of the Contractor or its subcontractor (Mesotec Co., Ltd.) who are local Japanese host-country nationals or third-country nationals (TCNs) performing on-site at Commander, Fleet Activities Yokosuka (CFAY), Japan.
This waiver is conditioned upon the Prime Contractor ensuring that all waived personnel are actively enrolled in and covered under Japan’s statutory social insurance framework—specifically Rōsai Hoken (Industrial Accident Compensation Insurance).
Should any host-nation or TCN employee fail to be covered under Japanese Rōsai Hoken, the waiver is deemed null and void regarding that individual, and the Contractor shall immediately obtain standard DBA insurance coverage on their behalf.
5.3 Insurance on Government Installation (FAR 52.228-5)
Pursuant to FAR 52.228-5, the Contractor shall, at its sole expense, maintain—and mandate that its subcontractor (Mesotec Co., Ltd.) maintain—the minimum required levels of Comprehensive General Liability, Automobile Liability, and Employer’s Liability insurance throughout all on-site operations at Fleet Activities Yokosuka, Japan.
Because operations within Japan are subject to Japanese statutory mandates, base perimeter access policies, and Japanese Compulsory Insurance (JCI) parameters, the Contractor bears sole responsibility for liaising with CFAY base authorities to confirm, implement, and maintain compliance with all installation-specific coverage minimums.
5.4 Mandatory Base Liaison & Installation Access Directory
Prior to mobilizing personnel, initiating on-site performance, or dispatching transport vehicles, the Contractor and its subcontractor shall coordinate directly with the following Fleet Activities Yokosuka (CFAY) departments to establish DBIDS credentialing, confirm insurance compliance, and coordinate port access:

5.5 Proof of Insurance & Mandatory Flow-Down
The Contractor shall incorporate all requirements of this Section into its subcontract with Mesotec Co., Ltd.
Certified insurance certificates—including evidence of DBA policy endorsement, proof of active Japanese Rōsai Hoken enrollment, and commercial liability policies compliant with installation standards—must be submitted to the Contracting Officer for formal review and administrative approval prior to commencing any on-site operations.

CLIN 0005 (Freight / Shipping): Reimbursable, subject to a strict Not-to-Exceed (NTE) Ceiling established at award based on the evaluated freight cost proposal. Pursuant to FAR 31.109, this ceiling represents the Government’s maximum financial liability for transportation. Post-award upward revisions to the freight NTE ceiling are strictly prohibited. The delivery term remains F.O.B. Destination; any transportation costs exceeding the established ceiling shall be absorbed exclusively by the Contractor without Government reimbursement.
7.2 Actual Cost Reimbursement Standard (FAR 47.104-2(b))
Reimbursement for CLIN 0005 shall be executed strictly on an actual-cost basis, capped at the NTE ceiling. The Contractor shall not apply general and administrative (G&A) markups, handling surcharges, indirect fee burdens, or profit margins to third-party carrier freight charges.
7.3 Mandatory Invoicing Supporting Documentation (FAR 47.303-17(d))
All electronic payment requests containing freight charges submitted via Wide Area Workflow (WAWF) shall itemize shipping expenses as an independent line item. Each invoice must include an attached, legible copy of the paid third-party carrier invoice reflecting the actual net freight charges billed to and disbursed by the Contractor. SECTION 10: TECHNICAL QUALITY REQUIREMENTS (Ref: DLA Master List Rev 44)
10.1 Technical and Quality Standard Text (RA001)
This contract incorporates technical and quality requirements (designated by "R" or "I" prefixes) set forth in the DLA Master List of Technical and Quality Requirements. Official full-text directives are accessible through DLA Acquisition Policy and Directives channels.
10.2 Warranty of Industrial Plant Equipment (IPE) – FSG 34 (RQ008)
(1) The contractor warrants that for one year all supplies furnished under this contract will be free from defects in material and workmanship and will conform to all requirements of this contract. Warranty period begins from the date of acceptance.
(2) Any supplies or parts corrected or furnished in replacement by the contractor shall be subject to the conditions to the same extent as supplies initially delivered. This warranty shall be equal in duration to one year and shall run from the date of delivery of the corrected or replaced supplies.
(3) When the machine is inoperable because of a defect, deficiency and/or nonconformance subject to the contractor's warranty and after the contractor has received written notice of the defect, inoperable (i.e., length of time from when contractor receives notification until machine is operable.)
(4) The contractor shall not be obligated to correct or replace supplies if the facilities, tooling, drawings, or other equipment or supplies necessary to accomplish the correction or replacement have been made unavailable to the contractor by action of the Government. If correction or replacement has been directed, the contractor shall promptly notify the contracting officer, in writing, of the non-availability.
(5) The contractor shall also prepare and furnish to the Government data and reports applicable to any correction required (including revision and updating of all affected data called for under this contract) at no increase in the
PAGE 8 OF 33 PAGES
contract price.
(6) When supplies are returned to the contractor, the contractor shall bear the transportation costs from the place of delivery specified in the contract (irrespective of the free on-board point, or the point of acceptance) to the contractor's plant and return. When defective items are returned to the contractor from other than the place of delivery specified in the contract, or when the Government exercises alternate remedies, the contractor's liability for transportation charges incurred shall not exceed an amount equal to the cost of transportation by the usual commercial method of shipment between the place of delivery specified in the contract and the contractor's plant and subsequent return.
(7) The warranties expressed herein are in lieu of any implied warranties of merchantability and “fitness for a particular purpose”.
(8) In the event of a breach of the contractor's warranty, the Government may, at no increase in contract price:
(i) Require the contractor, at the place of delivery specified in the contract (irrespective of the F.O.B. point or point of acceptance), or at the contractor's plant, to repair or replace, at the contractor's election, defective or nonconforming supplies, or
(ii) Require the contractor to furnish at the contractor's plant the materials or parts and installation instructions required to successfully accomplish the correction.
(iii) Where it is impracticable for the Government to pursue remedies at (i) and (ii), the Government may arrange for the repair or replacement of defective or nonconforming supplies by the Government or by another source at the contractor's expense. Where the Government is to accomplish the repair, the contractor at the Government's option will furnish the material or parts and the instruction required to successfully accomplish the repair.
(9) If the contracting officer does not require correction or replacement of defective or nonconforming supplies or the contractor is not obligated to correct or replace under paragraph (4) the Government shall be entitled to an equitable reduction in the contract price.
(10) The contracting officer shall notify the contractor in writing of any breach of the warranty in paragraph (b) of this clause within a reasonable period, but not later than 45 days after discovery of the defect. The contractor shall submit to the contracting officer a written recommendation within two working days as to the corrective action required to remedy the breach. After the notice of breach, but not later than five days after receipt of the contractor's recommendation for corrective action, the contracting officer may, in writing, direct correction or replacements in paragraph (8)(a) and the contractor shall comply with this direction within five days of receipt. If it is later determined that the contractor did not breach the warranty in paragraphs (1) and (b) the contract price will be equitably adjusted.
(11) If supplies are corrected or replaced, the period for notification of a breach of the contractor’s warranty in paragraph 10 shall be 45 days from the discovery of the defect.
(12) The rights and remedies of the Government provided in this clause are in addition to and do not limit any rights afforded to the Government by any other clause of the contract.
(13) The contractor shall be liable for the reasonable costs of disassembly and/or reassembly of larger items when it is necessary to remove the supplies to be inspected and/or returned for correction or replacement.
10.3 Obliteration of Markings on Non-Accepted Supplies (RQ011)
The Contractor shall thoroughly remove, grind off, or completely obliterate all Government markings—including National Stock Numbers (NSNs), contract award numbers, military insignia, and Government inspection stamps—from all items rejected by the Government before disposing of or reselling such materials through commercial channels.
10.4 Supply Chain Traceability Documentation (RQ018 / DLAD C03)
