About this file

This is an Invitation for Bid (IFB) document from the State Educational and Community Improvement Program (SERCAP) for the County of Carroll and the Carroll County Public Service Authority (PSA) in Virginia. The project involves furnishing, delivery, and installation of a portable emergency generator system consisting of one portable generator and eight (8) manual transfer switches. Bidders must provide separate comparative pricing for two generator options: a 36 kW Portable Generator Package and a 30 kW Portable Generator, as well as two manual transfer switch configurations: switches with surge protection and standard switches without surge protection. The IFB specifies sealed bid submission requirements and establishes a competitive bidding process for this infrastructure project intended to enhance emergency preparedness capabilities.

The document establishes pricing requirements that allow bidders to submit separate quotes for each equipment configuration, enabling the County and PSA to compare costs across generator sizes and transfer switch specifications. This comparative pricing structure provides flexibility for the agencies to evaluate total project costs based on different operational and technical requirements. The bid process follows Virginia state and local procurement regulations governing competitive sealed bidding for government contracts, ensuring transparent and fair competition among qualified vendors. Award will be made to the lowest responsive and responsible bidder meeting all specification requirements.

Portable Generator and Manual Transfer Switch Project Specifications

Project clarification: The County is requesting alternate pricing for evaluation purposes and is not committing in advance to a particular generator size or surge-protection configuration. The County may select one generator option and one manual transfer switch option after reviewing bid prices, equipment information, installation requirements, lead time, warranty, and available funding.

• Bid is for furnishing and delivering one portable generator and furnishing and installing eight (8) manual transfer switches at County-designated locations. The County and PSA is requesting alternate pricing so it may compare a 36 kW Portable Generator Package with a 30 kW Portable Generator and compare Manual Transfer Switches with surge protection with Standard Manual Transfer Switches with no surge protection.

• Portable Generator Equipment Requirements: Each proposed generator alternative shall be a new, commercial-grade, trailer-mounted diesel generator configured for 120/240V, single-phase service.

The generator shall include an integral diesel fuel tank, block heater, battery charger, sound-attenuated weather-resistant enclosure, Camlock connection capability, and a 50-foot compatible generator connection cable. The 30 kW option shall provide a minimum 30 kW output at 120/240V, single phase. The 36 kW option shall provide 36 kW output at 120/240V, single phase.

• Manual Transfer Switch Equipment Requirements: Each manual transfer switch shall be 200 amp, 120/240V, single phase, manual double-throw, with a NEMA 3R outdoor-rated enclosure and Camlock generator connection panel/interface compatible with the portable generator and supplied generator connection cable. Surge protection shall be included only for the surge-protected transfer switch alternative.

• The County and PSA reserves the right to award any portion or combination of bids for specific services or to refuse or reject all bids or to accept a higher bid if it is felt the higher bid holds additional value to the County of Carroll.

• All bidders must provide all labor, materials, equipment, supervision, delivery, electrical work, permits, connections, startup, testing, and commissioning necessary for a complete and operational installation, except for any items specifically identified by the bidder as excluded. All electrical work shall be performed by properly licensed personnel and in accordance with applicable codes and manufacturer requirements.

• The successful bidder shall coordinate installation scheduling with the County and PSA to minimize disruption to County operations and shall protect existing facilities and equipment during the work.

• Bids and invoices shall separately identify equipment, installation labor, materials, permits/fees, delivery/freight, startup/testing, and any other charges. Lump-sum pricing may also be shown, but the requested comparison pricing must remain separately identifiable.

• The bidder shall state all equipment and installation warranties and identify the party responsible for warranty service. Manufacturer literature/specification sheets shall be included for each proposed generator and manual transfer switch alternative.

• The contract for this project may NOT be assigned, sublet, or transferred without the written consent of the County of Carroll, which will not unreasonably be withheld.

• In the case where a sub-contract is part of the Contractor’s response to bid, each sub-contractor shall provide certificates of insurance and any other documentation as required by the County and PSA.

• In the event there are any deviations of the Contractor’s usage of sub-contractors or other companies associated with the fulfillment of the contract, the Contractor shall notify the County and PSA within 24 hours and the Contractor shall be responsible for any cost difference associated with the usage of a different company, group or agency unless prior approval is granted in writing by the County of Carroll and the different company, group or agency meets all requirements of the County of Carroll as a contractor.

• Falsification of any information on the categories covered will disqualify the bidder.

• Unless specifically included by the bidder, routine maintenance or service after expiration of the stated warranty is not included in this bid request.

• The County and PSA reserves the right to verify proposed equipment, installation approach, lead times, references, licenses, and compliance with the specifications before award.

• All bidders must sign and return the specifications, completed bid pricing sheet, and required attachments to be considered responsive.

• All bids are due no later than 4:00PM on September 21st 2026.

• The company represents that no owner or officer of the company is an elected official of the

County, the PSA, or any related governing body, agency, or department thereof.

• All bidders acknowledge that, if cooperative procurement is authorized for this solicitation, the pricing may be made available to other public bodies in accordance with applicable law and the terms of the resulting contract.

Delivery by the Contractor to a common carrier does not constitute delivery to County and PSA. Any claim for loss or damage incurred during delivery shall be between the Contractor and the carrier. The County and PSA accepts title only when goods are received regardless of the F.O.B. point. The County and PSA will note all apparent damages in transit on the freight bill and notify the Contractor. Discovery of concealed damages or loss will be reported by the County and PSA to the carrier and the Contractor within seven days of receipt and prior to removal from the point of delivery if possible. The Contractor shall make immediate replacement of the damaged or lost merchandise or be in default of the Contract. It shall be the Contractor’s responsibility to file a claim against the carrier. If damage is to a small quantity, with the approval of the County and PSA, the Contractor may deduct the amount of damage or loss from his or her invoice to the County and PSA in lieu of replacement.

16. Choice of Law

To ensure uniformity of the enforcement of this Contract, and irrespective of the fact that either of the parties now is, or may become, a resident of a different state, this Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia without regard to her principles of conflicts of law.

If any provision of this Contract is held to be illegal, invalid, or unenforceable, or is found to be against public policy for any reasons, such provision shall be fully severable and this Contract shall be construed and enforced as if such illegal, invalid, or unenforceable provision had never been part of this Contract, and the remaining provisions of this Contract shall remain in full force and effect and shall not be affected by the illegal, invalid, or unenforceable provision, or by its severance from this Contract.

19. Limitation of Liability

The Contract is subject to annual appropriation by the PSA Board. Neither the Contract nor any amount due or to become due under the Contract shall be deemed to constitute a debt or pledge of the faith and credit of the Commonwealth of Virginia or any political subdivision thereof, including Carroll County, Virginia. Neither the Commonwealth of Virginia nor any political subdivision thereof, including the County of Carroll, shall be obligated to pay any amount due or to become due under this Contract except from funds annually appropriated by the PSA Board for such purpose.

21. Contractual Claims Procedure

A. Contractual claims or disputes by Contractor, whether for money or other relief, except for claims or disputes exempted by law from the procedure set forth herein, shall be submitted in writing no later than sixty (60) days after the event giving rise to such claim; provided, however, that Contractor shall give the County and PSA written notice of its intention to file a claim or dispute within fifteen (15) days after the occurrence upon which the claim or dispute shall be based. Any written notice of Contractor's intention to file such a claim or dispute need not detail the amount of the claim, but shall state the facts and/or issues relating to the claim in sufficient detail to identify the claim, together with its character and scope. Whether or not Contractor files such written notice, Contractor shall proceed with the work as directed. If Contractor fails to make its claim or dispute, or fails to give notice of its intention to do so as provided herein, then such claim or dispute shall be deemed forfeited.

B. The County and PSA, upon receipt of a detailed claim, may at any time render its decision and shall render such decision within one hundred twenty (120) days of final payment. Each such decision rendered shall be forwarded to the Contractor by written notice.

C. If the Contractor disagrees with the decision of the County and PSA concerning any pending claim, the Contractor shall promptly notify the County and PSA by written notice that the Contractor is proceeding with the work under protest. Any claim not resolved whether by failure of the Contractor to accept the decision of the County and PSA or under a written notice of Contractor's intention to file a claim or a detailed claim not acted upon by the governing body of the County and PSA, shall be specifically exempt by the Contractor from payment request, whether progress or final. Pendency of claims shall not delay payment of amounts agreed due in the final payment.
