The scope of work encompasses amplifying native seeds through qualified growers, managing seed storage and inventory, coordinating wild seed collection, developing ecologically sound practices for seed management, and providing custom seed mixes to County-designated locations. The County has first right of refusal on excess seed produced. Respondents must meet minimum qualifications including ability to do business in Orange County, California, attendance at the mandatory pre-submittal meeting, completion of all required vendor response questions, and submission of a valid D-U-N-S number and UEI number prior to award. Proposals must include compliance statements, exceptions to contract terms, a Campaign Contribution Disclosure Form, and proof of insurance per the Model Contract. No set-asides, incumbent information, or specific funding sources are identified in the provided documentation. The evaluation will be conducted by a County evaluation panel using established scoring criteria aligned with the County Contract Policy Manual, with final award subject to reference checks and past performance verification.

SECTION 3. SCOPE OF WORK
Exhibits referenced in the scope of work can be found in Attachment A - Model Contract.
3.1 OVERVIEW
A. The County is seeking a Contractor to facilitate seed amplification and provide coordination services to ensure a consistent and reliable supply of critical native plant materials for ecological restoration and enhancement in support of preserving and enhancing the County’s natural resources, aligned with the ecological approach and best practices developed by the Orange County
Native Seed Partnership (Seed Partnership). Native seed amplification involves specialized expertise, long lead times, and coordination with seasonal growing cycles. A standing contract provides a dependable source and allows for flexibility to meet project-specific demands while protecting sensitive habitats and preserving genetic integrity of locally and regionally adapted seed stock.
B. The Seed Partnership includes Orange County land managers (e.g., OC Parks, California State
Parks, University of California Irvine, and others). OC Parks, along with other County Agencies, participates in Seed Partnership coordination meetings aimed at developing best practices for native mailto:CPOAppeals@ocgov.com seed and enhancing the supply of native seeds with genetic origins in the Orange County Seed
Collection Zone (Exhibit 1). Seed amplification is also known as “seed multiplication,” “seed increase,” “seed bulking,” or “seed farming.” The Contractor will address the County’s seed needs by subcontracting with qualified growers to fulfill seed orders and identify and recommend opportunities for regional collaboration, cost efficiency, quality improvement, and reliable supply development, supporting a consistent and reliable supply of genetically suitable native seed for
County restoration and enhancement projects. Genetic suitability is determined by genetic provenance and protocols for collection and amplification of seed. The goal of genetic management within a native seed program is to maximize the success of restoration plantings while protecting the genetic diversity of natural populations.
3.2 PROJECT GOALS
A. Increased availability of appropriate native seeds for County ecological restoration and enhancement projects.
B. Support restoration and enhancement projects in the County by leveraging economies of scale and strengthening supply reliability.
C. Natural resource protection via reduced reliance on wild seed collection from sensitive vegetation assemblages, achieved by amplifying small amounts of wild-collected seed.
D. Development and refinement of seed collection and amplification best practices that draw on scientific research in conservation biology, restoration genetics, and population genetics.
E. Promote species richness, genetic diversity, and ecological suitability in seed production.
F. Development and refinement of plant materials best practices, including a list of appropriate seeding rate ranges in pure live seed pounds per acre.
G. Coordinate wild seed collection activities and requests for seed-related access permits as directed by the County.
H. Increased availability of ecologically appropriate native seed to support County compliance with the Nature Reserve of Orange County’s Habitat Restoration and Enhancement Plan (HREP).
3.3 CONTRACTOR RESPONSIBILITIES
A. Coordinate and facilitate collaboration to support County seed planning and restoration needs among County staff, propagule producers, regional land managers, and stakeholders.
B. Provide seed to the County by coordinating amplification through qualified growers, using seed provided by the County, and using methods such as field production (“seed farming”) and/or containerized increase, as appropriate.
C. Work with the County to develop ecologically sound, genetically informed practices for seed amplification, collection, management, and ecotype development. Ecotypes reflect a representative range of genetic diversity for a given species within a defined Seed
Collection Zone. Amplified ecotypes produced for the County may be subwatershed scale, subregional (e.g., coastal, central, southern) and/or regional (i.e., encompassing the entire Orange County Seed Collection Zone).
3.4 SEED AMPLIFICATION AND COORDINATION SERVICES SCOPE
A. The Contractor shall amplify native seeds. The County will request seed amplification grow-outs by identifying the annual desired amount of pure live seed (PLS) pounds by species as a multi-year seed demand forecast. The Contractor will determine an appropriate plot size to yield the requested amount in coordination with the County.
Standardized grow-out plots will include 50 square feet, 200 square feet, 500 square feet, 0.25-acre, 0.5-acre, and 1.0-acre sizes. There are hundreds of species of plants that grow on County property. Plants are organized into different groups by growth form and life history, including annuals, geophytes, perennial herbs, and perennial woody shrubs. Seed amplification shall occur in accordance with the County’s current best practices (Exhibit
2). Contractor shall maintain relevant knowledge as best practices adapt.
B. The Contractor shall utilize wild seed provided by the County to sow into container pots, planting beds, or farmland for custom amplification grow-outs. All equipment, materials, and labor needed to produce amplified seed are included in the Contractor’s pricing for the amplification services. All seed shall be grown in southern California under environmental conditions similar to Orange County (e.g., temperature range, rainfall, elevation). The Contractor shall provide supplemental watering (e.g., irrigation) as needed to support successful plant establishment and maturation. The plants that grow will mature and produce seed, and the resulting seed will be collected by the Contractor.
C. The Contractor shall clean, process, conduct initial seed testing at no extra charge on all amplified seed lots* (*A seed lot is defined as the harvested seed from a single year, representing a unique combination of species, year, and location.). All seed shall be cleaned using industry best practices, with all Stipa species de-awned. Very small lots, where seed testing would destroy an undesirable percentage of the available seed will be exempted from seed testing and labelled as such. The Contractor shall forgo seed testing on small lots only after consultation with the Manager. Seed testing shall be conducted by qualified labs familiar with testing seeds native and exotic to southern California and shall include a full evaluation of purity, germination, and a tetrazolium test. Contractor under no circumstance shall provide any commodities without prior written authorized County approval. Additional delivery locations may be added or deleted at any time with no penalty to County.
B. County may elect to accept substitute like commodities, commodities of equal or better quality and/or brand, costing equal or less than the original contracted commodities as set forth in this Contract with written authorized County approval. Substitute like commodities that cost more will require prior authorized approval from County before any substitution will take place.
3.8 OPTION TERM (YEAR 6 THROUGH YEAR 8)
A. The contract is anticipated to be solicited every five years. Figure 1, below, illustrates the two potential transition scenarios. Scenario 1 shows what happens when a different contractor (Contractor B) wins the subsequent 5-year solicitation. In this scenario, the optional 3-year extension term with Contractor A is utilized, providing an overlap period so OC Parks can continue receiving seed from the established contract while Contractor
B establishes new custom seed amplification grow-outs. Scenario 2 illustrates the situation where the original contractor (Contractor A) wins the subsequent 5-year solicitation and the 3-year Option Term is not utilized.
B. If the 3-year Option Term is utilized with Contractor A, preexisting custom seed amplification grow-outs from the original 5-year term may extend into the 3-year Option
Term (as maintenance, harvesting, delivery, etc.).

Term)
3.9 PROJECT CLOSEOUT PROCESS
A. Materials and documents delivered by the Contractor for County shall become property owned by County without restriction or limitation on their use. Contractor remains responsible for fulfilling orders placed for materials and services ordered prior to the date of expiration, completion or termination of the Contract and shall be fully compensated for those orders delivered to County. Contractor shall not be entitled to compensation for any surplus property, inventory, or services not ordered or requested by County.
B. County maintains ownership of seeds and living plant materials developed from seeds provided to Contractor and shall be returned to County upon expiration, completion or termination of the Contract in a manner that protects their continued growth and/or viability in coordination with the County. If Contractor fails to timely return any remaining seeds or living plant materials upon expiration, completion or termination of the Contract, then the Contractor shall be liable to fully reimburse the County for any seeds or living plant materials not returned, and/or for reimbursement of any costs associated with the County retrieving its property unless County exercises its first right of refusal on excess seed pursuant to Section 4, Paragraph E above. If Contractor closes for business or otherwise fails to perform pursuant to the terms and conditions of the
Contract prior to the date of expiration, completion or termination of Contract, then
County may choose to deem ordered and undelivered seed as excess seed and County shall exercise its first right of refusal on excess seed pursuant to Section 4, Paragraph E.
If the Contractor closes for business or otherwise fails to perform pursuant to the terms and conditions of the Contract prior to the date of expiration, completion or termination of the Contract, and County agrees to accept any partially completed order, then County shall be invoiced at a discounted rate based on percent progress minus any costs incurred by the County.
