J&A #2015-0118

Justification and Approval of Sole Source Brand Name Acquisition under the authority of FAR

Subpart 13.5—Test Program for Certain Commercial Items

Interstage Xwand Annual Maintenance and Support Renewal

1. Contracting Activity: U.S. Securities and Exchange Commission (SEC).

2. Nature/Description of Action: Sole Source: Brand Name Acquisition for Interstage Xwand

Annual Maintenance and Support Renewal.

3. Description of Supplies/Services: To renew software (SW) licensing and support for Interstage

Xwand.

4. Support under contract #SECHQ1-10-C-0089 ends on July 18, 2015. The renewal period of performance for the base year would be from July 19, 2015 through July 18, 2016.

This justification for the Interstage Xwand Annual Maintenance and Support Renewal include the following products:

- XWand Server Production Annual Maintenance;

- XWand Server Non-Production Annual Maintenance;

- XWand Tool Kit Licenses Annual Maintenance; and

- XWand Developer Edition Annual Maintenance.

Base period is valued at approximately $60,000.00. Total estimated value including four (4) one-year Option periods is $300,000.00.

5. Authority: This sole source brand name justification is authorized by FAR part 13.501(a)(1)(ii).

6. Reason(s) to Support Authority Cited: Due to licensing, warranty, and compatibility issues it would not be possible for another product to meet the SEC's requirements. The product is the original source for a follow-on contract and continued development/production of a major SEC system (IDAP) and is a major component (XBRL runtime processor and validator) thereof.

Award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition. It is also the original source for a follow-on contract and continued development and production of a major SEC system (EDGAR) and is a major component (Taxonomy Editor and Instance Creator) thereof. Award to any other source would result in substantial duplication of cost to the Government that is not expected to be recovered through competition.

7. Efforts to Obtain Competition: The requirements documents of relevance are for contract

SECHQ1-10-C-0089 and the vendors expressing interest at the time were CoreFiling Ltd (UK)

(no capabilities for Microsoft Word integration nor support for SEC taxonomies in instance creation or review), EDGAR Online Inc. (now part of RR Donnelly and not offering as a product), Rivet Software (no longer in business) , and UBmatrix (acquired by Oracle and offering only taxonomy editing). Vendors existing now that did not exist in 2009-2010 are IRIS, BR-AG, FinDynamics, and Arelle. None of these vendors provide the combination of Java runtime API and taxonomy editing that SEC requires.

8. Price reasonableness: Fujitsu’s current quote is listed at $58,268.00 for the Interstage Xwand

Annual Maintenance and Support Renewal for licenses currently supported under SECHQ1-10-

C-0089. Based on historical data Fujitsu price has remained constant for last 2 years for the required licenses and support. Based on these facts, the proposed price is deemed as reasonable and realistic when compared to historical actual data and market pricing.

9. Market Research conducted: XBRL tools are a niche capability and ongoing routine contact by two SEC XBRL project leaders with both the XBRL community of vendors other than Fujitsu and with non-vendor-affiliated principals of the XBRL open standard community have continued to confirm that no other vendor offers the comprehensive set of capabilities in a single integrated product; these key capabilities include runtime validation, Java API and software developer kit, integration with Microsoft Word for Inline XBRL instance creation, fully compliant XBRL taxonomy editing and review with optimization features.

10. Any other facts supporting the use of other than full and open competition: See response to #7

11. Listing of Sources: See response to #7

12. Actions to remove or overcome any barriers to competition: N/A

13. Certification: I certify that this requirement meets the government’s minimum needs and that the supporting data, which forms a basis for this justification, is complete and accurate.
