The maximum amount of fuel ordered under each year of the contract shall not exceed 1,000,000 liters. The contracting officer may issue oral orders that will be confirmed in writing. The quality of the required fuel to be delivered to the U.S. Government must be certified by the Government of the Republic of Chad, and stored in the Company’s tanks. For supply and delivery of fuel, the contractor shall be paid the fixed price per unit as listed above. This price is not to exceed any official rate, as set by laws enacted by the government of the Republic of Chad.

The contractor shall promptly deliver the fuel by tanker truck on the date and time that are specified on delivery orders issued under the contract. Any contractor personnel involved with the delivery of the fuel shall comply with Embassy regulations for receiving supplies. The Contracting Officer's Representative (COR) will be responsible for instructing contractor personnel at the time deliveries are made. The driver of the tanker truck must submit a delivery slip to the COR for approval at the time any delivery is made.
Selection of Awardees for Individual Task Orders
| (a) | If more than one contractor has received an award for these services, the following procedures shall govern regarding issuance of individual task orders. No work shall be performed without a task order being issued to the contractor by the Contracting Officer. |
| (b) | As the need for services arises, the Government will develop a price estimate. |
If the estimate does not exceed US$3500, the Government will follow the procedures in paragraph (c) below. If the estimate exceeds US$3500, the Government will follow the procedures in paragraph (d) below.
(c) Orders not exceeding US$3500 - The Government will select a contractor for issuance of the task order. This decision will be based on the Government's best interests, which may include factors such as estimated price; past performance record; need to meet contractual minimums; or desire to avoid exceeding task order limitations set forth in Section I, FAR 52.216-19, "Order Limitations".
(d) Orders exceeding US$3500 - Unless one of the exceptions in paragraph (e) below applies, the Government will follow one of the following two scenarios:
(1) The Government will request each contractor to provide a quotation showing its main price, the availability of required products, a suggested delivery date and time AT NO COST TO THE U.S. GOVERNMENT. Whether or not the contractor is selected for an individual task order, the Government shall not be liable for any claim from the Contractor for the costs of submitting an offer. Selection will be based on a combination of estimated price and past performance information to include as a minimum the accuracy of previous deliveries; or
(2) If the Contracting Officer can establish which Contractor prices will results in the lowest price for the individual task order without requesting quotations, the Government will make its award selection based upon the prices set forth in the contract and past performance information gained as a result of contractor performance under this contract.
(3) Regardless of whether the procedures in paragraph (1) or (2) above were followed, selection of contractors shall not be protestable to GAO under Subpart 33.1 of the Federal Acquisition Regulation, except on the grounds that the order increases the scope, period, or maximum value of the contract. However, the Department of State does have an Acquisition Ombudsman who will review complaints by contractors to ensure that all contractors are afforded a fair opportunity to be considered for these task orders, pursuant to the procedures for award of task orders established herein.
(e) Exceptions to the procedures in paragraph (d) above:
(1) The agency need for the required services is of such urgency that providing such competitive opportunity would result in unacceptable delays;
(2) The order should be issued on a sole-source basis in the interest of economy and efficiency as a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order; or
(3) It is necessary to place an order to satisfy a minimum guarantee.
Price Adjustment:
(a) The unit price per liter of gasoline and diesel fuel may be adjusted based on increases or decreases in the official price of gasoline and diesel fuel, mandated by the government of the Republic of Chad.
(b) To request an adjustment in price, the Contractor must provide written notification of the price change to the Contracting Officer at least one week before the new price is to be effective. This notification must be accompanied by a copy of the official announcement of the price change, showing the new price and its effective date. The officer or general partner of the Contractor having overall responsibility for the Contractor's affairs shall certify the submission by written signature.
(c) The U.S. Government will make no adjustment to the contract price that relates to any wages, overhead, fixed costs, general and administrative expenses, materials, or profit. Only the amount which is a direct result of an increase or decrease in the price of oil to be delivered under this contract shall be considered by the U.S. Government as the basis for contract price adjustments.
(d) The Contractor may not request an adjustment under this clause after final payment has been made under this contract.
(e) This clause shall only apply to laws enacted by the government of the Republic of Chad, which meet the criteria set forth above. The U.S. Government will make no adjustments in contract price due to currency devaluations or fluctuations in exchange rates.
