About this file

This is a Non-Competitive Procurement Justification Memorandum for a sole-source acquisition under the Simplified Acquisition Threshold by the Naval Surface Warfare Center, Carderock Division (NSWCCD).

NSWCCD requires the procurement of three fiber optic inertial navigation units from Exail Defense Systems, Inc. (27 Wellington Road, Lincoln, RI 02865; POC: Tom Magno; phone: 580-661-9448) to support Code 80 testing and hydrodynamic performance characterization of Navy vessels. The specific material required is Exail part number 00208375. The total estimated cost is $252,633.75 ($84,511.25 per unit) with an estimated delivery date between June 1, 2026 and September 1, 2026. The justification for sole-source procurement is based on two grounds: (1) Restrictive Rights—Exail holds proprietary rights and the OEM has indicated no other vendors can source the required commercial supplies; and (2) Exclusive Licensing Agreements—Exail is the sole leader in fiber optic inertial sensing for autonomous underwater vehicles with specialized software and algorithms tailored for underwater operations and integrated with existing Code 863 hardware and software systems. The memorandum notes that any alternative manufacturer would require significant non-recurring costs estimated at minimum $300,000 for integration and validation testing to ensure identical data output, which is critical to the fidelity and accuracy of the simulation tool delivered to customers. Benjamin Gordon (Engineer, Code 863) certified the technical requirements on January 14, 2026, and the Contracting Officer approved the sole-source solicitation on March 12, 2026.

NSWCCD SAP Non-Competitive Procurement Justification Memo

Effective April 2025

MEMORANDUM FOR FILE

FROM: Benjamin Gordon

CODE: Code 863

TO: Code 02

DATE:

SUBJECT: Non-Competitive Procurement Justification Memo for Actions Under SAT

I. BACKGROUND

1. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting

Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available.

2. FAR 8.405-6 allows for limiting sources for orders or BPAs under Federal Supply Schedules under certain circumstances or for items peculiar to one manufacturer

3. As required by FAR 13.106-3(b)(3)(i), FAR 8.405-6(a)(1), or FAR 8.405-6(b)(2), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.

II. DESCRIPTION OF ITEM OR SERVICE (Include manufacture/sole source name and address.)

The Naval Surface Warfare Center, Carderock Division (NSWCCD) has a requirement to purchase 3 fiber optic inertial navigation units. Inertial navigation systems are required to support Code 80 testing. They provide critical data channels for our testing, as they provide insight into vehicle movement, rotation, and acceleration. This directly informs and characterizes the hydrodynamic performance and behavior of Navy vessels, which is Code

863's role within Carderock

Manufacturer: Exail Defense Systems, Inc.

Address: 27 Wellington Road, Lincoln, RI 02865, USA

Phone: 580-661-9448

POC: Tom Magno

Estimated delivery date: Between June 01, 2026 to September 01, 2026

Estimated Cost: $$252,633.75 or $84,511.25 per unit

III. BASIS FOR DETERMINATION FOR USE OF OTHER THAN FULL & OPEN COMPETITION

Explain below the market research that was conducted.

☐ A. BRAND NAME.

☐ 1. Restrictive Rights.

☐ 2. Exclusive Licensing Agreements.

☐ 3. Federal Supply Schedule (FSS) IAW FAR 8.405-6(b).

☐ 4. Other Reasons..

☒ B. SOLE SOURCE. (select all that apply)

☒ 1. Restrictive Rights. The source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service required.

NSWC Carderock utilizes Exail hardware to support its hydrodynamic testing. The OEM has indicated that no other vendors can source these commercial supplies. The material required is EXail part number 00208375.

☒ 2. Exclusive Licensing Agreements. The item or service is only available from the Original Equipment

Manufacturer (OEM), or there is only one authorized distributor or technical representative for the OEM.

Exail is the leader in fiber optic intertial sensing for autonomous underwater vehicles (AUVs). Their software and algorithms have been tailored for underwater operations and natively interface with a wide variety of external sensors. These sensors provide accurate measurement of the vehicle’s inertial motions. The accuracy of this measurement is further improved by fusing a variety of external inputs, many of which are already integrated into

Code 863’s vehicles. Their Compact Series of products offer scalable systems with similar architectures and interfaces, reducing integration and non-recurring costs required to develop software and hardware to support the measurement of this critical data. Any other manufacturer would not be guaranteed to interface with the remainder of our hardware and software system. A change in this hardware, which has already been proven out by

Code 863 and has been in service for 7 years, would require significant testing to ensure that the new hardware produces identical data. The ability to produce consistent, repeatable data is vital to our customers, as our primary deliverable is a simulation tool. Without consistent, repeatable data, the fidelity and accuracy of the tool decrease significantly. If a non-Exail inertial navigation system was pursued as an alternate solution, a significant non-recurring cost would be incurred to Code 863 to support its integration and validation. This cost is estimated to be at least $300,000.

☐ 3. Other Reasons. Other reason not identified above. Provide details on mission impact if requirement is not solicited from only one source.

4. Federal Supply Schedules (FSS): IAW FAR 8.405-6(a)(1)

☐ a. An urgent and compelling need exists, and following the procedures would result in unacceptable delays;

b. Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or

☐ c. In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal

Supply Schedule order provided that the original order was placed in accordance with the applicable

Federal Supply Schedule ordering procedures. The original order or BPA must not have been previously issued under sole-source or limited-sources procedures.

Provide details as to how the requirement fits into the circumstances selected above. Provide details on why another source would not be capable of meeting the requirement.
