Source Selection Information – See FAR 2.101 and 3.104

SOLE SOURCE JUSTIFICATION
1. Identification of Agency and Contracting Activity.
The requiring activity is the Naval Oceanographic Office (NAVOCEANO); the contracting activity is the Naval Supply Systems Command (NAVSUP) Fleet Logistics Center (FLC)
Norfolk Contracting Department, Fleet Directorate.
2. Description of the Action Being Approved.
This is a sole source action for the provision of Repair and Maintenance Support Services in support of NAVOCEANO onboard Stennis Space Center, Mississippi. NAVOCEANO requires evaluation and repair of their mission side scan sonar equipment that is used to collect physical oceanographic data. This is a new requirement.
3. Description of Supplies/Services.
The proposed acquisition is for the repair and maintenance of NAVOCEANO’s fleet of ten (10)
Klein Marine Systems K5900 tow fish systems to maintain system operation. The contractor will provide full system and single component evaluations on equipment. The evaluations will specify the amount of service materials and service engineering work units needed to bring the equipment back to full working order. Additionally, the contractor will provide new replacement components for the Klein Marine Systems K5900 tow fish and related topside equipment.

(IDIQ) contract will contain one (1) five-year ordering period as follows:
4. Statutory Authority Permitting Sole Source.
The statutory authority permitting this sole source action is 41 U.S.C. 1901, Simplified acquisition procedures - a sole source acquisition using simplified acquisition procedures for the acquisition of commercial items, as implemented by FAR 13.501(a).
5. Rationale Justifying Use of Cited Statutory Authority.
N7 is charged with providing fully operational side scan systems that are installed and ready to support NAVOCEANO missions. Under the leadership of NAVOCEANO, NP6 conducts high resolution bottom scans of the ocean bottom to capture vital characteristics that are needed in areas of interest for the United States Navy. Klein Marine Systems side scan equipment is used as the primary part of the data collection system. This side scan data is used to protect and defend U.S. Navy assets from adversaries. NAVOCEANO currently owns and operates ten (10) complete K5900 Klein Marine Systems side scan systems that were purchased between 2013 and
2020. Each system has an estimated value of $1 million with a total investment of $10 million for all ten (10) systems.
The Klein Marine Systems side scan equipment is used to create extremely highly detailed maps of the ocean bottom. The data is taken a very low angle referenced to the ocean bottom. Due to this low angle, the data can be used to estimate height and physical make up of targets found on the bottom. These data and targets are then interpreted into layer maps by NAVOCEANO geophysicists. The resulting dataset is used to develop a baseline data set that can be used to assess the safety of the surveyed areas. This safety assessment is used during subsurface warfare to determine if U.S. Navy assets may safely transit in these areas. Without new data collection for the database, updates to the safety assessments areas would cease, thereby creating a gap in the Fleet's ability to determine safe areas for U.S. Navy assets to traverse.
Klein Marine Systems is the only principal source for parts, testing and repairs as all electronic components and materials for these systems are proprietary, copyrighted or patented and cannot be replaced with after-market or generic parts. The K5900 tow fish side scan systems are highly complex systems that contain specialized hardware and use proprietary moldings and techniques.
Only certified Klein Marine Systems personnel and parts can safely be utilized to repair the systems.
As the Original Equipment Manufacturer (OEM), only Klein Marine Systems has the proprietary information to evaluate, test and repair N7’s side scan equipment. No other manufacturers are acceptable. The only other alternative would be to purchase completely new side scan systems.
This would be an unreasonable alternative because the cost to purchase new systems would be much greater than the cost to keep and repair them. Based on previous pricing, the total cost to replace each system would be $1 million with a total cost of $10 million for all systems. This is far more than the estimated cost for repair and maintenance over the five-year ordering period.
Furthermore, failure to acquire this necessary repair and maintenance will eliminate NP6’s ability to collect side scan data. This will affect the ability to assess area safety for navy assets.
This will put into jeopardy the naval community which would result in the of loss of U.S. Naval vessels. No alternative solution exists. No other vendor provides the capabilities. The effects described above will impact all fleet operations and mission areas including Anti-Submarine
Warfare (ASW), Mine Warfare (MIW), Naval Special Warfare (NSW), Expeditionary Warfare
(EXW), and Navigation (NAV).
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable, including a Description of Market Research, if applicable, and a List of Interested Sources, if any.
Market research included a review of potential sources, contacting knowledgeable individuals in the Government, querying the Government-wide database of contracts and other procurement instruments intended for use by multiple agencies, a review of previous acquisitions for similar requirements, and reviewing publicly available information regarding market capabilities.
A Request for Information (RFI)/Sources Sought Notice (SSN) was posted to the Government-wide Point of Entry (GPE) on 21 April 2025. Klein Marine Systems was the only vendor that expressed interest in this requirement, and it was determined that there are no additional vendors capable of providing the support services required. No additional market research was conducted because it is not practicable, for the reasons discussed in Paragraph 5 above, for any company other than Klein Marine Systems to provide the required services.
These services are classified under the North American Classification System Code 334511, Search, Detection, Navigation, Guidance, Aeronautical, and Nautical System and Instrument
Manufacturing, with a size standard of 1,350 employees, which Klein Marine Systems qualifies as a small business.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined that the anticipated cost to the Government of the services covered by this Justification will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in Paragraph 5, NAVSUP FLC Norfolk, Fleet Directorate has no plans at this time to compete future contacts for the types of services covered by this document. If another potential source emerges, FLC Norfolk will assess whether competition for future requirements is feasible.
Potential sources for the proposed acquisition will have another chance to express their interest in the requirement via the following posts to the NECO and SAM websites:
➢ Combined Synopsis/Solicitation (which will be made available after approval of the pre-solicitation clearance package – including this sole source justification document)
➢ Sole Source Justification (which will be posted within fourteen (14) days of contract award – in accordance with FAR 13.501(a)(1)(iii). This posting will remain available for a minimum of thirty (30) days in accordance with FAR 6.305(d)(3).
➢ Post Award Synopsis – in accordance with FAR 5.301
In the event a follow-on acquisition package is provided by the requiring activity, the contracting office will post an RFI/SSN to the NECO and SAM websites. As part of this notice, interested parties will be instructed to identify any areas of the draft PWS that appear to restrict competition. This information will be analyzed by the requiring activity and contracting office before finalizing the PWS for the follow-on requirement. Furthermore, interested parties will be asked to provide a statement of capabilities, displaying their ability to provide the services outlined in the notice. The requiring activity and contracting office will review the results of this notice before selecting an acquisition strategy for any potential follow-on.
