About this file

This is a Justification for Other than Full and Open Competition document submitted by the Defense Commissary Agency (DeCA), Enterprise Acquisition Division.

DeCA seeks to extend Contract HDEC0519D0013 with Rentokil North America, Inc. for integrated pest management services across DeCA facilities in the East, Central, and West regions of the United States for the period of July 1-31, 2026, with an optional extension through August 31, 2026. The services include routine inspections and monitoring, preventive treatments, emergency response for infestations, and sanitation and compliance reporting required for food-handling facilities. The extension value is estimated at $45,000 for the one-month period, with potential total value of $90,000 if the optional month is exercised. All services will be funded by Defense Working Capital Funds, and pricing is based on existing contract rates.

The justification cites unusual and compelling urgency under 10 U.S.C. 3204(a)(2) and FAR 6.103-2, asserting that Rentokil is the only source capable of providing immediate, uninterrupted service due to site familiarity, existing installation credentials and access approvals, and the infeasibility of onboarding a new contractor across multiple geographically dispersed DoD installations within the 31-day timeframe. The contracting officer will establish price reasonableness in accordance with applicable regulations. DeCA notes that the follow-on contract will be awarded through full and open competition via the Defense Commercial Solutions Opening.

Control Number: HQC005-26-11 Justification for Other than Full and Open Competition

A. Justification

1. Contracting Office: Defense Commissary Agency (DeCA), Enterprise Acquisition Division

(CCQE).

2. Type of Contract Action: Contract HDEC0519D0013 with Rentokil North America, Inc. will be modified to extend the period of performance.

3. Description of Supplies or Services: DeCA has a requirement for the following services provided by Rentokil North America, Inc. for the period 1-31 July 2026, with an option to extend services for the period 1-31 August 2026, if required, at DeCA facilities across the East, Central, and West regions of the United States: routine inspections and monitoring; preventive treatments; emergency response for infestations, and sanitation and compliance reporting required for food-handling facilities. The total value of this one-month extension is estimated at $45,000.00, with a potential value of $90,000 if the optional period is exercised. All services will be funded by Defense Working Capital Funds.

4. Authority Cited: 10 U.S.C. 3204(a)(2) as implemented by FAR 6.103-2 Unusual and compelling Urgency

5. Reason for Authority Cited: Rentokil North America, Inc. possesses the unique nationwide coverage specific to the federal government's grocery resale environment required of DeCA's U.S. wide integrated pest management services for the short period due to the following factors:

• Continuity of Operations: Pest management in food-handling facilities cannot be paused or disrupted without risking contamination, spoilage, or regulatory violations.

• Site Familiarity: The incumbent already possesses detailed knowledge of each commissary’s layout, historical pest pressures, and mitigation strategies.

• Regulatory Compliance: Transitioning to a new provider requires onboarding, installation access approvals, and compliance certifications that cannot be completed before the current contract expires.

• Risk of Service Gaps: Any lapse in service would jeopardize food safety, violate public health standards, and expose DeCA to mission-critical operational risks.

Given these constraints, no other source can assume performance immediately without causing unacceptable delays or operational hazards.

6. Efforts to Obtain Competition: Competition was not sought for the 31-day period of performance. DeCA’s pest management requirement spans numerous geographically dispersed DoD installations, each of which maintains its own installation access procedures, background vetting standards, security protocols, and contractor onboarding timelines. These procedures routinely require favorable background checks, submission and approval of installation access

Control Number: HQC005-26-11 Justification for Other than Full and Open Competition forms, issuance of temporary or long-term badges, vehicle registration, and in many cases, escort approvals or security briefings. For new vendors, these steps must be complete individually at each installation, and processing times vary widely based on local security posture, staffing, and mission tempo.

Given the short 31-day performance period, it is not feasible for a new contractor to complete all required access actions across all affected sites in time to begin performance without delay.

Any attempt to onboard a new provider within this window would result in gaps in service, missed treatment cycles, and potential non-compliance with food safety and public health standards. The incumbent contractor, by contrast, already possesses the required installation credentials, badges, and access approvals, enabling them to continue providing uninterrupted pest management services. Therefore, due to the cumulative time required for multi-installation access processing and the operational risks associated with service disruption, only the incumbent contractor can meet the Government’s immediate needs during the 31-day extension period.

Notice was or will be publicized as required by Revolutionary FAR Overhaul Part 5 – Publicizing Contract Actions as implemented by DoD Deviation 2026-O0003 to the Governmentwide point of entry (GPE) at https://www.sam.gov

7. Fair and Reasonable Cost Determination: The Contracting Officer will ensure that contract terms, conditions and price are commensurate with the Government’s need. Price reasonableness will be established in accordance with DoD Deviation 2026-O0048 DFARS PGI 215.402-70(b). The price for the one-month extension is based on existing contract rates.

8. Market Research: Market research specific to the 31-day performance period was not conducted because this short-term requirement was unanticipated and arose solely due to delays in awarding the follow-on action. The need for this action was identified only after schedule impacts associated with the award process made it impossible to complete the competitive award prior to expiration of the current contract. As a result, there was insufficient time to conduct meaningful market research tailored to this limited 31-day period without risking a lapse in mission-critical pest management services.

9. Reserved.

10. Interested Sources: Rentokil North America, Inc. (1125 Berkshire Blvd STE 150, Reading, PA 19610-1218. No other sources were solicited for this specific short-term action.

11. Actions to Increase/Foster Competition: The follow-on contract award has been solicited in accordance with full and open procedures. Award will be made in accordance with the Defense Commercial Solutions Opening.
