About this file
This is a Provider Services Agreement template used by Stockton Unified School District for procuring goods and services, specifically for Bread and Bakery Products (Bid No. 25-16 and 26-16) for the 2026/2027 school year. The agreement establishes the contractual framework between the District and selected vendors to supply products as detailed in the associated RFP/Bid Documents (Attachment "A"). The contract term is effective from a specified start date through an end date, with provisions allowing for renewal upon mutual written agreement of both parties prior to expiration of the current term. The original term together with any renewal periods shall not exceed five years total. The District reserves the right to cancel the agreement in accordance with cancellation and termination clauses stipulated in the solicitation documents.
Compensation for services rendered shall be paid on a monthly basis upon satisfactory completion of delivery and receipt of an approved invoice within thirty days of receipt. The total estimated contract amount is subject to the pricing proposal detailed in Attachment "B," with the specific dollar amount determined by vendor proposals submitted at the bid closing date. Non-resident vendors providing services within California may be subject to state tax withholding of up to seven percent and are required to submit a CA590 or CA587 form. The Agreement mandates that vendors maintain insurance coverage from a California-admitted insurer with an A or better rating, comply with all federal, state, and local laws, maintain confidentiality regarding district and student records, and ensure that any employees with contact to minors under eighteen years of age obtain Department of Justice fingerprinting clearance before commencing services. All contract documents, including the District's Terms and Conditions, RFP/Bid Documents, Pricing Proposal, W-9 form, and Certificates of Insurance naming the District as additional insured, are complementary and collectively binding.
