About this file
This is a contract template from the City of Gallup, New Mexico for on-call lineman services to provide transmission and distribution system repairs and maintenance needs, including after-hour emergency calls. The contract establishes the general terms and conditions governing the relationship between the City and contractors providing licensed high voltage services. The contract term runs from 2026 to 2027, with provisions for the City to renew for up to three additional one-year periods through 2030 at mutually agreeable prices and the same terms and conditions. Either party may terminate the contract without cause upon thirty days' written notice, though the City may immediately terminate for cause if safety-related violations are not corrected within twenty-four hours of notice. The breaching party has fifteen calendar days to cure other breaches or arrange satisfactory remedies before the non-breaching party may pursue termination or legal remedies.
The contract specifies that contractors are independent contractors and are not entitled to employee benefits, leave, retirement, or insurance through the City. Contractors must obtain and maintain insurance throughout the contract term, naming the City as additional insured with ten days' notice required before cancellation or lapse. The contractor must maintain detailed time records subject to inspection and audit by the City Finance Department, Personnel Department, and the New Mexico Auditor. The contract incorporates indemnification provisions protecting the City from claims arising from the contractor's negligence or misconduct, requires confidentiality of information except as required by law or court order, and mandates compliance with all federal and state equal employment opportunity laws. The contract is governed by City of Gallup ordinances and New Mexico law, with payment and pricing outlined in the General Conditions section of the original solicitation.
