About this file
This is a construction contract template from Napa County, California, establishing the contractual framework between the County and a contractor for a construction project. The agreement requires the contractor to furnish all materials and labor necessary to complete the designated project in accordance with the Plans and Specifications, 2023 State of California Department of Transportation Standard Specifications, Special Provisions, and the contractor's submitted Bid Proposal. The contract structure includes a sample bid table with line items for mobilization, traffic control, and clearing and grubbing, though the specific project scope, location, quantities, and timeline are to be determined based on the actual project assigned. The contract requires execution by authorized representatives of both the County and the contractor, with corporate signatories requiring either dual officer signatures or a single signature accompanied by legal authority documentation.
The contractor shall receive compensation for all work, materials, and associated costs including losses from weather, unforeseen difficulties, work suspension or discontinuance, and all risks connected with the project. The contract incorporates specific pricing terms to be established in the bid schedule, with the total base bid to be completed in both numerical and written format. In the event of any conflict between the contractor's bid proposal and other contract terms, the other terms control and supersede conflicting bid language. The agreement requires County approval by the Board of Supervisors and review by the Office of County Counsel, with notarization required for contractor signatures and compliance with California corporate officer signature requirements if the contractor is a corporation.
