C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR

2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.5 SUPPLEMENTAL INSURANCE REQUIREMENTS

In accordance with FAR 28.307-2 and FAR 52.228-5, the following minimum coverage shall apply to this contract:

(a) Workers' compensation and employers liability: Contractors are required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.

(b) General Liability: $500,000.00 per occurrences.

(c) Automobile liability: $200,000.00 per person; $500,000.00 per occurrence and $20,000.00 property damage.

(d) The successful bidder must present to the Contracting Officer, prior to award, evidence of general liability insurance without any exclusionary clauses for asbestos that would void the general liability coverage.

C.6 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT

REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office.

Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.7 VAAR 852.242-71 ADMINISTRATIVE CONTRACTING OFFICER (OCT

2020) The Contracting Officer reserves the right to designate an Administrative Contracting Officer (ACO) for the purpose of performing certain tasks/duties in the administration of the contract.

Such designation will be in writing through an ACO Letter of Delegation and will identify the responsibilities and limitations of the ACO. A copy of the ACO Letter of Delegation will be furnished to the Contractor.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. SECTION D - CONTRACT DOCUMENTS, EXHIBITS, OR ATTACHMENTS

D.1 52.252-2 STATEMENT OF WORK

I. TITLE:

Perform the Monthly Preventive Maintenance on all 75 Signet 4630 Chlorine Analyzers and 1 HACH-CL17 Chlorine Analyzer as Per the Manufacture Recommendations and as Per the EPA Standard 334.0 Located Throughout the Service Bays and in the Outer Buildings Located at the Loma Linda Veterans HealthCare System (VALLHCS).

BACKGROUND INFORMATION

New chlorine analyzers (Signet 4630) have been installed throughout the hospital in 32 service bays and throughout the outer perimeter buildings. The chlorine analyzers require a monthly maintenance to properly calibrate and monitor the correct chlorine reading that is provided by the water going into the hospital, to be compliant with the manufacture recommendations and with the EPA Standard 334.0.

II. OBJECTIVES:

Contractor shall furnish all supervision, labor, transportation, equipment, materials, supplies, and tools, to accomplish the following:

• Contractor shall provide a detailed plan of action when commencing monthly calibration.

• Contractor shall provide daily work schedule to plant operators.

• Contractor shall make sure chlorine analyzers have the proper water flow.

• Contractor shall use a diethyl -p-phenylenediamine (DPD) colorimeter test kit to calibrate the Signet 4630.0 Chlorine Analyzers (2 analyzers located in each service bay).

• Contractor shall provide the chemicals for the chlorine analyzers and Hach CL17 Systems.

• Contractor shall properly polish the gold sensor electrode every 3 to 6 months.

• Contractor shall properly replace the internal electrolyte every 3 to 6 months.

• Contractor shall perform maintenance on the chlorine analyzer when chlorine readings are below the required manufacture limits and unable to maintain calibration for longer than 5 days.

• Contractor shall clean the chlorine analyzer flow cell as required.

• Contractor shall replace any unserviceable 3/8” ID plastic tubing on the chlorine analyzer.

• Contractor shall calibrate chlorine sensor any time a new sensor is installed.

• Contractor shall calibrate the analyzers anytime a membrane cap is replaced.

• Contractor shall calibrate the chlorine temperature sensor.

• Contractor shall calibrate the Hach-CL17 monthly (located in 1D-01

Mechanical room).

• Contractor shall provide the SDS of chemicals being used.

• Contractor shall dispose of all trash at an approved dumping site off campus.

• Contractor shall provide the manuals for the chlorine analyzers.

• Contractor shall provide a class on the operation of equipment.

• Contractor shall provide a point of contact and phone number.

III. SPECIFIC REQUIREMENTS:

Contractor shall:

• Schedule with Contracting Officer Representative (COR) or Designee five (5) business days prior to starting work.

• Conform to the following standards, policies, regulations, governing agency, and any other local, state, or federal guidelines that are not listed here.

o OSHA Regulations, www.osha.gov o NFPA, www.nfpa.org

• Check in with Boiler Plant personnel daily.

• Provide daily work schedule to Boiler Plant personnel daily.

• Use proper protective gear while working on VA property.

• Ensure ALL energy sources (electrical, water, etc.) are locked/tagged-out prior to work.

• Ensure ALL energy sources (electrical, water, etc.) are re-energized and operational after completion of work.

• Provide all documentation on new equipment.

IV. PERIOD OF PERFORMANCE:

Monday through Friday. Starting time 0600-1600. All work will be coordinated with the

COR.

Contractor personnel shall present a neat appearance and be easily recognized as Contractor employees. Example: wearing of distinctive clothing such as uniform, badges, patches, etc.

VIII. SMOKING AND VAPING POLICIES:

Smoking and vaping are prohibited on Government property.

IX. SAFETY AND PPE EQUIPMENT:

Shall be provided for each Contractor employee by the Contractor.

X. OVER AND ABOVE REPAIR:

Upon discovery of a malfunctioning part the Contractor shall immediately notify the COR.

The repair job shall not be initiated until approval is obtained from the Contracting Officer and appropriate Facilities Staff/COR. Charges for repair, labor and parts shall originate only when required and upon prior approval being granted by the Contracting Officer. At the VA’s option the Contractor may be requested to provide a price quotation for the repair job. The VA has sole discretion to select the Contractor who will provide these repair services and they will be ordered as a separate action (not as a part of this contract).

XI. GUARANTEE:

The contractor will guarantee workmanship and all parts furnished by the contractor for a period of one (1) year from the date of installation. Warranty for labor will be 1 year from service provided.

E.1 ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—

COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES

INSTRUCTIONS TO OFFERORS:

Offerors are notified that VA Form 10091, FMS Vendor File Request Form and W-9, Request for Taxpayer Identification Number and Certification shall be faxed directly to the VA Financial Service Center in Austin, Texas and be submitted with their quote. Failure to include this information can eliminate the offeror from award consideration or considerably delay the award.

Each quotation submitted in hard copy format shall include one copy of the quote. If an alternative quote is submitted, the Contractor shall submit one copy of the alternative quotation.

Quotes submitted by email shall be sent to Rochelle.Bennett@va.gov and will be accepted by the Government at the time the email is delivered to the Government email server. Quotes must also be in PDF, and compatible with Microsoft Office Software to be accepted. The Contractor submitting a quote is responsible for ensuring that the contract specialist has received the quote before the deadline for receipt of quotes, and the government will not be responsible for delays or failures or either the contractor’s email system or the Government’s email system. Facsimile offers will not be accepted.

System for Award Management: Contractors submitting quotes are encouraged to go to the SAM database at https://sam.gov/content/entity-registration and start the registration process as soon as possible to avoid possible delays should the contractor be selected as a prospective awardee. After initial registration, the contractor is required to update registration data as changes occur and must re-register annually to ensure all data remains current. Noncompliance with this requirement will preclude the exercising of any option periods that may be included herein and will be cause for termination of the contract at such time noncompliance is discovered. Refer to cited Clause for more details.

GENERAL INSTRUCTIONS FOR QUOTATION SUBMISSION

Format of Quotation: In order to be considered for selection, the Contractor must submit a complete response to this solicitation using the sequence and format instructions provided.

Quotes shall be clear and concise, logically assembled (with all pages appropriately numbered) and indexed and cross-indexed to applicable parts of the Statement of Work (SOW) or Request for Quotation, as appropriate. To reduce quote size, the Contractor submitting a quote shall confine submission to essential matters sufficient to define the quotation and provide an adequate basis for evaluation. The Quotation shall not contain classified data. NO ZIPPED FILES are permitted.

The Contractor submitting a quote may be asked to clarify certain aspects of their quotation.

Communication conducted to resolve minor or clerical errors will not be constituted as discussions. Although the government intends to award the contract without discussions with respective Contractors, the government reserves the right to conduct discussions if deemed in its best interest.

E.3 52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (OCT

2018)

(a) Definitions. As used in this provision—

"Administrative proceeding" means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

"Federal contracts and grants with total value greater than $10,000,000" means—

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

"Principal" means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

(b) The offeror [ ] has [ ] does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked "has" in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:

(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(i) In a criminal proceeding, a conviction.

(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.

(iii) In an administrative proceeding, a finding of fault and liability that results in—

(A) The payment of a monetary fine or penalty of $5,000 or more; or

(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(iv) In a criminal, civil, or administrative proceeding, a disposition of the matter by consent or compromise with an acknowledgment of fault by the Contractor if the proceeding could have led to any of the outcomes specified in paragraphs (c)(1)(i), (c)(1)(ii), or (c)(1)(iii) of this provision.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management, which can be accessed via https://www.sam.gov (see 52.204-7).
