c. In order to comply with the Improper Payment Elimination and Recovery Act of 2010
(IPERA), the VA has mandated electronic invoice submission to the Veterans Affairs
Financial Services Center (VAFSC). VAFSC has partnered with Tungsten Network e-
Invoicing network, for submissions of all electronic invoices to VA. Tungsten Network electronic invoicing is free to all VA vendors. In order to submit electronic invoices, all
VA vendors must register with Tungsten Network by submitting an email to
VA.Registration@Tungsten-Network.com or calling 1-877-752-0900 option 2 for
Enrollment.
d. Contractor shall submit an electronic invoice by the tenth (10th) of the following month services were performed to the Veterans Affairs Financial Services Center (VAFSC) e-
Invoice through the website at https://portal.Tungsten-Network.com/Login.aspx. For questions regarding the submission of VA electronic invoices, Tungsten Network customer service may be contacted at 1-877-489-6135.
e. All invoices shall reference the vendor name and address, customer name, contract number, appropriate obligation/funding order number, description of services provided, quantity, unit price, and total invoice amount (any additional info). Invoices shall also include any payment discount terms.
4. GOVERNMENT INVOICE ADDRESS (See SF1449 Block 18):

Invoice, to transition vendors from paper to electronic invoice submission. Please go to this website: http://www.tungsten-network.com/customer-campaigns/veterans-affairs-us/ to begin submitting electronic invoices, free of charge.
d. As of July 1, 2020, the VA10091 form has been eliminated and the VAFSC is requiring our vendors to update and add their information in the Customer Engagement Portal
(CEP) at https://www.cep.fsc.va.gov/. This is for new vendors being added to FMS only.

5. ACQUISITION OF COMMERCIAL ITEMS:
This Request for Quote (RFQ) solicitation is issued under the authority of FAR Part 13.5
Simplified Procedures for Certain Commercial Items in which simplified acquisition procedures in FAR Part 13 will be used. FAR Part 14 and 15 will not be used. From this
RFQ, the Government intends to award a firm-fixed price contract where the contractor provides a price that is not subject to any adjustment on the basis of the contractor’s cost experience in performing the contract.

7. CONTRACTING OFFICER AUTHORITY:
The Contracting Officer is the only person authorized to approve changes or modify any of the requirements under this contract. The Contractor shall communicate with the Contracting
Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitment or issue changes that will affect price, quantity or quality of performance of this contract. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in cost incurred thereof.
8. PARKING, SMOKING AND VA REGULATIONS:
a. It is the responsibility of the Contractor to park in the appropriate designated parking areas. Information on parking is available from the VA Police Section. The VA will not invalidate or make reimbursement for parking violations of the Contractor under any conditions.
b. All VA facilities are drug free.
c. All contractor personnel are required to adhere to all VA rules and regulations.
d. Smoking is prohibited on the entire campus, both inside and outside the VA Facility
e. Possession of weapons is prohibited. Enclosed containers, including tool kits, shall be subject to search. Violations of VA regulations may result in citation answerable in the
United States (Federal) District Court, not a local district, state, or municipal court.
f. VHA DIRECTIVE 1192: This Veterans Health Administration (VHA) directive establishes policy and provides guidance for the prevention of seasonal influenza in VHA facilities through the vaccination or masking of health care personnel (HCP).
AUTHORITY: Title 38 United States Code (U.S.C.) 7301(b), 7318(b). Contractor is responsible for providing face masks and influenza vaccines for all employees working at a VA facility. If Directive 1192 is applicable the Contractor, in conjunction with the
Contracting Officer Representative (COR), is responsible in ensuring that all aspects of this directive are implemented.
9. SECURITY & PRIVACY CONTROL:
The Authorization & Accreditation (A&A) requirements of VHA Handbook 6500.6 do not apply to this requirement, therefore, a Security Accreditation Package is not required. No A&A or
MOU/ISA is required. Sensitive information exposure as part of this contract involves applicable security controls within the facility as part of the VA Information Security

SUPPLIES OR SERVICES AND PRICES/COSTS
PATIENT LIFT UPGRADE SERVICE
The Contractor shall provide all supervision, labor, material, and equipment necessary to accomplish upgrades to Patient Lifts as defined in the Statement of Work for the Facilities as listed in the Statement of Work.
An order shall be considered placed upon Contractor’s receipt of task order countersigned by Contracting
Officer.
The total maximum amount of services acquired under this contract shall not exceed $1,500,000.00.
The minimum amount of services acquired under this contract shall be no less than $200,000.00.
The quantities indicated in the Est. Qty. Column are estimated quantities only and shall be considered nonbinding.
Task orders for equipment and installation will be issued over a five (5) year period of performance to commence at contract award and end on August 31, 2025.
This contract ordering period shall be DATE OF AWARD through AUGUST 31, 2025.

STATEMENT OF NEED/WORK/SPECIFICATIONS
1. DESCRIPTION OF EQUIPMENT:
Contractor shall provide equipment that meets the following specifications:
A. Patient lift model that supports weight up to 770lb
B. Patient lift model that supports weight up to 770lb with Scale
C. Al Lifting speed shall not exceed 2.5 inches per second with zero load
D. Lifting speed shall not exceed 1.5 inches per second under maximum rated lift capacity
E. All motor models shall include hoist, hanger and trolley that are compatible with Guldmann GH2 ceiling lift track rails (which are already installed at the facility), ceiling lift slings and existing power sources
F. All motor models must be equipped with modules that are compatible with Guldmann Care Lift
Management and service modules
2. DESCRIPTION OF SERVICES RELATED TO EQUIPMENT INSTALLATION:
A. The Contractor shall provide all supervision, labor, material, and equipment necessary to install purchased equipment.
B. Installation timelines shall be coordinated with COR when task order is issued.
C. Ceiling Lift Hoist Installation shall be performed by OEM trained technicians who are authorized to work on the equipment.
D. All ceiling lift motors shall have certified installation, weight load test performed following installation, and completed VA Corrective and Preventative Maintenance Checklist for Ceiling
Mounted Patient Lifts (ATTACHMENT A).
E. Contractor shall be able to ensure that the equipment functions in conformance with the latest published edition of NFPA-99, UL, OSHA, and VA standards.
F. Once installed contractor will assume liability for system.
G. All equipment will have one (1) year warranty from acceptance of equipment. Warranty shall cover parts and labor.

4. HOURS OF COVERAGE:
Monday through Friday, 7:00AM to 5:00PM Local Time, excluding Nationally observed holidays. If access is deemed necessary outside of these hours, these hours shall be charged at the prevailing vendor non-business travel and labor rates. The VA observes National holidays as listed below:

5. TEST EQUIPMENT:
Prior to commencement of work on this contract, the contractor shall make available to the COR, a copy of the current calibration certification of all test equipment which is to be used by the
Contractor on the VAMC’s equipment. This certification shall also be provided on a periodic basis when requested by the COR. Test equipment calibration shall be traceable to a national standard.
6. SERVICES AND PARTS NOT COVERED BY CONTRACT:
CO or COR authorization for any work or parts outside the scope of this contract must be received prior to performance of work or payment will not be authorized. Work other than the patient lift upgrades will be paid separate from this contract on a separate Purchase Order.
Purchase Order must be obtained from CO or COR prior to commencement of work.
7. CONFORMANCE STANDARDS:
Contract service shall ensure that the equipment functions in conformance with the latest published edition of NFPA-99, UL, OSHA, and VA standards. Contract warranty service shall also ensure that the equipment performance/specifications are equal to or exceed the performance/specifications when the equipment was originally accepted after procurement.
The CO may authenticate the training requirements, request training certificates or credentials from the contractor at any time for any personnel who are servicing or installing any VA equipment. The
CO or COR specifically reserves the right to reject any of the contractor's personnel and refuse them permission to work on the VA equipment. If subcontractors are used, they must be approved in advance by the CO; the contractor shall submit any proposed change in subcontractor(s) to the CO for approval/disapproval. All service personnel will be aware of and compliant with Hospital policy and procedures pertaining to safety, fire, severe weather, and emergency procedures.
8. FACILITY CHECK-IN/OUT REQUIREMENTS:
The contractor's representative will report to Biomedical Engineering, room 70-C9 prior to performance of service. If contractor must work at the facility on off hours (hours other than 7:00
AM – 5:00 PM Local Time, Monday through Friday) contractor shall report to Police Dispatch, Building 111 – East Entrance.
9. SAFETY REQUIREMENTS:
A. In the performance of this contract, all service personnel must use the “Universal Precautions”
(i.e. decontamination of medical equipment, wearing protective gloves, aprons, and goggles) during cleaning and maintenance/repair procedures. The Contracting Officer or designee will notify the contractor of any noncompliance with the foregoing provisions and action to be taken.
B. All Contractors and Subcontractors performing services for the Government are required and shall comply with all OSHA, State, County and Municipal Safety and Occupational Health
Standards and any other applicable rules and regulations. All Contractors and Subcontractors shall be held responsible for the safety of their employees and any unsafe acts or conditions that may cause injury or damage to any persons or property within and around the work site area under this contract.
10. DOCUMENTATION REQUIREMENTS:
A. Contractor shall complete a Service Field Service Report and provide a copy to the COR after the completion of each field service call. Field service reports shall include written evidence of performance of all service provided by the contractor to include itemized parts and labor if applicable.
B. Upon completion of each patient lift upgrade/installation, contractor shall complete
ATTACHMENT A - Installation Checklist for Ceiling Mounted Patient Lifts and submit to
COR.

C.3 52.216-18 ORDERING (OCT 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from Date of award through August 31, 2025.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

C.4 52.216-19 ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $100,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor—
(1) Any order for a single item in excess of $1,000,000.00;
(2) Order in excess of $1,000,000.00 per day; or
(3) A series of orders from the same ordering office within one day that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph
(b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within one days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

C.5 52.216-22 INDEFINITE QUANTITY (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the
Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the
"maximum." The Government shall order at least the quantity of supplies or services designated in the
Schedule as the "minimum."
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the
Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after August 31, 2025.
C.6 52.219-6 NOTICE OF TOTAL SMALL BUSINESS SET-ASIDE (DEVIATION
2019-01)
(a) Definition. “Small business concern,” as used in this clause, means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on
Government contracts, and qualified as a small business under the size standards in this solicitation.
(b) Applicability. This clause applies only to-
(1) Contracts that have been totally set aside for small business concerns; and
(2) Orders set aside for small business concerns under multiple-award contracts as described in
8.405-5 and 16.505(b)(2)(i)(F).
(c) General.
(1) Offers are solicited only from small business concerns. Offers received from concerns that are not small business concerns shall be considered nonresponsive and will be rejected.
(2) Any award resulting from this solicitation will be made to a small business concern.

C.7 52.219-14 LIMITATIONS ON SUBCONTRATING (DEVIATION 2019-01)
(a) This clause does not apply to the unrestricted portion of a partial set-aside.
(b) Applicability. This clause applies only to—
(1) Contracts that have been set aside for small business concerns or 8(a) participants;
(2) Part or parts of a multiple-award contract that have been set aside for small business concerns or 8(a) participants;
(3) Orders set aside for small business concerns or 8(a) participants under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F); and
(4) Orders issued directly to small business concerns or 8(a) participants under multiple-award contracts as described in 19.504(c)(1)(ii).
(c) Limitations on subcontracting. By submission of an offer and execution of a contract, the
Contractor agrees that in performance of the contract in the case of a contract for—
(1) Services (except construction). At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern.
(2) Supplies (other than procurement from a nonmanufacturer of such supplies). The concern shall perform work for at least 50 percent of the cost of manufacturing the supplies, not including the cost of materials.
(3) General construction. The concern will perform at least 15 percent of the cost of the contract, not including the cost of materials, with its own employees.
(4) Construction by special trade contractors. The concern will perform at least 25 percent of the cost of the contract, not including the cost of materials, with its own employees.
(d) The Contractor shall comply with the limitations on subcontracting as follows:
(1) For contracts, in accordance with paragraph (b)(1) and (2) of this clause—

or
_ By the end of the performance period for each order issued under the contract.

C.8 52.228-5 INSURANCE - WORK ON A GOVERNMENT INSTALLATION
(JAN 1997)
a) The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in the Schedule or elsewhere in the contract.
(b) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the
Government’s interest shall not be effective --
(1) For such period as the laws of the State in which this contract is to be performed prescribe; or
(2) Until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.
(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in subcontracts under this contract that require work on a Government installation and shall require subcontractors to provide and maintain the insurance required in the Schedule or elsewhere in the contract. C.9 SUPPLEMENTAL INSURANCE REQUIREMENTS
In accordance with FAR 28.307-2 and FAR 52.228-5, the following minimum coverage shall apply to this contract:
(a) Workers' compensation and employer’s liability: Contractors are required to comply with applicable
Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least
$100,000 is required, except in States with exclusive or monopolistic funds that do not permit workers' compensation to be written by private carriers.
(b) General Liability: $500,000.00 per occurrences.
(c) Automobile liability: $200,000.00 per person; $500,000.00 per occurrence and $20,000.00 property damage.
(d) The successful bidder must present to the Contracting Officer, prior to award, evidence of general liability insurance without any exclusionary clauses for asbestos that would void the general liability coverage.
C.10 52.237-2 PROTECTION OF GOVERNMENT BUILDINGS, EQUIPMENT,
AND VEGETATION (APR 1984)
The Contractor shall use reasonable care to avoid damaging existing buildings, equipment, and vegetation on the Government installation. If the Contractor’s failure to use reasonable care causes damage to any of this property, the Contractor shall replace or repair the damage at no expense to the Government as the
Contracting Officer directs. If the Contractor fails or refuses to make such repair or replacement, the
Contractor shall be liable for the cost, which may be deducted from the contract price.

C.11 VAAR 852.211-72 TECHNICAL INDUSTRY STANDARDS (NOV 2018)
(a) The Contractor shall conform to the standards established by: NFPA, OSHA, UL, VA Directives, State, County and Municipal Safety and Occupational Health Standards.
(b) The Contractor shall submit proof of conformance to the standard. This proof may be a label or seal affixed to the equipment or supplies, warranting that the item(s) have been tested in accordance with the standards and meet the contract requirement. Proof may also be furnished by the organization listed above certifying that the item(s) furnished have been tested in accordance with and conform to the specified standards.
(c) Offerors may obtain the standards cited in this provision by submitting a request, including the solicitation number, title and number of the publication to organizations listed above.
(d) The offeror shall contact the Contracting Officer if response is not received within two weeks of the request.

C.13 VAAR 852.212-71 GRAY MARKET ITEMS (APR 2020)
(a) No gray market or remanufactured items will be acceptable. Gray market items are Original
Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA medical facilities.
(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

C.14 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING –
MONITORING AND COMPLIANCE (JUL 2018 (DEVIATION)
(a) This solicitation includes VAAR 852.219-10
(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor’s compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor’s offices where the Contractor’s business records or other proprietary data are retained and to review such business records regarding the Contractor’s compliance with this requirement.
(c) All support contractors conducting this review on behalf of VA will be required to sign an
“Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor’s business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.
(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting
Officer to assess the Contractor’s compliance with the limitations on subcontracting or percentage of work performance requirement.
