C Statement of Work

C.1 Background

C.1.1 The United States Department of Agriculture (USDA) Natural Resources Conservation Service (NRCS) has a requirement for One Vanta C Series Handheld XRF Analyzer and accessories to be shipped to the Rhode Island State Office in Warwick at 60 Quaker Lane, Suite 40, Warwick, RI 02886-0181

C.2 Requirements/Deliverables

The scope of this requirement will include the purchase and delivery of a Soil Sampler and accessories. The project goal includes providing quality products that are durable, easily maintained, functional, and that incorporate the latest technology and sustainable design features, which improves the quality of working conditions for employees. Due to COVID-19 we are increasing the ARO to 90 days.

USDA requires a Soil Sampler similar to P/N VCA-CCC-G3-U - Vanta C Series Handheld XRF Analyzer and assessories. Only NEW PRODUCT will be accepted. If a vendor quotes a refurbished unit their quote will not be accepted. To be determined an acceptable equal, minimum specifications the Soil Sampler must meet are as follows:

D Packaging and Marking

D.1 All products shall be packaged in a manner that prevents damage during shipping and there is no damage to the product when delivered.

D.2 If the product is damaged when delivered they will not be accepted.

D.3 Any damage done by the vendor during delivery is the responsibility of the vendor and the vendor will be required to repair or replace any damages at no additional cost to the Government.

E Inspection and Acceptance

E.1 Inspection will be completed upon delivery of the equipment.

E.2 Inspection will be done by a USDA designated point of contact which will be provided upon award.

F Performance

F.1 Period of Performance

F.1.1 USDA requires that the equipment be delivered no later than 90 days after receipt of award.

G Contract Administration Data

G.1 Invoicing

G.1.1 One (1) invoice for all equipment shall be submitted after all equipment has been delivered.

G.1.2 The "Submit Invoice-to" address for USDA orders is the Department of Treasury's Invoice Processing Platform (IPP). All invoices are to be submitted via the electronic Invoice Processing Platform. This is a mandatory requirement initiated by the U.S.

G.2 Payment

G.2.1 USDA pays for services in arrears (after service is completed). No payments will be made prior to the completion of service.

G.2.2 Payment will be made after receipt of invoice or acceptance of service whichever is later.

(a) The Contracting Officer or Contracting Officer’s duly authorized representative will inspect and accept the supplies and/or services to be provided under this contract.

(b) Inspection and acceptance will be performed after each service requirement is completed.

I.5 Limitation of Authority The government assigned Project or Program Manager, Task POC, or COR are responsible for monitoring the Contractor’s performance. Any proposed modifications to the task order, such as changes to the scope of work, or to the terms and conditions of the task order must be authorized by the Contracting Officer.

I.6 Brand Name or Equal (Aug 1999)

(a)If an item in this solicitation is identified as “brand name or equal,” the purchase description reflects the characteristics and level of quality that will satisfy the Government’s needs. The salient

12 | P a g e physical, functional, or performance characteristics that “equal” products must meet are specified in the solicitation.

(b)To be considered for award, offers of “equal” products, including “equal” products of the brand name manufacturer, must-

(1) Meet the salient physical, functional, or performance characteristic specified in this solicitation;

(2) Clearly identify the item by-

(i) Brand name, if any; and

(ii) Make or model number;

(3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer;

and

(4) Clearly describe any modifications the offeror plans to make in a product to make it conform to the solicitation requirements. Mark any descriptive material to clearly show the modifications.

(c) The Contracting Officer will evaluate “equal” products on the basis of information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. The Contracting Officer is not responsible for locating or obtaining any information not identified in the offer.

(d) Unless the offeror clearly indicates in its offer that the product being offered is an “equal” product, the offeror shall provide the brand name product referenced in the solicitation.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Definitions. As used in this clause—

Covered article means any hardware, software, or service that–

(1) Is developed or provided by a covered entity;

(2) Includes any hardware, software, or service developed or provided in whole or in part by a covered entity; or

(3) Contains components using any hardware or software developed in whole or in part by a covered entity.

Covered entity means–

(1) Kaspersky Lab;
