SECTION C

SECTION C - DESCRIPTION / SPECIFICATIONS / STATEMENT OF WORK

C.1 GENERAL INFORMATION

The Government National Mortgage Association (Ginnie Mae) is a wholly owned corporate instrumentality of the United States within the Department of Housing and Urban Development (HUD). Its authority is prescribed generally by Title III of the National Housing Act, as amended (12 U.S.C. 1716 et seq.). Through its single-class and multiclass Mortgage-Backed Securities (MBS) Programs, Ginnie Mae guarantees privately issued securities backed by pools of mortgages insured or guaranteed by the Federal Housing Administration (FHA), the Department of Veterans Affairs (VA), the Department of Agriculture’s Rural Development (RD) Program, or HUD’s Native American Program (PIH). Holders of these MBSs receive a monthly “pass-through” of principal and interest payments on the pool of mortgages backing the securities, less amounts to cover servicing costs and certain Ginnie Mae fees. Ginnie Mae guarantees the registered holder timely payment of scheduled monthly principal and interest payments, loan prepayments and early recoveries of principal on the underlying mortgages. If borrowers fail to make timely payments on their mortgages, the Issuers must make the timely payments to the registered holders, using their own resources.

Through its Multiclass Securities and MBS Programs, Ginnie Mae provides a structure for channeling funds from the nation’s capital markets into the housing market. Multiclass securities products include Real Estate Mortgage Investment Conduit (REMIC) Securities and Platinum Securities. The U.S. Government’s full faith and credit guaranty backing the securities makes them widely accepted in those sectors of the capital markets that otherwise would not be likely to supply funds to the mortgage market. The funds received through the sale of the securities are used to make residential and other mortgage loans. Through this process, the program serves to increase the overall supply of credit available for housing and helps to ensure that credit is available at reasonable interest rates.

a. This contract will contribute toward the Ginnie Mae Program by providing highly complex securitized mortgage, mortgage derivative, and mortgage related product expertise to ensure that Ginnie Mae designs, develops and issues new Ginnie Mae securities that are favorably received by the market and significantly contribute towards Ginnie Mae’s mission to support expanded affordable housing in America by providing an efficient government-guaranteed secondary market vehicle linking the capital markets with Federal housing markets.

Ginnie Mae requires a contractor that shall provide for full service capital markets guidance and expertise on executing and operating Ginnie Mae’s Multiclass Securities Program.

The services listed in the Statement of Work (SOW) must be performed for the benefit of Ginnie Mae and to ensure the continued smooth operation of the Ginnie Mae Securities Program. One of the functions of the Securitized Transaction Financial Advisor (“Contractor”) is to provide a series of Agreed-Upon Procedures letters that Ginnie Mae can rely on to assure that Ginnie Mae Multiclass Securities are issued in accordance with the policies of Ginnie Mae and do not subject the Government to any undue risks.

Ginnie Mae requires these services on its Multiclass Securities Program. The Multiclass Securities Program increases liquidity of Ginnie Mae MBS in the secondary mortgage market.

(1) The Ginnie Mae REMIC products allow the private sector to combine restructured cash flows from Ginnie Mae MBS (including Home Equity Conversion Mortgage backed MBS) and other permissible REMIC securities to be tailored to meet investor’s preferences.

(2) The Ginnie Mae Callable Trust products permit one investor to receive the cash flows from the underlying MBS, while another investor has the right to buy the underlying MBS, under certain circumstances, thereby calling or terminating the Callable Trust.

(3) The Ginnie Mae Stripped Mortgage-Backed Securities (SMBS) Trust program complements the REMIC program and involves the allocation of principal and interest from pass-through securities in differing proportions than exist in the underlying mortgage loans. The SMBS Trust program can add value to investors by creating unique price-yield relationships enabling investors to: (1) better hedge prepayment risk, (2) manage portfolio convexity, control duration gap, as well as achieve desired hedging positions within the mortgage sector.

This letter is delivered to you in our capacity as your Structured Transaction Financial Advisor in connection with the proposal to issue and sell Ginnie Mae REMIC Trust [Deal Number] Guaranteed REMIC Pass-Through Securities [and MX Securities] (the “Securities”), described in an Offering Circular Supplement dated [Print Date] to a Base Offering Circular dated April 1, 2008 (collectively, the “Offering Circular”), prepared by [Sponsor Name], as Sponsor. The Accountant for these Securities is [Accountant Name]. It is our understanding that the Ginnie Mae Multiclass Securities Guide, April 1, 2008 Edition (the “Ginnie Mae Multiclass Securities Guide”), is the version in effect for this transaction. Capitalized terms used and not otherwise defined herein shall have the meanings assigned to them in the Glossary in Parts I and II of the Ginnie Mae Multiclass Securities Guide and the Standard Sponsor Provisions, April 1, 2008 Edition.

1. At your request, we have obtained, read copies of and relied upon the following documents, which we have assumed to be in conformity with authentic originals:

a. Offering Circular;

b. Sponsor Agreement, dated the date hereof, containing the Sponsor’s assurances regarding structural integrity; and

c. A draft of the Accountant’s Agreed-Upon Procedures Letter concerning the Offering Circular dated the date hereof (the “Accountants’ Offering Circular Letter”).

2. Using the Trust Assets, the Modeling Assumptions and Securities principal and interest payment terms described in the Offering Circular, as to the Securities and the Trust Assets (or, if the Securities are segregated into Security Groups, as to each such Security Group and the Trust Assets underlying that Security Group), we have recalculated the following:

a. the principal balance of the Trust Assets (net of any portion thereof payable as part of the Trustee Fee) and the principal balance of the Securities, over the life of the Securities. We found that the recalculated principal balance of the Trust Assets (net of any portion thereof payable as part of the Trustee Fee) will always be equal to or greater than the recalculated principal balance of the Securities, irrespective of the rate of prepayments on the Trust Assets.

b. the highest potential weighted average Class Interest Rate for the Securities over the life of the Securities. We found that the Certificate Rate of the Trust Assets will always be equal to or greater than the recalculated highest potential weighted average Class Interest Rate, irrespective of the rate of prepayments on the Trust Assets or level of the index related to the Floating or Inverse Floating Rate Classes, if any.

c. as to each Class of Security, the latest Distribution Date on or before which the final payment due on that Class will be made. We found that the Final Distribution Date for each Class of Security is the same as or later than the recalculated latest Distribution Date for that Class of Security, irrespective of the rate of prepayments on the Trust Assets.

Using the Trust Assets, the Modeling Assumptions, and the Securities principal and interest payment terms described in the Offering Circular and based upon the foregoing procedures, we have determined that the cash flow from the Trust Assets can fulfill the obligations to the Holders of the Securities under all possible patterns of cash flow and combinations set forth in the Available Combinations Schedule, where applicable, assuming timely payment on the Trust Assets and no other expenditures of the Trust except for the Trustee Fee.

3. We have read the sections of the Offering Circular that describe distributions of principal and interest and determined that the Offering Circular appropriately describes the distributions on the Securities being offered.

4. We have read a draft of the Accountants’ Offering Circular Letter and have determined that it states that all material quantitative disclosures regarding the characteristics of the Trust Assets and the Securities have been recomputed by the Accountants.

5. We determined that all Interest Only, Principal Only, leveraged Inverse Floating Rate, Non-Sticky Jump Classes and other Classes that will be sold at the Closing Date at a significant premium or discount to their Original Class Principal Balances, if any, are designated in the Offering Circular to be sold as Increased Minimum Denomination Classes. We also determined that there are no Classes in the Securities Structure which appear to present an increased risk of Ginnie Mae having to perform under its guarantee of the Securities, assuming timely payment of principal and interest on the Trust Assets.

It should be understood that we make no representations regarding questions of legal or tax interpretation. Further, we have addressed ourselves solely to the foregoing data as set forth in the Offering Circular and make no representation regarding the adequacy of disclosure or regarding whether any material facts have been omitted. Had we performed additional procedures, other matters might have come to our attention that would have been reported to you.

This letter is solely for the information and use of Ginnie Mae and its Legal Advisor in conducting and documenting their investigation of the acceptability of the proposed Securities to the Ginnie Mae Multiclass Securities Program and is not to be used, circulated, quoted, or relied upon by, nor may copies be delivered to, any other person without our prior consent.

We understand that the Accountants’ Offering Circular Letter will not be issued until such time as the Accountants have received the final bound copy of the Offering Circular. Because this letter is dependent on the Accountants’ Offering Circular Letter, this letter must be considered held “in escrow” and not relied on until the Accountants’ Offering Circular Letter is issued. If the Accountants’ Offering Circular Letter is not issued or does not conform to the draft we have reviewed, this letter may not be relied on and should be returned to us.
