About this file
This document is a Request for Response (RFR) issued by the Massachusetts Department of Public Health (DPH) seeking qualified attorneys and legal support staff to provide department-wide legal services. DPH is procuring this as a master agreement contract, which will create a qualified list of consultants that DPH bureaus, programs, and hospitals can contact for specific services as needed. The RFR outlines three categories of attorney services (Lead Poisoning, Guardianship, and Other) as well as a fourth category for legal support services. Responses will be accepted for the duration of the contract, which is anticipated to be up to 5 years with one 5-year renewal option.
Compensation will be based on an hourly rate, which bidders must propose in their response. Accepted applicants will execute a contract with DPH and be placed on the master agreement list. Individual engagements will involve DPH bureaus negotiating a specific scope of services and hourly rate, not to exceed the bidder's proposed maximum rate. The RFR also includes requirements around the Supplier Diversity Program, Prompt Payment Discounts, and submission of documents with original ink signatures.

1.0 Procurement Scope and Description:
The Department of Public Health is seeking qualified attorneys to provide department-wide legal services and and/or legal support services. DPH is seeking individual attorneys or organizations in three service categories to serve DPH. A fourth category is seeking individuals or organizations to provide legal support services. This will be a rolling enrollment RFR, which means that responses will be accepted for the duration of the contract.
DPH is procuring this as a master agreement contract, a process that creates a qualified list of consultants. Vendors who qualify and are added to the contract are not guaranteed any work from the department. As needed, bureaus, programs and hospitals within DPH will contact vendors for specific services, and negotiate and execute an engagement agreement (process described below) that describes the specific services and compensation with the selected vendor. Engagements can be executed by DPH bureaus throughout the life of the contract. References to “bureau” in this document include all Department of Public Health bureaus, offices, programs, hospitals, and laboratory.
Contracts and engagements signed as a result of this solicitation are not intended to supersede any statewide contract; including services covered by ITS51DesignatedITD- eDiscovery Services (or successor procurements).

The Department of Public Health is endeavoring to deliver the best value to facilitate our needs. However, it is important to measure the contractor’s performance to ensure the contract is in compliance with what has been requested and what the contractor has offered in this RFR. The following performance areas will be subject to measurement:
1. Timely Delivery (Commodities, Services, Reports, Billing, etc.)
2. Responsiveness to Departmental Inquiries
3. Quality of Deliverables (Commodities, Services, Reports, etc.)
4. Performance Targets/Benchmarks (Quantities, Outcomes, etc.)

4.0 Compensation Structure and Engagement Process
Vendors on this contract will be compensated at an hourly rate established for the initial duration of the contract. Bidders will submit a proposal application with a maximum hourly rate along with credentials in their specialty, along with other required documents. References will be required. The Procurement Team will review the submissions and finalize a maximum rate with the bidder. Acceptable applicants will execute a contract with the department and be placed on the master agreement list.
A DPH bureau will conduct an engagement process for the purpose of doing work under this contract by contacting a vendor on this contract to negotiate a specific scope of services and the hourly rate. The negotiated hourly rate must not exceed the maximum hourly rate bid and accepted at contract execution. Department bureaus are encouraged to negotiate a lower hourly rate from the maximum rate posted for the consultant. The scope of services, hourly rate, and billing arrangements will be detailed in an engagement document to be signed by the consultant and the bureau.
For individuals contracted under this master agreement an Employment Status Form must be completed by the bureau to determine and assure that individuals on the contract are independent contractors at the time of engagement. The form affirms that 1) the individual does not devote substantially full time to the business of the department and 2) the individual provides services for more than one client at a time or to the general public.
Consultant billing must not occur more frequently than monthly. Invoices should be submitted monthly, within thirty (30) days after the end of the month in which the services were rendered with the specific date of service, the identity of the authorized person who provided the service, the amount of time spent in providing the service, a description of the work performed, the Department Program the work was provided for, the amount charged for the service and all itemized additional covered charges.
This contract does not include costs for commuting to and from work for the Department of Public Health offices, hospitals or laboratory. If additional travel and travel related expenses are required, the bureau engagement contract manager will specify the circumstances and compensation with a maximum according to the state standard in advance in the engagement agreement signed between the bureau and the vendor. All compensated in-state or out-of-state travel must have prior approval included in the engagement agreement.
During the life of this contract DPH reserves the right when deemed advantageous to DPH to utilize fixed price billing for specific deliverables.
Payment through Electronic Funds Transfer is required for any contract awarded through this solicitation. COMMBUYS Bid Solicitation for this form.

Supplier Diversity Program (SDP): The Supplier Diversity Program (formerly known as Affirmative Market Program) was established in September, 2010 via Executive Order 524 to promote equality in the state contracting market by ensuring full participation of minority and women owned business enterprises (M/WBEs) in all areas of state contracting including construction, design, goods and services. The Executive Order consolidates the State Office of Minority and Women Assistance (SOMWBA) and Affirmative Market Program (AMP) into a new Supplier Diversity Office (SDO) that is part of the Operational Services Division. Similarly, Executive Order 546 established the Service-Disabled Veteran-Owned Business Enterprise (SDVOBE) Program to encourage the participation of businesses owned and controlled by service-disabled veterans in all areas of state procurement and contracting, thereby including them in the SDP. The essence of both Executive Orders is to provide policies to promote the award of state contracts in a manner that develops and strengthens certified Minority and Women Business Enterprises (M/WBEs) and Service-Disabled Veteran-Owned Business Enterprises (SDVOBEs), because a diverse business community strengthens the economy and is beneficial to all of the citizens of the state.
Additional information about SDP can be found in the Supplier Diversity Program (SDP) Plan section of the “Additional Requirements” document found on the COMMBUYS Bid Solicitation. The Supplier Diversity Program (SDP) Plan Commitment & Declaration of SDP Partner(s) form can be found at the COMMBUYS Bid Solicitation.
The SDP plan counts for 10% of the total proposal review score. Unless there are documented extenuating circumstances, no contract will be executed with a provider unless a percentage commitment of the contract amount has been made with at least one SDP-certified business.
Prompt Payment Discounts (PPD) All bidders responding to this procurement are strongly encouraged to participate in the Commonwealth Prompt Payment Discount (PPD) initiative for receiving early and/or on-time payments. PPD benefits both contractors and the Commonwealth. Contractors benefit by increased, usable cash flow as a result of fast and efficient payments for commodities or services rendered. Participation in the Electronic Funds Transfer initiative further maximizes the benefits with payments directed to designated accounts, thus eliminating the impact of check clearance policies and traditional mail lead time or delays. The Commonwealth benefits because contractors reduce the cost of products and services through the applied discount. Payments that are processed electronically can be tracked and verified through the Comptroller’s Vendor Web system. The PPD form can be found on the OSD Forms page and in this solicitation at the COMMBUYS Bid Solicitation.
