52.212-4 Contract Terms and Conditions--Commercial Items MAY 2015 52.212-5 Contract Terms and Conditions Required to MAY 2015

Implement Statutes or Executive Orders -- Commercial Items.

52.217-8 Option to Extend Services NOV 1999 52.252-2 Clauses Incorporated by Reference FEB 1998

FAR 52.212-4 -- Contract Terms and Conditions -- Commercial Items (May 2015)

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights --

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C.3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal, or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(g) Invoice.

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include --

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, contract line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer— System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C.

3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment.

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt Payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR Part 1315.

(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall—

(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the—

(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);

(B) Affected contract number and delivery order number, if applicable;

(C) Affected contract line item or subline item, if applicable; and

(D) Contractor point of contact.

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.

(6) Interest.

(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C. 7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period at fixed by the Secretary until the amount is paid.

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.

(v) Amounts shall be due at the earliest of the following dates:

(A) The date fixed under this contract.

(B) The date of the first written demand for payment, including any demand for payment resulting from a default termination.

To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(2)

(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day’s written notification of its intention to:

https://www.acquisition.gov/

(i) Any such clause is unenforceable against the Government.

(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.

(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

D.1 Desk Study on Enhanced Coalbed Methane Development and Carbon Dioxide Storage in

India Statement of Work (SOW)

STATEMENT OF WORK

FOR A

DESK STUDY ON ENHANCED COALBED METHANE DEVELOPMENT AND

CARBON DIOXIDE STORAGE IN INDIA

1.0 Overview

The U.S. Trade and Development Agency (USTDA) is a foreign assistance agency that delivers its program commitments through grants and contracts. The projects supported by USTDA activities represent strong and measurable development priorities in the host country and offer opportunities for the sale of U.S. goods and services. Requests for USTDA assistance are made by either public or private sector project sponsors for implementation in developing and middle income countries.

2.0 Scope of Work

USTDA requires services under this non-personal services Contract to support or improve its decision-making relative to the funding of a project or activity in a developing or middle-income country. The Contractor shall provide a report (a “Business Confidential Analysis and Recommendation”) to USTDA, which will:

• Assess and justify whether or not USTDA should provide funding for the proposed study, technical assistance or other trade capacity building activity, herein after referred to as “study,” and

• Provide supporting analysis and recommendation on the above information in a final report that analyzes all the relevant issues.

• In addition, the Contractor shall assess the potential of the relevant market sector in the host country for U.S. suppliers of goods and services in a Public Market Report suitable for public distribution.

Specifically, USTDA has received a request for funding from a private oil and gas developer in India for a feasibility study to be conducted by a U.S. firm on the Enhanced Coalbed Methane project. In support of that request, USTDA has received a proposal from the U.S. firm to perform the assistance. USTDA is now considering whether to provide funding for this study.

The Contractor’s recommendations shall be based upon USTDA funding criteria, which are that the project must: (1) be likely to receive implementation financing, and in addition, have a http://www.acquisition.gov/ procurement process that provides “equal access” to U.S. firms; (2) represent an opportunity for sales of U.S. goods and services that is many times greater than the initial investment of USTDA assistance; (3) be a development priority of the project sponsor and country where the project is located and have the endorsement of the U.S. Embassy in that nation, and (4) involve U.S.

companies that are facing market entry problems and/or strong competition from foreign companies which often receive subsidies and other support from their governments.

USTDA intends to contract with a U.S. firm (Contractor) to perform a Desk Study to assess: (1) whether or not the project meets USTDA’s basic funding criteria (above); (2) recommend the appropriate Terms of Reference (TOR) for the study; and (3) develop an appropriate budget for the TOR recommended for the study.

The Desk Study Contractor shall also be required to carry out the following:

1. Preliminary assessment of project viability

2. Evaluation of project financing/implementation

3. Verification of U.S. industry competitiveness

4. Assessment of foreign competition

5. Preliminary environmental impact assessment and developmental impact assessment, identifying the relevant Development Impact Indicators and anticipated outcomes

6. Analysis of U.S. labor impact

7. Terms of reference and budget review/development

8. Final Report

3.0 Period of Performance

The Period of Performance for this Contract shall be eight months from the date of the Contracting Officer's signature on the Contract.

4.0 Place of Performance

The places of performance shall be at USTDA's Office, Arlington, VA and at the Contractor’s facility.

5.0 Project Profile

This DS would review a proposal for a feasibility study to establish a commercial enhanced coalbed methane (ECBM) recovery project within the Raniganj East Coalbed Methane (CBM) field in India. ECBM takes captured CO2 (that would otherwise be emitted to the atmosphere) and injects the CO2 into coal seams to stimulate additional production of methane, and then permanently sequesters the CO2. This technology has been successfully demonstrated in four locations in the U.S. Estimates indicate that India has an ECBM resource potential of 2.5 trillion cubic feet, with some of the most attractive potential resources in the CBM production areas in Raniganj South and East.

The proposed grantee has concession areas in Raniganj East and has requested that a U.S.

company undertake an assessment of this technology on the grantee’s behalf. The project would utilize CO2 and possibly N2 currently emitted from industrial facilities in the region. The proposed study would evaluate the best source for CO2 and N2 and the feasibility of transportation and injection, as well as the regulatory environment affecting the project. In addition, the study would include preliminary environmental and development impact assessments. Successful implementation of this technology would likely require an investment of $900 million or more during the project’s first 10 to 15 years.

6.0 Methodology

In the course of carrying out this Desk Study, the Contractor must take the following steps:

6.1 After reviewing the proposal, contact the COR at (703) 875-4357 to discuss initial observations and raise any questions or concerns about the proposal and the project. At this time, USTDA will provide the Contractor with additional guidance on agency requirements for the preparation of Terms of Reference and budgets. The Contractor shall also consult with USTDA's Evaluations Department regarding the drafting of host country development impact measures for the Desk Study Final Report (see Attachment 1 below, Section L.7 of the Business Confidential Analysis and Recommendation Outline).

6.2 Review the proposal in detail and, if necessary, request additional information or clarifications from the U.S. firm. A copy of any such request should be provided to the COR.

6.3 Based on the proposal and any additional information or clarifications provided by the U.S.

firm, prepare and provide to the COR a first draft report (via email) within three weeks of receipt from USTDA Contracting Officer of notice of contract award. The draft report must be clearly marked “First Draft” on the cover. If it is anticipated that the draft cannot be provided within three weeks, the DS Contractor shall immediately contact the COR to discuss the reasons for the delay. USTDA will review the first draft report and provide comments.

6.4 Provide to USTDA and to the U.S. firm for its review and comment a second draft report, which incorporates USTDA’s comments on the first draft report (again, email attachment is acceptable) within one week of receipt of USTDA’s comments. This draft report must be clearly marked “Second Draft” on the cover. The U.S. firm will provide its comments on the second draft report to the Contractor.

6.5 The Contractor shall discuss the comments from the U.S. firm with the COR and, based on that discussion, prepare and provide to USTDA within one week a Final Report. An electronic version of the Final Report, along with an invoice, must be provided to USTDA. No hardcopy submissions are required.

The Final Report shall be grammatically and factually correct in all respects, internally consistent, and all statements and tables shall be clear and easily understood by a competent reader, and contain no typographical errors. The Contractor is responsible for quality control actions necessary to achieve quality in the delivery of the required services. The COR will reject

Final Reports not conforming in all respects to the contract requirements. The Contractor will correct all deficiencies at no additional cost to the Government. Any copies of project proposal materials must be returned to USTDA with the submission of the Final Report.

7.0 Deliverables

7.1 The Contractor shall review the proposal and provide to USTDA a Final Report, including the following two separate electronic volumes to USTDA:

(a) One Business Confidential Analysis and Recommendation. The Business Confidential

Recommendation must conform to the outline found in Attachment I and provide the requested information and analysis, unless otherwise agreed in writing by USTDA.

(b) One Public Market Report. The Public Market Report must conform to the outline found in

Attachment II and, unless otherwise agreed in writing by USTDA, provide the requested information and analysis in sufficient market detail to be useful to prospective equipment and service providers. USTDA anticipates that much of this information will also form a part of the Business Confidential Analysis and Recommendation. However, as this report may be widely distributed by USTDA, it must not contain any confidential information.

Note that USTDA may publish the Contractor’s Public Market Report on its website and/or in other media. Contractor shall ensure that Public Market Report is suitable for publication.

7.2 The Contractor shall submit all deliverables under this contract to the COR on or about November 30, 2015.

8.0 Confidentiality

The proposal of the U.S. firm is a proprietary document and should not be distributed without permission from USTDA and the U.S. firm. The Contractor shall treat any proposal and supporting information submitted by a U.S. company as business confidential in its entirety, unless otherwise stated in writing by the company. Contractor shall not include any business confidential information in the Public Market Report and shall include the following confidentiality certification in the final invoice:

“I hereby certify that the Public Market Report contains no business confidential information.”

9.0 Intellectual Property

This contract is funded by the United States Government. All intellectual property generated and/or delivered pursuant to this Statement of Work shall be subject to appropriate federal acquisition regulations which entitle the Government to unlimited rights to technical data developed exclusively with Government funds. The Government may: (1) use; (2) disclose; (3) reproduce; (4) prepare derivative works; (5) distribute copies to the public; (6) perform publicly;

and (7) display publicly, the “data” in any manner and for any purpose, and have or permit others to do so (i.e., the Government may sublicense these rights to another contractor). See FAR 52.227-14(a).

10.0 Impartiality

It is essential that the Desk Study be conducted with complete impartiality and objectivity and that the Contractor and its Subcontractors not obtain an unfair competitive advantage in USTDA-funded activities resulting from this contract. In accordance with the principles of FAR Subpart

9.5 and USTDA policy, the Contractor and its Subcontractors, if any, for this contract shall be ineligible to compete for, as a prime or subcontractor or otherwise, USTDA-funded activities that result from this contract, unless USTDA through its Office of Acquisition Management, shall have granted a waiver, based upon FAR 9.503, that preclusion of the Contractor or its Subcontractors from the follow-on activity would not be in the Government’s interest. This restriction shall remain in effect for three (3) years from the termination of this contract. The Contractor is responsible for including this restriction in all subcontracts under the contract.

11.0 Payment Schedule

• 20% after Kick-Off Meeting.

• 30% after Contractor Submission and Government Acceptance of Initial Draft Report.

• 50% after Contractor Submission and Government Acceptance of Final Report.
