This Request for Quotation (RFQ) is issued by the California Science Center, a State of California agency, seeking contractor support for Rockwell FactoryTalk software services supporting the facility's Life Support Automation Control System for aquatic exhibits. Required attachments include the California Retailer's Seller's Permit or Certification of Registration, Bidder Declaration (GSPD-05-105), Payee Data Record (STD 204), and if applicable, Payee Data Record Supplement (STD 205) and DVBE Declarations. The incentive adjustment for awards based on low price cannot exceed 5% or $100,000, whichever is less, of the #1 ranked net bid price. When used in combination with a preference adjustment, the cumulative adjustment amount cannot exceed $100,000.

H. Housekeeping: Contractor is responsible for leaving the work site clean and free from debris at the end of each working day.

I. Amendments: No charge for any extra work or material will be allowed unless the same has been ordered in writing by the Science Center Contract Manager or designee and with the approval of Science Center for prices stated in such order at which point an approved amendment to this contract would be needed before work is performed or the material is purchased.

Additional amendments required to extend the life of the Contract due to unforeseen circumstances must be approved by both parties and signed as a formal amendment.

J. Acceptable Use:

1. System Access Privileges - The Contractor is permitted to access the California Science Center's Rockwell FactoryTalk® solely for the purpose of providing technical support services, including but not limited to system troubleshooting, maintenance, configuration adjustments, and routine system checks. L. Service Transition: Upon the Science Center’s notice of termination or non-renewal, the

Contractor shall fully cooperate to ensure a smooth transition of services with minimal disruption. Within thirty (30) days of receiving such a notice, the Contractor shall submit a comprehensive Service Transition Plan for the Science Center’s approval. This plan must include a detailed timeline for the secure handover of all State data, documentation, and source code, as well as a strategy for knowledge transfer to Science Center staff or a successor contractor. The Contractor shall continue providing all service during the transition period, for a duration not to exceed ninety (90) days.

M. Service Level Agreements (SLAs): Contractor guarantees 24/7 support coverage. For all submitted support requests, the Provider shall acknowledge and begin initial response within 1 hour of receipt. If Contractor fails to provide an initial response within 24 hours of a valid support request, the Science Center shall be entitled a Service Credit. The amount of the credit is determined by multiplying the number of hours of delay beyond the initial 24-hour period by the annual service fee divided by 8,760 (the total number of hours in a year). The Service credit shall be applied as a deduction from the next renewal invoice or refunded upon contract termination.

1. This formula determines the Service Credit: Service Credit = (Total Response Time -

24 hours) x (Annual Service / 8,760)

2. Credits Accrued: The total credits accrued under this clause shall not exceed 20% of the

Annual Service Fee in any contract year.

The Contractor shall cooperate fully with any request by subcontractors, assigned to this Contract. The Contractor shall provide all requested information and access to records to rule out the presence of fraudulent employees or remote IT worker schemes.

The failure to shall be considered a material breach and grounds for immediate termination of this Agreement.

O. Technology Recovery Plan and Business Continuity Plan: Contractor shall fully cooperate with the Science Center to ensure the continuity of services and assist in the recovery of State data in the event of an outage or disaster. The Contractor must maintain and provide to the Science Center, upon request, a documented technology recovery plan and business continuity plan for the contracted services. This plan must explicitly define how the Contractor will support the Science Center’s established Recovery Time Objectives (RTOs) and Recovery Point Objectives (RPOs) for the system. The Contractor must also participate in and provide supporting documentation for any disaster recovery tests conducted by the Science Center at least annually.
