FAR Provision 52.212-2, Evaluation -- Commercial Items, applies to this acquisition. As prescribed in FAR 12.301(c), the following addendum is provided for this solicitation and hereby amends any language therein:

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. Award shall be based on all or none and best value to the government. The government may award without discussions; however, the Government reserves the right to conduct discussions if deemed in the Government's best interest. Quotes will be evaluated on price and offeror's ability to meet the delivery and specification requirements of this combined synopsis/solicitation. Only new equipment will be accepted. Re-manufactured or grey market items will not be accepted. If applicable, all items must include a manufacturer's warranty and be stated in their quote.

M.1 BASIS FOR AWARD

Award will be made to the responsible Offeror/contractor who is deemed responsible IAW FAR Subpart 9.1, as supplemented, and whose proposal represents the best value to the Government. The Government will perform a trade-off between technical merit and price to determine best value, with technical factors being significantly more important than price. The Government will consider the demonstrated benefits of superior technical solutions when balancing them against any associated price increases. Proposals must meet all solicitation requirements and demonstrate a complete, reasonable, realistic, and balanced cost.

M.2 EVALUATION METHODOLOGY

2.0 Evaluation Factors

The following evaluation factors will be used to evaluate proposals:

Factor I – Technical:

Subfactor 1: Technical Approach Subfactor 2: Management Approach

Factor II – Cost

2.1 Evaluation Process

The Government will review proposals to ensure compliance and completeness. If a proposal is deemed incomplete, it will not be evaluated for technical and price. The next step is to forward the proposal to the technical evaluation team and the cost and price evaluation team.

2.2 Factor 1 - Technical: The Government will evaluate how well the proposed approach demonstrates an understanding of VDP EMS needs as it relates to the requirements identified in the PWS. During the evaluation of each proposal, the Government will assign each subfactor an adjectival rating as shown below. If the technical factor is evaluated as “Marginal” or “Unacceptable”, it will render the entire proposal unacceptable and, therefore, unawardable. Only those proposals determined to be technically acceptable, either initially or as a result of discussions, will be considered for award. However, the Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. The term “technical” as used herein, refers to non-price factors other than past performance. The purpose of the technical factor is to assess whether the Offeror’s proposal will satisfy the government’s minimum requirements.

The Government intends to perform a combined technical/risk evaluation using the following adjectival ratings:

Evaluation Criteria (Section M)

Updated 1 Dec 25 Page 7 of 5

Combined Technical/Risk Rating Method

Color Rating

Adjectival Rating Description

Blue Outstanding Proposal demonstrates an exceptional approach and understanding of the requirements and contains multiple strengths and/or at least one significant strength, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength or significant strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation and, thus, contains one or more deficiencies and is unawardable, and/or risk of performance is unacceptably high.

The combined technical/risk rating includes consideration of risk in conjunction with the significant strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies in determining technical ratings.

2.3. Subfactor 1: Technical Approach: This requirement is met when the Offeror demonstrates the following:

2.3.1 The Offeror’s proposed enterprise-grade VDP platform license/subscription will be evaluated based on its demonstrated suitability for supporting both the DoD VDP and the DIB VDP. Evaluation will focus on the proposed VDP platform's suitability for DoD and DIB, considering security requirements, data sensitivity, and scalability. The Offeror must demonstrate the platform's tailored features, certifications, and integration capabilities.

2.3.2 The proposed vulnerability workflows will be evaluated for efficiency, security, and compliance. Focus will be on understanding the vulnerability lifecycle, validation methods, prioritization, and tracking of remediation.

2.3.3 The Inbox, Security Page, Disclosure Workflow, and Community Engagement components will be evaluated on their effectiveness in promoting secure and collaborative disclosure. Focus will be on usability, security, and communication facilitation between researchers and security teams.

2.3.4 The integration capabilities for Hacktivity, Leaderboard, and Reputation System will be evaluated for incentivizing researcher participation and recognizing contributions. The focus is on accurately tracking activity, rewarding performance, and encouraging responsible disclosure.

2.3.5 Critical evaluation will focus on the integration plan with DC3 IT systems, ensuring no disruption. The Offeror must detail integration interfaces, protocols, and data exchange.

2.3.6 Mediation support capabilities will be evaluated for resolving disputes and facilitating communication. The focus is on impartiality, fairness, and effective dispute resolution processes.

2.3.7 Evaluation will focus on tools/processes for prioritizing vulnerabilities, assigning them, and tracking remediation.

Assessment will consider severity, affected systems, and corrective action.

2.3.8 Advanced analytics and custom reporting will be evaluated for actionable insights and informed decision-making. Key considerations are pre-built reports and the ability to create custom reports, tracking key metrics, and data visualization.

Updated 1 Dec 25 Page 8 of 5

2.4 Subfactor 2: Management Approach: This subfactor will be evaluated when the offeror adequately demonstrated an acceptable approach to managing personnel along with an acceptable approach to efficiently and proactively manage this contract.

To be considered acceptable the Offeror’s approach shall demonstrate the following:

2.4.1 The Offeror's proposed account team's structure, experience, and support processes will be evaluated to assess their ability to provide proactive customer support and ensure customer success. The assessment will focus on clear communication, timely issue resolution, and a plan for continuous improvement.

2.4.2 The Offeror's approach to managing vulnerabilities, bug tags, and annual mailings will be evaluated for efficiency, security, and cost-effectiveness. We will assess the proposed processes for vulnerability intake, tag production, and secure mailing logistics.

The Offeror's proposed shipping and logistics plan will be evaluated for reliability, security, and cost-effectiveness in handling DC3-provided items. Focus will be on the logistics plan, shipping procedures, security measures, and experience in similar projects.

M.3 EVALUATION CRITERIA: FACTOR 2 COST/PRICE

The government will evaluate the proposal for completeness, balance and reasonableness.

Price proposal should support the proposed technical approach and will be evaluated for (i) Total Evaluated Price (TEP), (ii) reasonableness, (iii) completeness, and (iv) unbalanced pricing.

3.1 Total Evaluated Price (TEP). The proposal will be evaluated on the total evaluated price (TEP) and the price proposed for each CLIN. The TEP consists of the total proposed price for all CLIN and Optional CLINS, for a total of 60 months: one (1) 12-month base + four (4) 12-month option periods. A six-month extension will be the cost of the last option year divided by two, offerors are not required to list the six-month extension in their submission.

3.2 Reasonableness: For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The Government will determine prices fair and reasonable using one or more of the price analysis techniques in FAR 15.404-1(b)(2). Submission of certified cost or pricing data is not required; however, if the cost information is needed by the Contracting Officer to determine a fair and reasonable price, the Offeror shall submit the other than certified cost or pricing data as requested.

3.4. Completeness. The proposal will be reviewed to determine the extent to which all the price elements have been addressed. The proposed price and other information will be evaluated to ensure continuity and traceability of prices to the technical volume and between the initial proposal and any revisions thereto. The review will determine the adequacy of the proposal in addressing and fulfilling the RFP requirements.

3.5 Unbalanced pricing. The proposal will be reviewed for balance of pricing. Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one (1) or more contract line items is significantly over or understated. The Government will analyze proposals to determine whether the proposal is unbalanced with respect to cost/price, variable quantity matrix factors, and separately priced line items. A proposal may be rejected/negotiated if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

FAR provision 52.212-3, Offeror Representations and Certifications -- Commercial Items with alternate I applies to this acquisition;

the offeror verifies by submission of their offer that the representation and certifications posted at FAR 52.212-3 have been entered or updated electronically via the System for Award Management (SAM) Web site located at http://www.sam.gov/portal in the last 12 months, and are current, accurate, complete, and applicable to this solicitation. Alternatively, if the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision and include a completed copy with its offer.
