“For the purposes of this solicitation, the DVBE program requirements have been exempted, but the DVBE incentive still applies.”
DVBE Bid Incentive: In accordance with Section 999.5(a) of the Military and Veterans Code an incentive will be given to bidders who provide DVBE participation. For evaluation purposes only, the State shall apply an incentive to bids that propose California certified DVBE participation as identified on the Bidder Declaration GSPD-05-105 and confirmed by the State. The incentive amount for awards based on low price will vary in conjunction with the percentage of DVBE participation. Unless a table that replaces the one below has been expressly established elsewhere within the solicitation, the following percentages will apply for awards based on low price.
Awards based on low price - the net bid price of responsive bids will be reduced (for evaluation purposes only) by the amount of DVBE incentive as applied to the lowest responsive net bid price. If the #1 ranked responsive, responsible bid is a California certified small business, the only bidders eligible for the incentive will be California certified small businesses. The incentive adjustment for awards based on low price cannot exceed 5% or $100,000, whichever is less, of the #1 ranked net bid price. When used in combination with a preference adjustment, the cumulative adjustment amount cannot exceed $100,000.
Procurement staff will complete the Commercially Useful Function (CUF) Evaluation Worksheet to determine if DVBE is CUF compliant at time of bid submission.

The system’s reliability is imperative, as it maintains precise environmental conditions (i.e., water flow, temperature, and pH) necessary to preserve the sensitive marine life in the exhibits. Due to the system’s complexity, this service requires a specialized contractor to ensure the uninterrupted functionality of this vital automation program.
C. Hours of Service: Contractor services shall be available to the Science Center twenty-four
(24) hours per day and seven (7) days per week, three hundred sixty-five (365) days per year.
Contractor must notify Science Center Contract Manager of any delays in schedule as soon as possible.
D. Service Locations and Schedule: Services shall be performed primarily via remote virtual assistance (e.g., Zoom, Microsoft Teams).
E. Contractor Responsibilities:
1. Contractor shall provide technical assistance and system troubleshooting services, initiated via helpdesk ticket phone call, and/or email. These services include:
a. 24/7 access to qualified engineering staff for system diagnostics and issue resolution.
b. Assistance with operational tasks, including but not limited to, access management, set point adjustments, and guidance on operating procedures.
c. Resolution of software-based issues, such as programming errors and mapping concerns, to ensure the system operates within normal parameters.
d. Acting as the primary liaison with the Rockwell Automation technical support.
2. The Science Center Contract Manager will provide the Contractor with the necessary credentials and permissions to perform authorized modifications or create new system maps, which shall not exceed Custodian-level privilege. If a higher privilege is required to complete an authorized task, it shall be granted only under the following safeguard conditions:
a. The task requiring elevated access must be performed by Science Center personnel while the Contractor provides expert guidance and direction; or
b. Higher-level credentials will be issued to the Contractor for a limited time duration, with the elevated privilege automatically revoked immediately upon completion of the authorized task or at the end of the predefined window, whichever comes first.
F. California Science Center Responsibilities:

Pae 15 of 20
G. Acceptance Criteria: Work must be completed to the satisfaction of the Science Center
Contract Manager. If services have been satisfactorily completed, Science Center Contract Manager shall approve and accept that the services have been completed. Science Center is solely responsible for determining acceptability of the work performed in order for the work specified in this Contract to be considered complete. If the Science Center Contract Manager has any concerns, they must be addressed with the Contractor immediately and may require correction of work before acceptance.
H. Housekeeping: Contractor is responsible for leaving the work site clean and free from debris at the end of each working day.
I. Amendments: No charge for any extra work or material will be allowed unless the same has been ordered in writing by the Science Center Contract Manager or designee and with the approval of Science Center for prices stated in such order at which point an approved amendment to this contract would be needed before work is performed or the material is purchased.
Additional amendments required to extend the life of the Contract due to unforeseen circumstances must be approved by both parties and signed as a formal amendment.
J. Acceptable Use:
1. System Access Privileges - The Contractor is permitted to access the California Science Center's Rockwell FactoryTalk® solely for the purpose of providing technical support services, including but not limited to system troubleshooting, maintenance, configuration adjustments, and routine system checks. The Contractor shall provide these services in accordance with industry best practices.
K. Service Level Agreements (SLAs): Contractor guarantees 24/7 support coverage. For all submitted support requests, the Provider shall acknowledge and begin initial response within 1 hour of receipt. If Contractor fails to provide an initial response within 24 hours of a valid support request, the Science Center shall be entitled a Service Credit. The amount of the credit is determined by multiplying the number of hours of delay beyond the initial 24-hour period by the annual service fee divided by 8,760 (the total number of hours in a year). The Service credit shall be applied as a deduction from the next renewal invoice or refunded upon contract termination.
1. This formula determines the Service Credit: Service Credit = (Total Response Time -
24 hours) x (Annual Service / 8,760)
2. Credits Accrued: The total credits accrued under this clause shall not exceed 20% of the
Annual Service Fee in any contract year.
Pae 16 of 20
3. Overall Service: This SLA does not apply where the delay results from factors outside the Contractor’s reasonable control, including force majeure, inaccurate contract information, or the Science Centers failure to submit a properly formatted support request.
L. Personnel Vetting and Verification: The Contractor shall ensure that all personnel with access to state systems and its data have successfully passed a criminal background check and are free of any fraudulent history. The Contractor shall provide a list of all personnel (names and emails) and a written certification confirming that all required vetting has been completed. Science Center will provide its mandatory IT security training to these personnel, which they must successfully complete prior to gaining system access. The failure to comply or the discovery of fraudulent personnel shall be considered a material breach of Agreement.
1. Privacy and Notice on Collection: The Contractor shall be responsible for providing a Notice on Collection, in compliance with the California Information Practices Act of 1977 and the CCPA, to all personnel whose Personal Identifiable Information (PII) will be shared with Science Center for vetting purposes. The Contractor shall provide a copy of this notice to the Science Center upon request.
M. Technology Recovery Plan and Business Continuity Plan: Contractor shall fully cooperate with the Science Center to ensure the continuity of services and assist in the recovery of State data in the event of an outage or disaster. The Contractor must maintain and provide to the Science Center, upon request, a documented technology recovery plan and business continuity plan for the contracted services. This plan must explicitly define how the Contractor will support the Science Center’s established Recovery Time Objectives (RTOs) and Recovery Point Objectives (RPOs) for the system. The Contractor must also participate in and provide supporting documentation for any disaster recovery tests conducted by the Science Center at least annually. The Contractors’ failure to maintain a tested and documented plan that meets the Science Center’s RTO and RPO requirements may be considered a material breach of this Agreement.
N. Accident Prevention: Contractor shall exercise precaution at all times for the protection of persons (including employees) and property. These shall include, but not be limited to, the installation of adequate safety guards and protective devices for all equipment and machinery, whether used in the performance of work or permanently installed as part of the work.
