Hands Free Mooring Equipment Combined Synopsis/Solicitation
This procurement is being conducted using Simplified Acquisition Procedures under FAR Part 13 for commercial products in accordance with FAR Subpart 12.6. This is a combined synopsis/solicitation for commercial products prepared in accordance with the Format in Subpart 12.6, as supplemented with additional information in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. The solicitation is issued as a Request for Quote (RFQ). This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular FAC 2025-03 dated January 17, 2025. This requirement is being solicited on a sole source basis under FAR Part 12, Acquisition of Commercial Items, and FAR Part 13, Simplified Acquisition Procedures. The NAICS Code is 333248 – All Other Miscellaneous Special-Purpose Machinery Manufacturing. The solicitation number is 6923G523Q0190.
The Great Lakes St. Lawrence Seaway Development Corporation (GLS) intends to award a Firm Fixed-Price, sole source contract to Cavotec USA, Inc., Mooresville, NC 28115, under authority of FAR 13.106-1(b)(1), Soliciting from a single source, based on only one responsible source. This acquisition is for the purchase of parts for the Hands-Free Mooring equipment at GLS. Cavotec USA, Inc. Is the Original Equipment Manufacturer (OEM) of the required parts and is the only known source capable of supplying them due to proprietary rights and lack of authorized resellers.
This notice is not a request for competitive quotes. No requests for capability briefings will be honored as a result of this notice, and any information provided will not be used as part of any future solicitation requirement. No telephonic inquires will be accepted. A determination by the Government not to compete with this proposed contract based upon responses to this notice is solely within the discretion of the Government. THIS IS NOT A REQUEST FOR COMPETITIVE PROPOSALS. This is a notice of intent to award a sole source contract to Cavotec USA, Inc. The Contracting Officer determined that the circumstances of the contract action deem only one source reasonable available.
The Great Lakes St. Lawrence Seaway Development Corporation (GLS) has a need to procure parts for Hands Free Mooring (HFM) Equipment from Cavotec. The HFM equipment is critical for safely and efficiently performing lockages at Eisenhower and Snell Locks.
**NOTE: Offerors must be registered in SAM.gov and have an active registration at the time of this solicitation closing.
SCHEDULE OF SUPPLIES/SERVICES: See Attachment A –Pricing Sheet.
DESCRIPTION OF WORK: Procurement of OEM proprietary Hands-Free Mooring (HFM) replacement parts from Cavotec USA for maintenance and continued operation of existing Cavotec HFM systems. These parts are only available from Cavotec due to proprietary design and compatibility requirements.
CONTRACT TYPE: This solicitation is a Request for Quote (RFQ) that will result in the award of a firm fixed price contract under FAR Part 12 and FAR Subpart 13, subject to the availability of funds.
CONTRACT PERIOD OF PERFORMANCE: The awarded contractor will be required to complete services within 30 business days after receiving a notice to proceed.
PLACE OF PERFORMANCE/ACCEPTANCE: Delivery and acceptance will occur at GLS Maintenance Base located at 251 Fregoe Road, Massena, New York 13662.
QUOTE DUE DATE: July 28, 2025, 4:00PM EST.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved. As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services. (a) Definition. Sensitive information, as used in this clause, means any information that is proprietary data or, if subject to unauthorized access, modification, loss, or misuse, could adversely affect the national interest, the conduct of Federal programs, or the privacy of individuals specified in The Privacy Act, 5 U.S.C. 552a, but has not been specifically authorized under criteria established by an Executive Order or an Act of Congress to be kept secret in the interest of national defense or foreign policy.
(b) Work under this contract may involve access to DOT facilities or sensitive information or resources (e.g., information technology including computer systems). To protect sensitive information, which shall not be disclosed by the contractor unless authorized in writing by the Contracting Officer, the Contractor shall provide training to any contractor employees authorized to access sensitive information, and upon request of the Government, provide information to assist the Government in determining an individual's suitability to have authorization.
(c) The Contracting Officer may require dismissal from work under this contract of those employees deemed incompetent, careless, insubordinate, unsuitable, or otherwise objectionable, or whose continued employment is deemed contrary to the public interest or inconsistent with the best interest of national security.
(d) Contractor employees working on this contract must complete such forms as may be necessary for security or other reasons, including the conduct of background investigations to determine suitability. Completed forms shall be submitted as directed by the Contracting Officer. Upon the Contracting Officer's Representative (COR) or Program Manager's (PM) request, the Contractor's employees shall be fingerprinted or subject to other investigations as required.
(e) The Contractor shall ensure that contractor employees working on this contract are citizens of the United States of America or non-citizens who have been lawfully admitted for permanent residence or employment (indicated by immigration status) as evidenced by U.S. Citizenship and Immigration Services (USCIS) documentation.

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.
Reasonable inquiry has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

Small business concern—

(2) Through another subsidiary of a parent corporation Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
Veteran-owned small business concern means a small business concern—
