(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) A delivery order or task order is considered "issued" when--
(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;
(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or
(3) If sent electronically, the Government either--

(End of clause)
52.216-19 Order Limitations (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than TBD [insert dollar figure or quantity], the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor--
(1) Any order for a single item in excess of TBD [insert dollar figure or quantity];
(2) Any order for a combination of items in excess of TBD [insert dollar figure or quantity]; or
(3) A series of orders from the same ordering office within TBD days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within five days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
(End of clause)

Statement of Work Point Blank Stab Panels and Carriers
1.0 Scope of Work
a. The Department of Justice, Office of the Inspector General (DOJ OIG) requires custom-fitted Point Blank stab panels and carriers to be ordered on an as-needed basis.
2.0 Contract Type / Minimum Guarantee
a. This is an Indefinite Delivery Indefinite Quantity (IDIQ) contract with firm fixed unit prices.
b. The OIG will order a minimum of $15,000.00 during the total life of the contract (60 months). The minimum amount is not re-established with each ordering period.
3.0 Period of Performance
a. This IDIQ has a 60-month ordering period. The contract award date will establish the start of the 60-month ordering period.
4.0 Delivery locations
a. Generally, delivery will be made to 950 Pennsylvania Ave., NW. Washington, DC 20530 unless otherwise indicated by the work order. The contractor shall have the ability to ship to all CONUS and Puerto Rico locations.
5.0 Contract Line Items / Prices
a. All contract line item numbers (CLINs) are estimates and will be ordered on an as-needed basis. The order quantities are not a minimum or maximum commitment or a guarantee by the Government. The only guarantee is the IDIQ minimum guarantee as stated in Section 2.0(b).
a. The estimated total value of the 60 month IDIQ is TO BE DETERMINED.
b. CLINs are broken out in five, one-year ordering periods for pricing purposes.
c. CLINs are fully loaded, fixed prices to satisfy all contract requirements. The OIG will provide its FedEx account number to cover shipping costs and will specify the shipping method required.
Solicitation # 15G1AC22Q00000002 2
d. DOJ OIG is tax exempt. If the contractor requires a tax exemption form, the contractor must request it from the Contracting Officer.
6.0 Ordering procedures
a. The Contracting Officer (CO) will provide funding at the delivery order (DO) level on Optional Form 347. Each DO will state the amount of funding available for a specific ordering period (generally for a period of one year but could be less).
b. Products to be furnished will subsequently be ordered by the issuance of work orders by the COR. All work orders issued hereunder are subject to the terms and conditions of this IDIQ. The IDIQ terms and conditions shall control in the event of a conflict with any DO or work order.
c. The Contractor shall notify the COR whenever it believes that costs incurred to date will exceed 75% of the funding amount specified on the DO.
7.0 Program Requirements
a. This is a brand name requirement. The contractor must be a Point Blank original equipment manufacturer or an authorized reseller due to the following reasons:
The OIG requires stab panels that satisfy the NIJ-Standard-0115.00 requirements of Spike Protection Level 3 and provide a custom fit that is tailored to account for measuring 5 different angles of the agent’s body (torso), in addition to their height and weight. This level of customization is required to ensure protection and safety of OIG Agents in the event of a stabbing-related incident. Without specific measurements and a custom fit, it is possible that the standard vests may fail causing death or serious bodily injury to OIG agents. In addition, the stab panels are worn under business professional attire while working inside BOP facilities or other enforcement actions; therefore, a custom fit is required. Other known stab panel brands do not provide the level of customization/tailored fitting that the OIG requires. Point Blank is the only brand that meets DOJ OIG requirements.
b. The awardee shall provide a custom measurement form for the OIG to fill out.
The OIG will provide agent measurements.
c. Generally, delivery will be required within 60 days of work order placement unless otherwise specified in the work order.
Solicitation # 15G1AC22Q00000002 3
d. Freight On Board (FOB), Place of Acceptance and Place of Inspection are all Destination.
8.0 Invoice and Payment
a. The Contractor shall submit a consolidated monthly invoice.
b. Payment will be made via EFT.
c. Proper Invoice
The purpose of this document is to provide vendors with guidance to assist in preparing proper invoices sent to the Department of Justice Office of the Inspector General for payment. Payments must be made in accordance with the Federal Acquisition Regulation (FAR) and 5 CFR 1315, more commonly known as the Prompt Payment Act. The timeliness of a payment is contingent upon the quality and timeliness of the invoices and receiving reports submitted. An invoice must contain the critical elements identified in the FAR and 5 CFR 1315 to be considered proper. Invoices that do not contain the required elements are considered improper and will be returned to the vendor for correction. By following these guidelines, your invoice will be accepted with the first submission, thereby increasing the timeliness of your payment. Below are the elements required for a proper invoice. Please note that prior to making a payment, the OIG must ascertain that the goods/services were received and accepted by an authorized Government official. This information is generally documented and submitted in the form of a receiving report.
For any questions regarding outstanding payment of an invoice, please call the Vendor Payment Hotline at (202) 305-0250.
All Invoices should be submitted to: DOJOIGINVOICE@usdoj.gov
If the vendor does not have access to e-mail, invoices should be mailed to DOJ Office of the Inspector General/Attn: Office of Financial Management/950 Pennsylvania Ave., NW/Washington, DC 20530. Items sent via U.S. Postal Service go through an irradiation process at DOJ mail receiving facilities. It can take up to 3 weeks for the mail to be received at the Office of the Inspector General (OIG) office. The OIG has up to 30 days from the time they receive a proper invoice through the mail to pay.
Elements of a Proper Invoice:
1. Name and Address of vendor.
2. Invoice date/number. All Final Invoices must be marked as FINAL.
Solicitation # 15G1AC22Q00000002 4
3. Contract and/or Purchase Order number.
4. Description of Goods or Services, Quantity, Unit Price, and Total Amount
Invoice should match the corresponding Purchase Order.
5. The service performance period must be clearly identified. If a Contract contains multiple contract line items, the invoice must specify which contract line items are being billed.
6. Taxpayer Identification number (TIN) and Unique Entity Identifier (UEI) obtained from SAM.gov.
7. If the preferred method of payment is through EFT, provide banking Information, i.e., Account Number and Routing Number. This is our fastest means of payment and should be used as a preferable option.
8. If not already required in the contract, it is preferable to have a consolidated invoice. This will assist in expediting invoice payments.
9. Shipping and payment terms such as shipment number, date of shipment, and prompt payment discount terms.
10. Name and address of contractor official (the vendor) to whom payment is to be sent. This must be the same as that in the contract or on a proper notice of assignment. In addition, the vendor must be properly registered in the System for Award Management (SAM). To register, renew, or update a previous registration, access https://sam.gov/content/home on the Internet.
11. Any other information or documentation required by the contract such as evidence of shipment.
9.0 Contracting Officer's Representative (COR)
a. The COR is authorized to place work orders. The Contractor may also accept work orders from personnel explicitly authorized by the COR. The COR on this contract is PaTrina Gregory, Administrative Lead, Investigation Division, 202-616-4543, PaTrina.Gregory@usdoj.gov.

Solicitation # 15G1AC22Q00000002 5 evaluating performance; and certifying all invoices/vouchers for acceptance of the supplies or services furnished for payment.
iii. The COR does not have the authority to alter the contractor's obligations under the contract, and/or modify any of the expressed terms, conditions, specifications, or cost of the agreement. If as a result of technical discussions it is desirable to alter/change contractual obligations or the Scope of Work, the Contracting Officer shall issue such changes.
(End of Clause)
10.0 Quote Instructions, Content and Deadline (Addition to 52.212-1 Instructions to Offerors -- Commercial Items)
a. Quotes must be received by Yu-Jin Kim, Contracting Officer by email only, no later than 7:00am EST on August 22, 2022. Email quote only to Yu-Jin.Kim@usdoj.gov. Quote shall remain valid for 60 days from the solicitation expiration date.
b. Any questions related to this solicitation must be emailed to Yu-Jin Kim (phone calls and voicemails will not be accepted or returned). Questions may or may not be answered. Questions and answers may be posted on SAM.gov as an amendment to the RFQ. Questions should be asked as soon as possible to allow OIG to have sufficient time to answer before the solicitation expiration date/time.
c. Vendor must have an active registration in System for Award Management (SAM) (https://sam.gov/SAM/) at the time of the quote submission to be eligible for award.
d. DOJ OIG does not intend to accept vendor’s commercial terms and clauses. In the event DOJ OIG accepts vendor’s commercial term and clauses, by submission of a quote to this solicitation, the vendor agrees that the DOJ OIG’s contract terms and conditions, including Federal Acquisition Regulations, shall control in the event of a conflict.
e. All quotes shall include the following:
i. Volume I: Contractor Information/Representations. Use the template provided.
ii. Volume II: Price. Use the template provided. The Contractor must provide pricing for all listed ordering periods. Fill out only the cells highlighted in green. Do not make any other changes on this form.
Solicitation # 15G1AC22Q00000002 6
11.0 Award Method/Evaluation Factors
a. The Government will award one IDIQ contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government (best value).
b. For this brand name request, price is the sole evaluation factor. The DOJ OIG will evaluate the price for fair and reasonableness. The OIG will sum up the extended price for the 60-month period. The OIG may determine that a quote is unacceptable if ordering period unit prices are significantly unbalanced.
Evaluation of future ordering period pricing shall not obligate the Government to place orders during those future periods.
