SECTION B - SUPPLIES OR SERVICES AND PRICES/COSTS
ARTICLE B.1. BRIEF DESCRIPTION OF SUPPLIES OR SERVICES
To provide services, facilities, expertise, and capabilities for the development of radiation/nuclear medical countermeasures (MCM) for: 1) the mitigation or treatment of acute radiation syndrome (ARS) and delayed effects of acute radiation exposure (DEARES); and 2) the decorporation of internalized radionuclides. The contractor will not identify or conduct basic research on new medical countermeasures. The NIAID anticipates that products selected by the Government for screening, testing, and development will come from industry, academic, and Government agencies.
ARTICLE B.2. PRICES/COSTS
a. This is an Indefinite Quantity contract as contemplated by FAR 16.504. The Contractor shall be reimbursed by the Government in an amount not less than a total of $50,000 (minimum) nor more than a total of $100,000,000 (maximum) for successful performance of this contract.
b. The costs set forth in this ARTICLE will cover the contract period 8/1/2015 through 7/31/2020.
c. The Government will issue Task Orders based on the work described in SECTION C of this contract.
ARTICLE B.3. PROVISIONS APPLICABLE TO DIRECT COSTS
This article will prohibit or restrict the use of contract funds, unless otherwise approved by the Contracting Officer. The following is a list of items that may be included in the resultant contract as applicable. 1) Conferences & Meetings, 2) Food for Meals, Light Refreshments & Beverages, 3) Promotional Items, 4) Acquisition, by purchase or lease, of any interest in real property; 5) Special rearrangement or alteration of facilities; 6) Purchase or lease of any item of general purpose office furniture or office equipment regardless of dollar value; 7) Travel Costs including Foreign Travel; 8) Consultant Costs; 9) Subcontract Costs; 10) Patient Care Costs; 11) Accountable Government Property; 12) Printing costs; and 13) Research Funding.
ARTICLE B.4. ADVANCE UNDERSTANDINGS
Specific elements of cost, which normally require prior written approval of the Contracting Officer before incurrence of the cost (e.g., foreign travel, consultant fees, subcontracts) will be included in this Article if the Contracting Officer has granted his/her approval prior to contract award.
1. PROTECTION OF PROPRIETARY DATA
The Government anticipates that the Contractor will be utilizing and evaluating materials developed at private expense and subsequently provided to the Government by a third party Supplier. It is essential to include provisions that will protect the proprietary rights of the Supplier.
All information provided by the Supplier or COR should be assumed to be confidential unless specifically identified as non-confidential in writing by the COR. Confidential information may not be revealed without written permission.
All materials supplied to the Contractor and all test results similarly are to be considered confidential. All materials supplied to the Contractor shall be utilized solely for contract-related research purposes and no unauthorized use or distribution of these materials will be permitted.
Any data generated under this contract must be submitted for the NIAID COR review before submission for public presentation or publication. Contract support shall be acknowledged in all such publications. A 'publication' is defined as issue of printed material or a document produced electronically and offered for public distribution or any communication or oral presentation of information. The COR will review all submitted publications in a period of time
- 7 -not to exceed 90 calendar days from receipt, and will either agree to the publication/ disclosure, recommend changes or, as applicable, refer the document to the Supplier of the compound for their review. Information in any publication that is considered Confidential will be deleted by the COR and/or the Supplier prior to approval.
2. PROPOSED CONTINUED DEVIATION TO REQUIRED GENERAL CONTRACT CLAUSE: FAR 52.227-11 AND
FAR 52.227-14
This RFP is intended to solicit proposals to further advance the development of medical countermeasures against radiological threats, continuing the work initiated under contract HHSN266200500043C and continued under Contract No. HHSN272201000046C. The NIAID obtained a deviation from FAR clauses 52.227-11, Patent Rights-Retention by the Contractor and 52.227-14, Rights in Data pursuant to a Determination of Exceptional Circumstances (DEC) as required by FAR 27.3, for the project under those contracts. The NIAID intends to use substantially the same deviation and DEC for the contract resulting from this solicitation which would restrict the Contractor's rights to subject inventions arising under the contract. Subcontracts at all tiers awarded by the Contractor would need to comply with the deviated Patent Rights Clause as well. Specifically, the Contractor and its Subcontractors at all tiers, would be required to assign to the Government or, if deemed appropriate by the NIAID and subject to certain rights reserved to the Government in the field of radiation/nuclear medical countermeasures, to a collaborating party designated by the Government, the entire right, title, and interest throughout the world to each subject invention, except to the extent that rights are retained by the Contractor under the Greater Rights Determination provision of the clause.
The NIAID recognizes that inventions in areas outside of the radiation/nuclear medical countermeasure field may be of significant benefit to the U.S. Public Health objectives and therefore, the Contractor and Subcontractors would be encouraged to request greater rights to an identified invention outside the field of radiation/nuclear medical countermeasures. Further, the NIH would consider whether granting the requested rights would interfere with the rights of the Government or any collaborating party or might otherwise impede the ability of the Government or others to develop new candidates for radiation/nuclear medical countermeasures as well as potential enabling technologies that may result from data ensuing from evaluations performed under this contract useful for radiation/nuclear medical countermeasure discovery and development. Contractors and Subcontractors would also be encouraged to request greater rights where inventions relate to technology outside the NIAID's program and where the Contractor has negotiated with a supplier of a proprietary composition for the disposition of patent rights concerning a subject invention related to the composition for a field of use outside of radiation/nuclear medical countermeasures.
Further the contract would require that the timing of data publication be restricted to allow adequate time for patent applications to be filed on inventions arising from the contract. Specifically, although the NIAID encourages the publication of articles on research results, the contract would restrict the Contractor's right to use, release to others, reproduce, distribute, and publish data produced or used by the Contractor in the performance of this contract to allow adequate time for the filing of patent applications and to protect data that would be submitted as part of a regulatory filing. The NIAID would reserve the right to coordinate the timing of data publication so that domestic and international invention applications may be filed as appropriate. These data requirements would apply to the Contractor and Subcontractors at all tiers. Potential Offerors were afforded an opportunity to comment on the proposed use of these deviations in the earlier contract and to identify what impact the deviations may have on their conduct of the work should they be awarded a contract. This notice affords a similar opportunity for providing comments for the currently proposed contract. Comments should be provided, in writing, to the Point of Contact for this RFP. See the bottom of the front page of this RFP for this individual's name and contact information. Comments should be provided within 30 calendar days of the issue date of this RFP. Thereafter, the NIAID will consider this input and determine whether alternative courses of action may be appropriate.
3. CONFIDENTIAL TREATMENT OF SENSITIVE INFORMATION
The Contractor shall guarantee strict confidentiality of the information/data that it is provided by the Government during the performance of the contract. The Government has determined that the information/data that the Contractor will be provided during the performance of the contract is of a sensitive nature.
Disclosure of the information/data, in whole or in part, by the Contractor can only be made after the Contractor receives prior written approval from the Contracting Officer. Whenever the Contractor is uncertain with regard to the proper handling of information/data under the contract, the Contractor shall obtain a written determination from the Contracting Officer.
4. ADVANCE COPIES OF PRESS RELEASES
- 8 -
The contractor agrees to accurately and factually represent the work conducted under this contract in all press releases. In accordance with NIH Manual Chapter 1754, misrepresenting contract results or releasing information that is injurious to the integrity of NIH may be construed as improper conduct. The complete text of NIH Manual Chapter 1754 can be found at: http:// www1.od.nih.gov/oma/manualchapters/management/1754/ Press releases shall be considered to include the public release of information to any medium, excluding peer-reviewed scientific publications. The contractor shall ensure that the Contracting Officer's Representative (COR) has received an advance copy of any press release related to this contract not less than four (4) working days prior to the issuance of the press release.
5. APPROPRIATE APPLICATION OF INDIRECT COST RATES - EDUCATIONAL INSTITUTIONS
HHS will use education institutions' negotiated rates for F&A costs in effect at the time of the initial award throughout the life of the resultant contract, in accordance with OMB Circular A-21. "Life" means each competitive segment of a project. A competitive segment is a period of years approved by HHS at the time of the award. If negotiated rate agreements do not extend through the life of the resultant contract at the time of the initial award, then the negotiated rate for the last year of the resultant contract shall be extended through the end of the life of the resultant contract.
Award levels for resultant contracts may not be adjusted in future years as a result of changes in negotiated rates.
For educational institutions subject to the cost principles set forth in OMB Circular A-21, NIH will use the definition of subcontractor found at FAR 44.101- any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor. Anything meeting this definition is considered a subcontract and is subject to the $25,000 limitation set forth in A-21 G.2.
6. PROHIBIITON ON UNAUTHORIZED USE OF GOVERNMENT FURNISHED RESOURCES
Offerors shall not propose government furnished resources not included in this solicitaiton, to include government employees, facilities, intellectual property or biological materials. Proposals received from offerors including the unauthorized use of government furnished resources will not be considered further for award.
