REQUEST FOR PROPOSALS TO OPERATE A SPORTS AND

ENTERTAINMENT VENUE AT THE EDWARD A. LELACHEUR PARK,

THE UNIVERSITY OF MASSACHUSETTS LOWELL

1. Introduction

1.1 Information on the Request for Proposals

(a) The University of Massachusetts Building Authority (the “Authority” or “UMBA”) is issuing this Request for Proposals to Operate a Sports and Entertainment Venue at the Edward A.

LeLacheur Park, the University of Massachusetts Lowell (“RFP”). The Authority is pursuing proposals that will provide the details and terms for utilizing the Edward A. LeLacheur Park

(“LeLacheur Park” or the “Park”) in a manner that will enhance the sports and entertainment opportunities for the local and surrounding communities with shared use by the University of

Massachusetts Lowell (“UML”) as detailed in this RFP. UMBA will evaluate submissions of all respondents (“Respondents”) pursuant to the evaluation criteria set forth in this RFP.

(b) At the conclusion of this RFP, UMBA intends to select and enter into agreements with an organization or organizations (the “Selected Organization”) to occupy the venue. During its period of primary tenancy, and for its games during periods of shared use, the Selected

Organization will be responsible for staffing ballpark operations, ticket sales and concessions, and maintaining the playing field and facility. Please note, the selection of a Respondent pursuant to this RFP does not guarantee that UMBA will award any lease/tenancy to the

Respondent. In addition, UMBA may choose in its sole discretion to select one, some or none of the Respondents and may cancel this RFP at any time.

1.2 Background on the UMBA

UMBA is an independent body politic and corporate, and an authority of the Commonwealth of

Massachusetts created by and existing under Chapter 773 of the Acts of 1960, as amended (the

“Enabling Act”).

UMBA is created for the general purposes of aiding and contributing to the performance of the educational and other purposes of the University of Massachusetts (“University”), as described in the Enabling Act. The Authority serves the University, which is comprised of five campuses at

Amherst, Boston, Dartmouth, Lowell, and the Medical School in Worcester.

UMBA consists of eleven (11) members, five of whom are Trustees of the University and all of whom are appointed by the Governor.

Organizationessional Team Tenants

University of Massachusetts Building Authority

In the exercise of its powers and performance of duties under UMBA’s Enabling Act, UMBA has certain general and specific powers relative to the financing and construction of capital projects and the acquisition and disposition of real and personal property for the benefit of the University. The selection of a Respondent to provide the requested services pursuant to this RFP may be subject to the approval of the governing board of the Authority and the Trustees of the University and is subject to the policies and procedures of both the Authority and the University.

2. Scope of Services Required

(a) Information on LeLacheur Park

LeLacheur Park is a 4,500-seat baseball stadium in downtown Lowell, Massachusetts. The

Authority acquired ownership of the Park from the City of Lowell in Spring 2023. The

Respondent is expected to occupy the Park as its home sports park for entertainment sporting games, practices, and other sports, entertainment and administrative activities in support of its programs as a primary, non-exclusive tenant during the months of June, July and August, with shared use as detailed below during other periods. During its period of primary tenancy, and for its entertainment and sporting games during periods of shared use, the Respondent will be responsible for staffing operations at the Park, ticket sales and concessions and maintaining the playing field and facility.

UML’s NCAA Division One baseball team will remain the primary non-exclusive baseball tenant during the Spring and Fall seasons, which run from March - May and September - October, with scheduling priority during these months. UML will also retain rights to host campus events in the facility. The City of Lowell will retain rights to hold the Lowell High School graduation and up to three other events in the LeLacheur Park annually with no rental fee other than reimbursement of direct expenses associated with the event(s).

LeLacheur Park was constructed in the late 1990s and served as the home ballpark for the NY-

Penn League franchise of the Boston Red Sox, the Lowell Spinners for two decades. The Lowell

Spinners ownership served as the facility manager and operator on behalf of the City of Lowell during that period, with the UML baseball team acting as the primary tenant during its seasons.

Notably, the Lowell Spinners established many NY-Penn League attendance records during their tenure in this stadium.

Per the requirements of the City of Lowell, the stadium itself must retain the Edward A. LeLacheur name.

UML has pledged to invest $3 million over the next five years to address deferred maintenance, code compliance, and capital improvements at the facility. The scope of these capital investments shall be determined at the sole discretion of UML, but is expected to prioritize code compliance, deferred maintenance, safety and security, and repairs to the outfield wall. Additional capital improvements are subject to availability of funds provided by Respondents or third-party public or private entities.

UML over the next five years), or with the utilization of any third-party public or private funding that may be provided to UML for investment in the facility, and/or a commitment to participate in funding additional capital investment in the facility, with detail as to the proposed contributions.

4. Acknowledgement that the UML’s baseball team will be the primary “tenant” at the ballpark during the months of March, April, May, September, and October and will coordinate scheduling other games and events around the UML baseball team’s schedule during these periods. UML shall cooperate and coordinate with the Team around facility scheduling.

Such approval will focus on content that may be deemed not in the UML’s interest or contrary to the University’s rules and regulations or applicable laws and will be subject to parameters established and provided to the successful Respondent.

7. A credible operating plan to cover all costs for operations and maintenance of the facility in support of its occupancy, including, but not limited to, field maintenance, housekeeping, facility maintenance, staffing expenses, sales and marketing, utilities, taxes, insurance, etc.

8. Other material lease terms including but not limited to initial term in years, proposed annual rent payments and escalations, and extension options.
