About this file
This is Addendum 2 to a Request for Proposals (RFP) issued by an Oregon county for the PW1258-23 ARPA CM/GC North Santiam Canyon Sewer Project, dated April 20, 2023. The addendum clarifies requirements for a Construction Manager/General Contractor (CM/GC) delivery method project funded through the American Rescue Plan Act (ARPA) program. The project is subject to strict ARPA deadline requirements with key milestones including Strategic Permitting Plan completion by May 2023, CM/GC Contract execution by August 2023, Wastewater Facility Planning Study by September 2023, 30% design completion by June 2024, Guaranteed Maximum Price (GMP) execution by October 2024, and 60% design completion by December 2024. Proposers are required to submit an overall CM/GC Fee percentage in Attachment 3 and Pre-Construction Service Rates with equivalent point scores; the requirement to provide detailed Construction Service Rates (field overhead percentage, home office overhead percentage, material markup percentage, subcontracted work markup, and profit percentage) has been waived due to calculation complexity and undefined assumptions regarding cost component ratios.
The addendum confirms that the CM/GC's tax liability, including Oregon's Corporate Activities Tax, will be considered part of the Cost of Work and reimbursable to the contractor. The scoring criteria previously assigned 5 points to Construction Service Rates, which has been redirected to the Pre-Construction Service Rates requirement. The county clarified that detailed Construction Service Rates may be provided during open-book GMP negotiations; however, the overall CM/GC Fee percentage submitted in the proposal will serve as the governing fee structure. No pricing amounts, set-asides, or incumbent information is specified in this addendum, as it addresses procedural and definitional clarifications to the original RFP requirements.

PW1258-23 - ARPA - CMGC - North Santiam Canyon Sewer Project Page 1 of 2
ADDENDUM #2
TO THE
PW1258-23 - ARPA – CM/GC - NORTH SANTIAM CANYON SEWER PROJECT
ISSUED ON 4/20/2023 2:00:00 PM
The following information in this addendum, hereby become part of the REQUEST FOR PROPOSALS PW1258-23 for ARPA - CM/GC - North Santiam Canyon Sewer Project. It is essential that all prospective Offerors note the content of this Addendum.
A. Question and Answers:
1. SECTION 8.h.ii: CONSTRUCTION SERVICE RATES
Question: Section 8.h.ii of the Request for Proposals (4/20/2023 version issued with Amendment #1) requests the following Construction Service Rates:
1) field overhead percentage,
2) home office overhead percentage,
3) material markup percentage,
4) percentage markup on subcontracted work,
5) profit percentage, and
6) any additional proposed CMGC service rates / fees not listed here.
Field overhead seems to be the same or at least similar to general conditions costs and this was requirement was d in Addendum #1. Or was the intent that we provide a Fee % to "field overhead" costs?
If so, this may present some challenges - see below. Items 2 through 5 (and perhaps item 1) are all components of the CM/GC Fee of which we are to provide the overall Fee % in Attachment 3 - CM/GC Services Fee/Price Proposal. Please note the Fee % in Attachment #3 will likely not be congruent with the %'s provided in the above Construction Service Rates as it is dependent on many factors. For example, what is the assumed ratio of materials and subcontracted costs versus overall costs? Are the materials and subcontracted work marked-up and then the profit percentage applied? How is the home office overhead percentage applied in relation to the profit percentage? Due to these unknowns and the undefined calculation of these Fee components, we recommend the requirement be waived to provide the Construction Service Rates or natively, these approximate rates would be provided during open book GMP negotiations but the Fee % provided in Attachment 3, CM/GC Services Fee/Price Proposal, will govern. Please note the scoring criteria assigns 5 points to these CM/GC Service Rates.
Answer: The requirement to provide Construction Service Rates is waived. Section 8.h.ii of the Request for Proposals PW1258-23 is hereby removed.
Note that under Section 8.h.i, Pre-Construction Service Rates, are still required with the equivalent point score for that section. Proposers are still required to provide their overall CM/GC Fee % in Attachment 3.
2. ARTICLE 8: CORPORATE ACTIVITIES TAX
Question: Reference Article 8 of the CM/GC Contract, Cost of Work, specifically section
8.6.2 which states "Sales, use or similar excise taxes imposed by a governmental authority which are directly related to the Work and for which the CM/GC is liable." Please confirm this includes the Oregon Corporate Activities Tax.
Answer: The CM/GC’s tax liability, including CAT, will be considered part of the Cost of Work.
3. DESIGN SCHEDULE
Question: Does the County have an approximate design schedule?
Answer: The design schedule is dictated by the ARPA program deadlines. The following approximate dates are provided for proposal purposes:
Strategic Permitting Plan - May 2023
CM/GC Contract – August 2023
Wastewater Facility Planning Study – September 2023
30% Design – June 2024
GMP Execution – October 2024
60% Design – December 2024
