Section IV: Scope of Work

A. General Services Vendor shall provide on-call debris removal services at various County and District rights-of-way and properties at the request of County staff; the Vendor shall be available twenty-four (24) hours a day, seven (7) days a week. B. Emergency Services and Urgent Task Order Requests If the County determines, in its sole discretion, that a condition relating to County and/or District property exists that may pose an immediate risk to safety, health, life, property or the environment (“Emergency Situation”), the County’s Authorized Representative, or designee, shall notify the Vendor of the Emergency Situation. The County may require the Vendor to provide debris removal services immediately, without following the Task Order Authorization Process. The Vendor shall have three (3) hours to initiate action to respond to the Emergency Situation. If Vendor cannot take action to respond to the Emergency Situation within three (3) hours, the County may take other actions to respond to the Emergency Situation, including engaging the services of others, and Vendor shall reimburse the County for the cost of the debris removal services, plus twenty percent (20%) for County administrative costs.

If the Emergency Situation was caused by Vendor’s error or omissions, the County has the immediate right to complete the work required to mitigate or eliminate the Emergency Situation to its satisfaction and deduct the amount necessary to recover the County’s costs for that work from any monies owed to Vendor.

C. Task Order Authorization Process The Authorized Representative for the County shall authorize any work to be performed by the Vendor under the contract. All work performed under the contract shall be authorized according to the procedures set forth below:

iii. Once the Authorized Representative for the County and Vendor agree to a final scope of work, schedule, and cost breakdown (with payment limit that does not cause the total payments under the contract to exceed the on-call maximum amount), the Vendor shall submit a signed copy of the Task Order Authorization and a cost estimate, by fax or email (PDF file), to the Authorized Representative for the County for approval.

iv. Upon receipt and approval of the Vendor-signed Task Order Authorization, the Authorized Representative for the County will sign the Task Order Authorization and provide a fully executed copy to the Vendor

v. Work performed by the Vendor that is not authorized according to the procedures specified in this Task Order Authorization Process will be considered to be outside the scope of the Contract. The Vendor shall not be compensated for performing any work outside the scope of the Contract.

G. Unsatisfactory Work If the County deems the Vendor’s work to be unsatisfactory, the County’s Authorized Representative will immediately notify the Vendor. Upon being notified of unsatisfactory performance, the Vendor will have two (2) hours after receiving the notice to determine the proper corrective actions to take, to communicate the corrective action plan to the County, and to initiate the corrective actions, at no additional cost to the County. In the event the Vendor does not complete the corrective action plan, the County has the right to immediately complete the work to its satisfaction. The Vendor will be liable for all costs, including County employees’ cost, which shall be charged at a rate equal to the County employees’ hourly rate for total compensation, plus twenty percent (20%) for County administrative costs. Additionally, County may engage outside vendors, and the contracted Vendor will be liable for all of the outside vendor(s)’ costs at the rate charged to the County, plus twenty percent (20%) for County administrative costs.

Such insurance must be endorsed to include County and its officers and employees as additional insureds as to all services performed by the Vendor under this Contract. Said policies must constitute primary insurance as to County, the state and federal governments, and their officers, agents, and employees, so that other insurance policies held by them or their self-insurance program(s) will not be required to contribute to any loss covered under the Vendor’s insurance policy or policies. The Vendor must provide the County with a copy of the endorsement making the County an additional insured on all commercial general liability policies as required herein no later than the effective date of this Contract. iv. Additional Insurance Provisions. No later than five days after Vendor’s receipt of: (i) a notice of cancellation, a notice of an intention to cancel, or a notice of a lapse in any of the Vendor’s insurance coverage required by this Contract; or (ii) a notice of a material change to Vendor’s insurance coverage required by this Contract, the Vendor will provide Department a copy of such notice of cancellation, notice of intention to cancel, notice of lapse of coverage, or notice of material change.
