If, for any reason, the Legislature fails to appropriate funds or grant expenditure authority, or funds become unavailable by operation of law or federal funds reductions, this

Agreement will be terminated by the State. Termination for any of these reasons is not a default by the State, nor does it give rise to a claim against the State.

2.11 This Agreement may not be assigned without the express prior written consent of the State. This Agreement may not be amended except in writing, which writing shall be expressly identified as a part hereof, and be signed by an authorized representative of each of the parties hereto.

2.30 Contractor represents and warrants that it has the full power and authority to grant the rights described in this Agreement without violating any rights of any third party, and that there is currently no actual or, to Contractor’s knowledge, threatened suit by any such third party based on an alleged violation of such rights by Contractor.

2.31 The award of this Agreement to Contractor is not in any way an endorsement of Contractor or

Contractor’s services by the State and may not be so represented by Contractor in any advertising or publicity materials. Contractor agrees to submit to the State all advertising, sales promotion, and other publicity relating to this Agreement wherein the State’s name is mentioned, or language is used from which the connection of the State’s name therewith may, in the State’s judgment, be inferred or implied.

Contractor further agrees not to publish or use such advertising, sales promotion, or publicity without the prior written consent of the State. Contractor may not in any way contract on behalf of or in the name of the State, nor may release any informational pamphlets, notices, press releases, research reports, or similar public notices concerning this Agreement without obtaining the prior written approval of the State.

3.0 SCOPE OF WORK

3.1 The Contractor will make available one or more examiners to perform Market Conduct Examinations on insurance companies identified by the Division of Insurance. The Contractor will, with approval of the Division of Insurance, designate an Examiner in Charge (EIC) for each examination.

3.2 The EIC will participate in pre-examination planning meetings with the Division of Insurance and the company being examined and provide time and cost estimates for the examination. The EIC will submit preliminary data requests to the company.

3.3 The EIC and other examiners, if any, will travel to the examination site and perform the Market Conduct

Examination in accordance with the latest version of the NAIC Market Regulation Handbook and directions from the Division of Insurance. The EIC and examiners may conduct the examination off-site when appropriate. The EIC will be in charge of examining all areas requested by the Division of Insurance and will request all necessary company files and use sound sampling techniques where appropriate.

3.4 The Examiners will issue Requests for Information to the examined company where additional information is needed. The Examiners will issue Criticisms to the examined company where there is evidence that South Dakota laws, Administrative Rules, or company policies may not have been followed. The EIC will provide the Division of Insurance with copies of Criticisms for approval prior to submitting them to the company.

3.5 The EIC will encourage clear and open communication between the Examiners and the examined company. The EIC may be required to hold regular meetings with the examined company’s designated contact person. The Division of Insurance may also require the EIC provide a written progress report. The progress report must describe work performed, outline new findings, update the status of new and open Requests for Information, and specify any changes to the scope or timeframe of the examination.

3.6 The Contractor will provide the Division of Insurance with an invoice of hours worked, hourly rate, and related expenses with copies of receipts for approval every month. Upon approval by the Division of Insurance, the invoice will be submitted to the examined company for payment.

3.7 If on-site work is conducted, the EIC will offer to conduct an exit conference with the examined company.

The Division of Insurance may participate in the exit conference.

3.8 Prior to the completion of the examination, the Division of Insurance may request the EIC provide a Draft

Examination Report that is not filed under oath.

3.9 The EIC will then file a Draft Examination Report under oath within 60 days of completion of the examination. The Report will detail:

3.9.1 The scope and timeframe of the examination.

3.9.2 The history and profile of the company and its cooperation in the examination.

3.9.3 An executive summary of the Report findings.

3.9.4 An explanation of the areas examined, including number of files examined, exceptions or violations, and a compliance percentage with each standard from the NAIC Market Regulation Handbook.

3.9.5 An explanation of any findings.

3.9.6 A notarized Affidavit attesting to the truth of the Report.

3.10 The EIC and any other examiners must make themselves available for additional questioning by the Division of Insurance and must be available to participate in any Hearings or other matters arising out of the examination.

3.11 The EIC and any other examiners may be required to sign a confidentiality agreement.

5.0 PROPOSAL RESPONSE FORMAT

5.1 Proposal shall be submitted electronically.

5.1.1 In addition, the Vendor should provide one (1) copy of their entire proposal, including all attachments, in Microsoft Word or PDF electronic format.

5.1.2 The proposal should be page numbered and should have an index and/or a table of contents referencing the appropriate page number.

5.2 All proposals must be organized and tabbed with labels for the following headings:

5.2.1 RFP Form. The State’s Request for Proposal form completed and signed.

5.2.2 Executive Summary. The one or two-page executive summary is to briefly describe the Vendor's proposal. This summary should highlight the major features of the proposal. It must indicate any requirements that cannot be met by the Vendor. The reader should be able to determine the essence of the proposal by reading the executive summary. Proprietary information requests should be identified in this section.

5.2.3 Detailed Response. This section should constitute the major portion of the proposal and must contain at least the following information:

5.2.3.1 A complete narrative of the Vendor's assessment of the work to be performed, the

Vendor’s ability and approach, and the resources necessary to fulfill the requirements.

This should demonstrate the Vendor's understanding of the desired overall performance expectations.

5.2.3.2 A specific point-by-point response, in the order listed, to each requirement in the RFP as detailed in Sections 3.0 and 4.0. The response should identify each requirement being addressed as enumerated in the RFP. Combined responses are acceptable when appropriate.

5.2.4 Cost Proposal. Cost will be evaluated independently from the technical proposal. Vendors may submit multiple cost proposals. 6.0 PROPOSAL EVALUATION AND AWARD PROCESS

6.1 After determining that a proposal satisfies the mandatory requirements stated in the Request for Proposal, the evaluator(s) shall use subjective judgment in conducting a comparative assessment of the proposal by considering each of the following criteria:

6.1.2 Resources available to perform the work, including any specialized services, within the specified time limits for the project;

6.3 The qualifications of the personnel proposed by the Vendor to perform the requirements of this RFP, whether from the Vendor's organization or from a proposed subcontractor, will be subjectively evaluated.

Therefore, the Vendor should submit detailed information related to the experience and qualifications, including education and training, of proposed personnel.

6.4 The State reserves the right to reject any or all proposals, waive technicalities, and make award(s) as deemed to be in the best interest of the State of South Dakota.

6.5 Award: The requesting agency and the highest ranked offeror shall mutually discuss and refine the scope of services for the project and shall negotiate terms, including compensation and performance schedule.

6.5.1 If the agency and the highest ranked offeror are unable for any reason to negotiate a contract at a compensation level that is reasonable and fair to the agency, the agency shall, either orally or in writing, terminate negotiations with the contractor. The agency may then negotiate with the next highest ranked contractor.

6.5.2 The negotiation process may continue through successive offerors, according to agency ranking, until an agreement is reached or the agency terminates the contracting process.
