SECTION B - SUPPLIES OR SERVICES AND PRICES/COSTS
ARTICLE B.1. BRIEF DESCRIPTION OF SUPPLIES OR SERVICES
The purpose of this acquisition is to establish an appropriate current Good Manufacturing Practice (cGMP) Contract Manufacturing Organization (CMO) to support rapid vaccine development by manufacturing vaccine Clinical Trial Materials (CTM) for trials of live-attenuated virus or inactivated virus vaccine candidates. cGMP is a Food and Drug Administration (FDA) regulation. Vaccine ancillaries or other biologics required to advance to clinical trials, such as virus challenge stocks, diluents, cell lines for use in the production of the vaccines, test materials, etc., are also within scope.
ARTICLE B.2. PRICES/COSTS
a. This is a Single Award Indefinite Delivery Indefinite Quantity contract as contemplated by FAR 16.504. The Contractor shall be reimbursed by the Government in an amount not less than a total of $10,000.00 (minimum) nor more than a total of $24,519,468.00 (maximum) for successful performance of this contract.
b. The costs set forth in this ARTICLE will cover the anticipated ordering period December 31, 2020 through December 30, 2027.
c. The Government will issue Task Orders based on the work described in SECTION C of this contract.
d. Ordering procedures are described in The TASK ORDER PROCEDURE Article in SECTION G of this contract.
ARTICLE B.3. PROVISIONS APPLICABLE TO DIRECT COSTS
This article will prohibit or restrict the use of contract funds, unless otherwise approved by the Contracting Officer. The following is a list of items that may be included in the resultant contract as applicable. 1) Conferences & Meetings, 2) Food for Meals, Light Refreshments & Beverages, 3) Promotional Items, 4) Acquisition, by purchase or lease, of any interest in real property; 5) Special rearrangement or alteration of facilities; 6) Purchase or lease of any item of general purpose office furniture or office equipment regardless of dollar value; 7) Travel Costs including Foreign Travel; 8) Consultant Costs; 9) Subcontract Costs; 10) Patient Care Costs; 11) Accountable Government Property; 12) Printing costs; and 13) Research Funding.
- 5 -
ARTICLE B.4. ADVANCE UNDERSTANDINGS
Specific elements of cost, which normally require prior written approval of the Contracting Officer before incurrence of the cost (e.g., foreign travel, consultant fees, subcontracts) will be included in this Article if the Contracting Officer has granted his/her approval prior to contract award.
A) Work designated for the Prime Contractor
Based on extensive history, NIAID has existing processes for manufacturing the virus suspensions (candidate vaccine or challenge stock lot). The Contractor will produce, purify, process, fill, and flash freeze the virus suspensions as directed by NIAID, including any needed process qualifications. Any exceptions must be approved by NIAID before execution. This work will be executed by the prime Contractor and may not be subcontracted.
The Prime Contractor must complete this portion of the requirement, without subcontracting, for two reasons. First, because this work will be done following a NIAID process, it is critical that the team on the manufacturing floor have direct and rapid access with the NIAID scientists should any problems or questions arise during production, not delayed through a third party. Secondly, because the virus vaccine candidates have limited stability until they are frozen, the entire process must all be done in the same facility to minimize the time from start of production to drug product vials complete and in freezer storage.
B) Human Resource and Performance Management
The Contractor shall provide best practices for human resources and performance management. The Contractor shall provide qualified multidisciplinary staff to fulfill the requirements of Task Order award(s). For each discipline, the staff shall have all the required and customary training, experience, and licensure or certification needed to fulfill their assigned role within each Task Order.
C) Management of Unsuccessful/Incomplete Attempts
1. For unsuccessful product attempts due to issues with the Accession Virus Bank (AVB), NIAID will be responsible for the costs associated with the time and materials incurred to-date.
2. The cost of unsuccessful product attempts due to sterility, cGMP failures, or other cause clearly assignable to the Contractor will be at no charge to NIAID.
3. The Contractor will make every effort to understand and resolve the cause of an unsuccessful attempt. Once resolved, the Contractor will make every effort to expedite a replacement run for the product.
D) cGMP Compliance and Right to Audit
1. To satisfy NIH/NIAID requirements, the Contractor must demonstrate active and ongoing cGMP compliance.
2. Appropriate documentation shall be included in the Contractor’s Technical Proposal.
3. If requested by NIAID, the Contractor shall make their facility, staff, and relevant documentation available for audit by NIH or NIH’s designee. NIH audits may be preliminary to the award of the Contract or of a first Task Oder, and/or may be repeated for cause at any time or without cause not more frequently than once every two years.
E) Intellectual Property and Technology Transfer
1. NIAID owns all intellectual property associated with the design of the AVBs and the Clinical Trial Materials
(CTMs). NIAID owns all rights to publications arising from the deliverables of this Contract unless otherwise specified in writing.
2. The following will be considered US Government-owned materials: (a) all qualified virus suspensions and reports produced by the Contractor under this contract; (b) all cell lines produced and qualified for use by the Contractor under this contract; (c) all materials provided by NIAID to the Contractor for testing or in support of the Contractor’s performance of this contract; and (d) all materials produced by the Contractor through the use of any material originally supplied by NIAID to the Contractor (e.g., progeny of original AVB or Working Virus Bank virus stocks provided by NIAID or progeny of cell line stocks provided by NIAID).
- 6 -
3. The Contractor shall fully support transfer of the properties listed in Section D(2), immediately above, to the US Government or a designated third party or destruction when directed by the COR or/and at the completion of the Task Order.
4. The Contractor shall keep confidential any protocols provided by NIAID under this contract pertaining to virus preparation or cell culture unless (a) such protocols are already published in the public domain or (b) the Contracting Officer, Contracting Officer’s Designee, or the COR authorizes dissemination of such protocols in writing.
