SUBJECT: Request for Proposal (RFP) No. 72016924R00002 for USAID/Serbia’s Organizational Capacity Building activity
Dear Prospective Offeror:
The United States Government, represented by the U.S Agency for International Development (USAID), through the Mission in Serbia, is seeking proposals from qualified local Serbia organizations interested in providing the services as described in this solicitation.
The competition under this solicitation is limited to local entities in accordance with Section 7077 of Public Law 112-74, as amended by Section 7028 of the Consolidated Appropriation Act (P.L 113-76) titled “Local Competition Authority”. For the purpose of the solicitation, local entity means an individual, a corporation, a nonprofit organization, or another body of person that:
1) Is legally organized under the laws of Republic of Serbia;
2) have its principal place of business or operations in the Republic of Serbia; and
3) is: (A) majority owned by individuals who are citizens or lawful permanent residents of the cooperating country; and (B) managed by a governing body the majority of who are citizens or lawful permanent residents of the cooperating country.
For purpose of this section “Majority owned" and "managed by" include, without limitation, beneficiary interests and the power, either directly or indirectly, whether exercised or exercisable, to control the election, appointment, or tenure of the organization's managers or a majority of the organization's governing body by any means.
Subject to the availability of funds, USAID anticipates awarding a single Firm Fixed Price Contract, up to $80,000, covering a period of up to six months, from the date of the award. In accordance with Federal Acquisition Regulation FAR 13.106, USAID intends to award a contract on a best-value basis. Therefore, the offerors should not strive to meet the maximum amount, rather, the offerors should propose the best technical, and management solution, and costs that are appropriate, realistic, reasonable, and in accordance with the proposed approach for achieving the activity objective.
Please note that offerors must be registered in the System for Award Management (SAM) (https://www.sam.gov) in order to do business with the U.S. Government. A successful registration in SAM means the Offeror has obtained a Unique Entity ID, and has secured an NCAGE number to successfully register in SAM.
USAID reserves the right to amend or rescind this solicitation at any time. Any amendments to this solicitation will be issued and posted on the System for Award Management (SAM)

B.2 PURPOSE
The purpose of this contract is to provide technical services for the comprehensive capacity building assistance to an identified non-governmental organization located in southwestern Serbia as described in Sections C of the contract.
B.3 CONTRACT TYPE
This is a Firm Fixed Price (FFP) type Contract.

The “TBD” designation is information which will be provided by the Government as applicable or as otherwise designated elsewhere in the contract.
a) The fixed price for the performance of the work required hereunder is TBD.
b) Within the estimated price specified in paragraph a) above, the amount currently obligated and available for reimbursement of allowable costs incurred by the Contractor for performance hereunder is TBD.

SECTION C – DESCRIPTION / SPECIFICATIONS/STATEMENT OF WORK
ORGANIZATIONAL CAPACITY BUILDING
STATEMENT OF WORK (SOW)
C.1 PURPOSE
Primary purpose: The purpose of this activity is to provide comprehensive capacity building assistance to an identified non-governmental organization located in southwestern Serbia (the” identified organization”). The capacity development of the identified organization will enable it to become a direct USAID partner, fostering its ability to receive USAID’s support in implementing activities aligned with USAID Serbia’s Country Developing Strategy (CDCS).
C.2 PROBLEM STATEMENT:
Small, local organizations face organizational challenges, including weaknesses in financial management, strategic planning, board governance, communications, project design, human resources, and business planning. These challenges hinder the organizations’ eligibility to receive direct USAID funding and ability to adhere to USAID’s procedures, principles and regulations.
C.3 OBJECTIVE:
The objective of this SOW is to provide intensive capacity development activities via various means, such as: training, mentoring, coaching and technical assistance, with the aim to strengthen organizational internal controls, management oversight, and overall capacity of the identified organization.
This support will be focused on the areas identified below. For any additional necessary interventions identified, but not specifically listed under the “Areas of Intervention” below, the contractor must request USAID’s approval.
C.4 AREAS OF INTERVENTION:
Capacity development interventions will primarily focus on the following areas:
● organizational structure and management (including board development and governance),
● strategic planning,
● financial management and financial sustainability (including written procedures detailing financial controls for budget analysis, monitoring, and oversight of donor funded projects)
● procurement processes,
● human resources development (including HR handbook detailing staff hiring, performance management, professional development procedures, and travel procedures),
● legal and regulatory compliance,
● policies, ethics and codes of conduct.
If time and resources allow, additional areas of intervention could be allowed with USAID’s approval.
Illustrative interventions of secondary importance could include:
● business plan development
● project design development
● project implementation and management
● monitoring and evaluation
● outreach, communications, and media relations,
● networking with stakeholders,
● information security,
● gender integration.
C.5 DELIVERABLES SCHEDULE:
The contractor will develop a deliverables schedule, with a timeframe and price for each of the following deliverables:
● An assistance capacity building plan tailored to the identified organization’s needs (The plan must be approved by USAID prior to its implementation.)
● A Monitoring Evaluation and Learning Plan (MELP) to measure the identified organization’s progress.
● Provide technical assistance, training, coaching, and other activities to the identified organization and in accordance with the approved capacity building plan
● An updated Statute and Strategy of the identified organization
● Financial management policies and procedures
● HR policies and procedures
● Procurement policies and procedures
● Policies on ethics, codes of conduct, and conflict of interest
● Evaluate the identified organization’s progress against goals defined in the MELP
● Final report
C.6 QUALITY STANDARDS FOR THE DELIVERABLES
All deliverables i.e. established policies and procedures must be compliant with USAID policies and procedures and Serbian laws.

SECTION D – BRANDING AND MARKING
D.1 AIDAR 752.7009 MARKING (JAN 1993)
a. It is a USAID policy that USAID-financed commodities and shipping containers, and project construction sites and other project locations be suitably marked with the USAID emblem. Shipping containers are also to be marked with the last five digits of the USAID financing document number.
As a general rule, marking is not required for raw materials shipped in bulk (such as coal, grain, etc.), or for semi-finished products which are not packaged.
b. Specific guidance on marking requirements should be obtained prior to procurement of commodities to be shipped, and as early as possible for project construction sites and other project locations. This guidance will be provided through the cognizant technical office indicated on the cover page of this contract, or by the Mission Director in the Cooperating Country to which commodities are being shipped, or in which the project site is located.
c. Authority to waive marking requirements is vested with the Regional Assistant Administrators, and with Mission Directors.
d. A copy of any specific marking instructions or waivers from marking requirements is to be sent to the Contracting Officer; the original should be retained by the Contractor.
D.2 BRANDING
When applicable, the Contractor must comply with the requirements of the policy directives and required procedures outlined in USAID Automated Directive System (ADS) 320.3.2 “Branding and Marking in USAID Direct Contracting” and USAID “Graphic Standards Manual” available at, or any successor branding policy.
Note: USAID receives “exclusive branding and marking” for the work conducted under all acquisition awards. This means that the foreign assistance delivered is clearly credited to the American people. It also means that competing logos or identities are excluded unless otherwise indicated in the award (Contract).

SECTION E - INSPECTION AND ACCEPTANCE
E.1 NOTICE LISTING CONTRACT CLAUSES INCORPORATED BY REFERENCE

E.2 INSPECTION AND ACCEPTANCE
USAID inspection and acceptance of services, reports, and other required deliverables or outputs shall take place at the principal place of performance or at any other location where the services are performed, and reports and deliverables are produced or submitted. The COR listed in Section G has been delegated authority to inspect and accept all services, reports, and required deliverables or outputs, with the exception of the deliverables tied to interim payments in Section B.

SECTION F – DELIVERIES AND PERFORMANCE
F.1 PLACE OF PERFORMANCE
The place of performance under this contract is the Republic of Serbia. The contractor must be based in Serbia1 and should plan to ensure its frequent physical presence at the location in southwestern Serbia where the identified organization is based, during the implementation of this activity.
F.2 PERIOD OF PERFORMANCE
The period of performance for this contract is six (6) months, from TBD to TBD.
F.3 KEY PERSONNEL
The personnel proposed and approved during proposal submission will be considered Key to the successful implementation of this Contract.
(a) The contractor must furnish the Project Manager position deemed as key personnel for the performance of this contract.
(b) The Project Manager is considered essential to the work being performed under this contract. The contractor must remain responsible for providing such key personnel for full-time performance for the term of this contract unless otherwise agreed to by the contracting officer.
(c) The failure to provide the Project Manager designated above may be considered nonperformance unless such failure is beyond the control, and through no fault or negligence, of the contractor.
(d) The contractor must immediately notify the contracting officer and the COR of Project Manager’s departure and the reasons, therefore.
(e) The Project Manager under this contract may be replaced with written approval of the Contracting Officer based on the responsibilities, qualifications and experience as stated below.
(f) Project Manager: The Program Manager will be responsible for leading and managing the overall activity. The Program Manager will work closely with the USAID. This position requires an individual who possesses:
● Demonstrated success with developing and operationalizing capacity building initiatives.
● Leadership in managing projects and staff.
● Demonstrated strategic thinking and planning, training and human resource management.
● Good knowledge of Serbia’s business and regulatory environment.
● Strong multi-cultural, interpersonal and supervision skills.
● Demonstrated ability to give effective presentations and write high quality technical reports.
● Excellent ability to amiably collaborate and coordinate activities with multiple stakeholders.
● A minimum of 10 years of experience in capacity building activities.
● Business proficiency, written and spoken, in English and Serbian.

Each deliverable listed above shall be submitted to USAID electronically using Microsoft Word, Excel, or PDF format. All deliverables must be written in plain, grammatically correct English.
Building Capacity and Implementation Plan
Within five days after the effective award date the designated COR will provide feedback on the contractor’s Building Capacity and Implementation Plan2, submitted with the proposal. The Contractor shall revise and submit the final Building Capacity and Implementation Plan no later than 15 days after the effective award. If acceptable, the COR will provide a written approval to the Contractor.
The Building Capacity and Implementation Plan must cover the period from the effective date of the award through the end date and will include but not limited, the requirements identified in Section C.4 and C.5, that will be used to track the progress of implementation of the activity.
Final Report
The final performance report is a detailed report which summarizes the accomplishments and impact in relation to the expected results. It must contain an executive summary, not to exceed two-page, an index

SECTION G – CONTRACT ADMINISTRATION DATA
G.1 ADMINISTRATIVE CONTRACTING OFFICE

G.2 CONTRACTING OFFICER'S AUTHORITY
The Contracting Officer is the only person authorized to make or approve any changes in the requirements of this Contract and notwithstanding any provisions contained elsewhere in this Contract, the said authority remains solely in the Contracting Officer. In the event the Contractor makes any changes at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment shall be made in the contract terms and conditions, including price.
G.3 CONTRACTING OFFICER'S REPRESENTATIVE (COR)
The USAID/Serbia’s Office of Democratic and Economic Growth (ODEG) shall provide technical oversight to the Contractor through the designated COR. The COR is: TBD, Project Management Specialist.
G.4 TECHNICAL DIRECTION/RELATIONSHIP WITH USAID
a) Technical directions must be in writing, and must be within the scope of the contract, as detailed in Section C. Technical directions include:
1. Written directions to the Contractor that fill in details, suggest possible lines of technical inquiry, or otherwise facilitate completion of the work;
2. Provision of written information to the Contractor that assists in the interpretation of drawings, specifications, or technical portions of the work statement; and
3. Review and, where required, written approval of technical reports, drawings, specifications, or technical information to be delivered.
b) The CO, by separate designation letter, authorizes the COR to take any or all action with respect to the following, unless specifically prohibited by the terms of this contract:
1. Provide technical direction.
2. Assure that the Contractor performs the technical requirements of the contract in accordance with the contract terms, conditions, and specifications.
3. Perform or cause to be performed, inspections in connection with this contract and require the
Contractor to correct all deficiencies; perform acceptance for the Government.
4. Maintain direct communications with the Contractor. Written communications with the Contractor and documents must be signed as “Contracting Officer’s Representative” with a copy furnished to the CO.
5. Monitor the Contractor’s production or performance progress and notify the Contractor in writing of deficiencies observed during surveillance, and direct appropriate action to effect correction. Record and report to the CO incidents of faulty or nonconforming work, delays or problems.
6. Obtain necessary security clearance and appropriate identification if access to Government facilities is required.
7. If to be provided, ensure that Government furnished property is available when required.
c) LIMITATIONS: The COR is not empowered to award, agree to, or sign any contract (including delivery or purchase orders) or modifications thereto, or in any way to obligate Government funds. The COR may not take any action that may impact the contract schedule, funding, contract scope, or rate of utilization of level of effort. All contractual agreements, commitments, or modifications that involve costs, prices, quantities, quality, and schedules will be made only by the CO.
d) In the separately issued COR designation letter, the CO may designate an alternate COR to act in the absence of the designated COR, in accordance with the terms of the letter.
e) Contractual Problems: Contractual problems of any nature that arise during the life of the contract must be handled in accordance with the terms of this contract and applicable laws and regulations.
The Contractor and the COR will bring all contractual problems to the immediate attention of the CO.
Only the CO is authorized to formally resolve such contractual problems. The CO is the sole authority authorized to approve changes to the contractual requirements. Notwithstanding any clause contained elsewhere in this contract, the said authority remains solely with the CO. These changes include, but will not be limited to, the following areas: Statement of Work, price, quantity, technical specifications, delivery schedules, and contract terms and conditions. In the event the Contractor affects any changes at the direction of any other person other than the CO, the change will be considered to have been made without authority.
f) Failure by the Contractor to report to the CO any action by the Government considered to be a change, within the specified number of days contained in FAR 52.243-7 (Notification of Changes), waives the Contractor’s right to any claims for equitable adjustments.
g) In case of a conflict between this contract and the COR designation letter, the contract prevails.
G.5 PAYMENT AND INVOICING INSTRUCTIONS
For payment of each deliverable as listed in the payment schedule in section B.4 c) of the contract, the contractor shall submit the SF-1034 Public Voucher for Purchases and Services Other Than Personal to the USAID/Serbia Financial Management Office including any other documentation as electronic file in Adobe format. One copy of the voucher and the invoice shall also be submitted to the COR.

SECTION H – SPECIAL CONTRACT REQUIREMENTS
H.1 LANGUAGE REQUIREMENTS
Written and spoken fluency of English language is required for any Contractor's technical personnel (i.e.
Key, STTA), assigned for the execution of this contract. Proficiency in English and local languages as appropriate are required. All deliverables shall be produced in English.
H.2 FOREIGN GOVERNMENT DELEGATIONS TO INTERNATIONAL CONFERENCES
Funds in this contract may not be used to finance the travel, per diem, hotel expenses, meals, conference fees or other conference costs for any member of a foreign government's delegation to an international conference sponsored by a public international organization, except as provided in ADS Mandatory Reference "Guidance on Funding Foreign Government Delegations to International conferences at: http://www.usaid.gov/sites/default/files/documents/1868/350maa.pdf or as approved by the CO.
H.3 AUTHORIZED GEOGRAPHIC CODE
The authorized geographic code for this award is 937 defined as the United States, the Cooperating Country (Republic of Serbia), and developing countries other than advanced developing countries, and excluding prohibited sources.

H.4 LOGISTIC SUPPORT AND SECURITY REQUIREMENTS
The Contractor shall be responsible for all administrative support and logistics required to fulfill the requirements of this Contract. These shall include all travel arrangements, appointment scheduling, secretarial services, report preparations services, printing, and duplicating.
H.5 GOVERNMENT FURNISHED FACILITIES OR PROPERTY
The Contractor and any employee or consultant of the Contractor is prohibited from using U.S.
Government facilities (such as office space or equipment) or U.S. Government clerical or technical personnel in the performance of the services specified in the contract.
H.6 CONFIDENTIALITY AND OWNERSHIP OF INTELLECTUAL PROPERTY
All reports and documents generated, and data collected during this activity shall be considered confidential and shall not be reproduced, disseminated or discussed in open forum, other than for the purposes of completing the tasks described in this document, without the express written approval of a duly authorized representative of USAID. All findings, conclusions and recommendations shall be considered confidential and proprietary.

H.7 EXECUTIVE ORDER ON TERRORISM FINANCING
The Contractor is reminded that U.S. Executive Orders and U.S. law prohibits transactions with, and the provision of resources and support to, individuals and organizations associated with terrorism. It is the legal responsibility of the contractor to ensure compliance with these Executive Orders and laws. This provision must be included in all subcontracts issued under this contract.
H.8 ENVIRONMENTAL COMPLIANCE AND REQUIREMENTS
Section 117 of the Foreign Assistance Act of 1961 requires that USAID “take fully into account” the impacts of its activities on the environment and natural resources of developing countries. This mandate is codified in Federal Regulations (22 CFR 216) and in USAID’s Automated Directives System (ADS) Chapters 201 and 204 (http://www.usaid.gov/policy/ADS/200/), which, in part, requires that the potential environmental impacts of USAID-financed and USAID-managed activities are identified prior to a final decision to proceed and that appropriate mitigation and monitoring measures are incorporated to address adverse impacts.
The contractor’s environmental compliance obligations under these regulations and procedures are specified in the Request for Categorical Exclusion (RCE) for the Organizational Capacity Building activity with the DCN: 2018-SRB-010-001.
No action funded under this Contract will be implemented unless a Categorical Exclusion or Threshold Decision, as defined by 22 CFR 216, has been established for that action, and documented in an approved Request for Categorical Exclusion (RCE) with the DCN: 2018-SRB-010-001.
The Contractor will be required to comply with all conditions specified in the approved Request for Categorical Exclusion (RCE) with the DCN: 2018-SRB-010-001.
H.9 ADS 302.3.5.17 LIMITATION ON SUBCONTRACTING TO NON-LOCAL ENTITIES (JULY 2014)
a) Applicability. This provision applies to:
(i) Contracts that have been awarded to those local entities under the authority of and as defined in Section 7077 of Public Law 112-74, the Consolidated Appropriations Act, 2012 (P.L. 112-74), as amended by Section 7028 of Public Law 113-76, the Consolidated Appropriations Act, 2014, also known as "Local Competition Authority"; and
(ii) Contracts awarded to local entities (as defined in Section 7077 of Public Law 112-74) under the authority at AIDAR 706.302-70 Impairment of foreign aid programs.
b) By submission of an offer and execution of a contract, the Offeror/Contractor agrees that in performance of the contract for—
1) Services (except construction), at least fifty (50) percent of the cost of contract performance incurred for personnel must be expended for employees of the prime/local entity.
