About this file
This is a FAR Part 12 Sole Source Justification and Approval document for a noncompetitive bridge contract to provide custodial services to Fort Belvoir Youth and Child Development Centers.
The U.S. Army Directorate of Public Works is requiring custodial services for eight buildings at Fort Belvoir, Virginia (buildings 950, 1003, 1028, 1207, 1745, 1805, 5023, and 5024), with Tawodi, Inc (DBA Yona Systems Group, LLC) as the incumbent contractor. The 30-day base period runs from 30 September 2026 to 29 October 2026 with an estimated value of $200,000, plus a FAR 52.217-8 extension option from 30 October 2026 to 29 April 2027 valued at approximately $1.2 million, bringing the total estimated contract value to $1.396 million. The sole source award is justified due to a pre-award GAO bid protest stay on the follow-on competitive procurement, which prevents award before the current contract expires on 30 September 2026. The incumbent contractor is uniquely positioned to provide uninterrupted service without substantial duplication of costs or delay, as transitioning to a new vendor would require a 15-day phase-in period estimated at $199,459.54 monthly with potential duplication costs of $99,729.77. Market research identified 16 interested sources and 34 capable vendors, including 30 small businesses and 26 SBA 8(a) participants, confirming that competition will be available once the protest is resolved. Fiscal year 2026 Operations and Maintenance Army funds will support this contract, with award projected for 30 September 2026.

5. Authority Cited: Simplified acquisition procedures for Commercial Products and Commercial Services, Title 41 U.S.C. 1901 as implemented by FAR 12.201-1 (DFARS CD 2026-O0028): only one responsible source.
6. Reason for Authority Cited:
a. Background: The Government requires a new 30-day noncompetitive bridge contract including a FAR 52.217-8 extension for Youth and Child Development Services (CDC) at Fort Belvoir, Va, with a period of performance from 29 September 2026 to 29 October 2026. The current contract expires on 30 September 2026.
Only the incumbent contractor can provide service without substantial duplication of costs or unacceptable delay. A pre-award GAO bid protest was filed on 11 September 2026, so the follow-on custodial services procurement anticipated for award is subject to a pre-award GAO protest stay pursuant to RFO FAR 33.105- 2(a). As a result, the Government is unable to award the follow-on contract before the current contract expires. Awarding the bridge will ensure that custodial services at the CDC will be uninterrupted, while the protest is resolved and the Government completes award of the follow-on contract. The 30-day bridge, and FAR 52.217-8 extension is estimated to be awarded in the amount of $1,396,216.75. Awarding a new vendor would require a 15-day phase in period which is estimated to be $199,459.54 monthly, when considering new personnel may need to be trained on specific installation procedures, transitioning planning, and operational overlap during phase-in and phase out period. Therefore, the potential duplication of costs is estimated to be $ 99,729.77.
Tawodi (DBA)Yona Systems Group, LLC, the incumbent contractor, is positioned to meet the Government’s immediate requirement because it is already mobilized and performing the required services at the affected facilities. The contractor has the existing workforce, supervision, equipment, supplies, access credentials, site-specific procedures, and familiarity with the facilities necessary to continue performance without interruption. Transitioning to another source for a 30-day bridge would require a new contractor to recruit onboard personnel, obtain required installation access and credentials, mobilize equipment and supplies, become familiar with facility-specific requirements, and establish quality-control procedures. These actions cannot reasonably be completed before the current contract expires. Any lapse in providing custodial services would result in unsanitary conditions, disruptions of operations and potential health and safety hazards and would result in an unacceptable delay.
A competitive procurement for this short-duration bridge is not practicable within the available timeframe. The protest stay delayed follow-on award beyond the current contract’s expiration date. Conducting a separate competition and transition for a 30-day bridge period would create an unacceptable risk of a lapse in custodial services and would not allow sufficient time to complete source selection, award, and contractor mobilization before 30 September 2026.
The 30-day base extension represents the minimum immediate period required to maintain continuity of critical services during the initial legal resolution phase of the active protest. The inclusion of FAR 52.217-8 (up to six months of optional continued performance) is established as a contingent risk-mitigation measure. It does not represent a guaranteed sole-source commitment. In the event that the protest is sustained or requires agency corrective action, a replacement solicitation and award cycle including a mandatory transition-in period for a non-incumbent would require up to six months to execute without an unacceptable break in services. If necessary, the option under FAR 52.217-8 is expected to be exercised incrementally, in the minimum blocks of time required, as the legal and procedural status of the procurement becomes clear.
b. Alternatives. The Government considered the following alternatives.
1. Conduct a new competitive acquisition for a 30-day bridge. This alternative is not practicable. The Government does not have sufficient time before expiration of the current contract on 30 September 2026 (effectively 29 September, as the new period must begin in the current fiscal year) to issue a solicitation, allow adequate time for proposal submission and evaluation, make award, and allow a new contractor to complete mobilization, staffing, credentialing, site familiarization, and equipment and supply staging. A separate competitive acquisition would also create duplicative transition costs during a 30-day period.
2. Award a new noncompetitive bridge to another contractor. This alternative is not in the Government’s best interest. A contractor other than the incumbent would require time to recruit and onboard personnel; obtain facility access, badging, and credentials; mobilize equipment and supplies;
establish supervision and quality-control procedures; and become familiar with the facility-specific performance requirements. These transition actions cannot reasonably be completed before 30 September 2026 and would increase the risk of a break in service.
c. Impact if justification not approved: If this justification is disapproved, the
Government will not have a contract in place to continue custodial services at the Youth and Child Development Centers on Fort Belvoir after the current contract expires on 30 September 2026. Because the available FAR 52.217-8 option authority has been exhausted and the follow-on award is subject to a pre-award protest stay, the Government would face a break in custodial services beginning 30 September 2026 unless another legally supportable acquisition approach is completed before contract expiration.
A lapse in custodial services would adversely affect the sanitation, cleanliness, safety, and continued use of supported Government facilities. The Government would also incur avoidable costs and delays if it were required to obtain short-term support from a new source. A new contractor would need time to recruit, onboard personnel, obtain access and credentials, mobilize equipment and supplies, conduct site familiarization, and establish supervision and quality-control procedures. These transition activities would duplicate costs already incurred by the incumbent.
7. Efforts to Obtain Competition: The Contracting Officer shall publish the notices required by FAR 5.101.
a. Effective competition: Effective competition is not anticipated for this 30-day bridge requirement. While market research identified several potentially capable small-business sources, no other source other than the incumbent can reasonably begin performance by 30 September 2026. The requirement’s short duration and the immediate need for uninterrupted custodial services prevent meaningful competition from being obtained within the available timeframe.
The Government anticipates that effective competition will be available for the follow-on custodial services requirement once the pre-award protest is resolved. The proposed noncompetitive bridge is not intended to replace the follow-on competition; it is limited to maintaining continuity of services during the protest stay.
8. Actions to Increase Competition: The Government has taken, and will continue to take, actions to maximize competition for the follow-on custodial services requirement.
Market research identified potential sources capable of performing the work. Of those sources, 30 were small businesses, including 26 firms identified as active Small Business Administration 8(a) participants. This market research demonstrates that adequate sources exist to support a competitive acquisition under a normal procurement lead time.
9. Market Research: Market research was conducted on 17 August 2026 and an updated sources sought posted from 21-23 September 2026, by Jodi E. Woods, Contracting Officer, Mission Installation Command. The Small Business Administration’s Dynamic Small Business Search (DSBS) was searched to identify current small-business vendors using keywords associated with custodial services and North American Industry Classification System (NAICS) code 561720, Janitorial Services. The acquisition team also reviewed results from recent market research for similar or identical custodial services requirements and evaluated capability statements submitted in response to the original sources-sought notice.
The original market research effort resulted in 34 capability statements. Of those respondents, 30 were small businesses, including 26 active SBA 8(a) participants. The research also identified firms in other small-business socioeconomic categories, including three Alaska Native Corporation (ANC) or Native Hawaiian Organization (NHO) 8(a) participants. The results of the market research demonstrate that several small businesses, including multiple 8(a) participants, are generally capable of performing custodial services under normal acquisition lead times. However, the market research also establishes that no other identified contractor can meet the Government’s immediate requirement without a break in service. The current custodial services contract expires on 30 September 2026.
In accordance with Defense Federal Acquisition Regulation Supplement (DFARS) 212.102-70(a) (DFARS CD 2026-O0017), which refers to DFARS 206.104-71(a)(2) and DFARS Procedures, Guidance and Information (PGI) 206.104-71(1), a request for information or sources sought was posted to SAM.Gov on 21 September 2026 for 3 days and 16 sources responded.
