SECTION 2 – INSTRUCTIONS AND SPECIAL REQUIREMENTS

1) SOLICITATION INFORMATION AND QUESTIONS: Bidders are advised to review this document in its entirety and to rely only upon the contents of this RFB and accompanying documents and any written clarifications or addenda issued by the Airport Authority. THE AIRPORT AUTHORITY IS NOT RESPONSIBLE FOR ANY VERBAL INSTRUCTIONS. If a Bidder finds a discrepancy, error, or omission in the RFB or any accompanying documents thereto, the Bidder shall promptly notify the Procurement Contact noted on the Cover Page of this RFB, so that written clarification may be sent to all prospective Bidders. All questions must be submitted in writing by the pre-bid question deadline.

No contact with other Airport Authority employees, officers or Board members regarding this document is permitted.

2) RFB MODIFICATIONS/ADDENDA: Clarifications or modifications may be made to this solicitation at the discretion of the Airport Authority. Any and all Addenda issued by the Airport Authority will be posted as noted on the Cover Page of this RFB. It is the responsibility of the Bidder to obtain from MITN any issued Addenda and to acknowledge the Addenda on the Bid Form. If any changes are made to this solicitation document by any party other than the Airport Authority, the original document in the Airport Authority’s files takes precedence.

3) BID DEADLINE / LATE SUBMISSIONS: The bid is due not later than the date and time listed on the Cover Page of this RFB. The MITN system does not accept late Bids and will cut you off at the exact deadline date and time, so allow yourself plenty of time when submitting your Bid. The deadline date may in some instances change during the solicitation issuance period. If any deadline date for submission changes, such change will be issued in a published Addendum to this solicitation prior to the deadline date indicated on the Cover Page of this solicitation.

4) SMALL BUSINESS ENTERPRISE (SBE) PARTICIPATION: The Airport Authority encourages participation from small businesses headquartered in the ATA on all non-federally funded contracts. A 5% SBE goal with adequate good faith efforts has been set on this solicitation. SBE participation can be achieved by a combination of any SBE prime contractor, subcontractors and/or suppliers. Responses including voluntary participation of 30% or more may be eligible to receive SBE Equalization Credits during the evaluation process. Details about the Airport Authority’s SBE Program, including equalization credits, the application forms, and a directory of current SBE companies may be found on the following website: Small Business Enterprises (SBE) | Wayne County Airport Authority (metroairport.com). For more information, please contact the Business Diversity Unit at business.diversity@wcaa.us or (734) 955-5785.

NOTE: WCAA SBE Certification status must be active as of the bid/quote deadline.

5) COUNTING SBE PARTICIPATION TOWARDS MEETING THE GOAL: Eligibility for award of the construction contract, the respondent, in lieu of actual SBE participation, must perform adequate good faith efforts (GFE) to meet the contract commitment for SBE participation for this contract. A respondent makes good faith efforts by documenting efforts made to attain enough SBE participation to meet the goal but was unable to do so. If a Bid is submitted with SBE participation at a percentage lower than the contract goal, then the Bid must include adequate documentary evidence of “good faith efforts” the Respondent made in its attempt to meet the goal. The Airport Authority cannot commit to contracting with a business that has not provided adequate documentation of the Respondent’s good faith efforts” to meet a SBE goal. Adequate “Good faith efforts” documentation must be submitted by the Bid Deadline. “Good Faith Efforts” made after the Bid Deadline will not be considered. Failure to provide SBE participation that meets the goal or written evidence of adequate good faith efforts may result in the Bid being deemed non-responsive and rejected without any further evaluation.

A respondent must demonstrate that it has made adequate GFE in its attempt to meet the goal.

Documentation of GFE must be provided as part of the Bid submission, with evidence of pre-Bid, i.e.

before the Bid Deadline, efforts to achieve SBE participation. Such evidence shall include, but not be limited to, the following:

https://metroairport.com/business/doing-business-wcaa/small-business-enterprise-sbe https://metroairport.com/business/doing-business-wcaa/small-business-enterprise-sbe mailto:business.diversity@wcaa.us

WAYNE COUNTY AIRPORT AUTHORITY Page 6 of 32

(a) The method, means, and date(s) by which the Respondent timely notified SBEs of the potential for bidding on the subject contract, such as:

• E-mail or facsimile communication with a specific list of SBE potential subcontractors.

• Documentation of advertising in general circulation trade publications and other media whose target audience is SBE potential subcontractors such as women or minority trade publications; and/or

• Highlighting the potential Bid opportunity on the Respondent’s website or other Respondent originated or controlled communications.

All such notification efforts should be timely, aggressive and thorough.

(b) Identification of all the SBEs whom the Respondent specifically notified. Such information shall include:

• Name, address and number of the SBE(s).

• SBE’s principal(s).

• Date(s) of contact.

• Method of contact.

• Description of the information provided regarding the plans and specifications of the opportunity.

• Meeting notes.

• Bids or quotes provided by the SBE; and

• Evidence as to why agreements could not be reached with contacted SBE(s).

Mere pro forma efforts are not adequate good faith efforts to meet the SBE contract goal.

Providing documentation of the above factors is not a guarantee that the respondent’s purported GFE will be deemed adequate. A respondent may include any additional information with the bid it believes to be relevant to support a finding by the Airport Authority Business Diversity Unit that the efforts made could have reasonably been expected to obtain sufficient SBE participation to meet the SBE goal.

Submitted GFEs will be evaluated as a whole through an assessment of the following items:

• Adequacy of information provided to SBE(s).

• Use of all reasonable and available means of solicitation (e.g., attendance at pre-bid meetings, advertising and/or written notices).

• Extent of any follow-up done with the SBE(s).

• Good faith negotiation tactics and use of industry standards when making a determination of whether to reject an SBE on the basis of qualifications.

• Efforts to assist interested SBEs in obtaining bonding, lines of credit, insurance, equipment, supplies, materials, or other related assistance or services as needed/appropriate; and

• Consideration given to make available to SBEs other aspects of the scope of services of the contract that would otherwise have been respondent-performed or gone to non-SBE*s) in order to obtain the SBE participation goals.

The above list is not intended to be exhaustive, exclusive or a checklist. In addition, the Airport Authority specifically reserves the right to seek additional or different information in evaluating a respondent’s Good Faith Efforts to meet the SBE Contract Goal.

Notwithstanding the foregoing, if the respondent fails to include an SBE Contract Commitment sufficient to meet the SBE Contract Goal, and:

• Provides no evidence of adequate Good Faith Efforts; or

• Provides only conclusory statements of Good Faith Efforts.

Then, the Airport Authority has the right to reject the respondent’s bid in its entirety as non-responsive.

The Airport Authority will strongly consider the evidence of negotiation with SBEs in determining the adequateness of a respondent’s good faith efforts. Simply obtaining quotes from SBEs may not suffice.

The Airport Authority may consider evidence of the following:

“Negotiating in good faith with interested SBEs. It is the respondent's responsibility to make a portion of the work available to SBE subcontractors and suppliers and to select those portions of the work or material needs consistent with the available SBE subcontractors and suppliers, so as to facilitate SBE

WAYNE COUNTY AIRPORT AUTHORITY Page 7 of 32 participation. Evidence of such negotiation includes the names, addresses, and telephone numbers of SBEs that were considered; a description of the information provided regarding the plans and specifications for the work selected for subcontracting; and evidence as to why additional agreements could not be reached for SBEs to perform the work.”

Existing SBE vendors can be found on the Airport Authority’s website at Small Business Enterprises (SBE) | Wayne County Airport Authority (metroairport.com). Vendors interested in becoming SBE certified can also use this link to connect with the online application portal. Firms intending to be counted as an SBE for this opportunity must be certified as a WCAA SBE by the solicitation submission deadline
