Justification and Approval (J&A) for Sole Source Procurement
This is a Justification and Approval document from the United States Marine Corps for procurement using other than full and open competition authority. The Marine Corps Systems Command (MARCORSYSCOM) is seeking to award a sole-source Indefinite Delivery Indefinite Quantity (IDIQ) contract for the procurement and delivery of up to 10 counter-air vehicles to Vertex Modernization and Sustainment, LLC, located in Indianapolis, Indiana (46219). The contract will utilize a hybrid firm-fixed price, cost-plus-fixed-fee, and cost reimbursable structure with five 12-month ordering periods. The estimated total dollar value for the Program Manager Ground Based Air Defense (PM GBAD) procurement is redacted in the document.
The justification cites Title 10 United States Code Section 3204(a)(1), as implemented by Federal Acquisition Regulation 6.103-1(a), asserting that only Vertex can satisfy agency requirements and no other suppliers or sources are available for this system. The contracting activity conducted market research and posted a sources sought notice on SAM.gov on January 30, 2026, with a response deadline of February 15, 2026, but received no responses. The Government will ensure fair and reasonable pricing through certified cost and pricing data submission, proposal analysis by technical and contract specialists, and review of the PM GBAD Independent Government Cost Estimate. The document includes certifications from technical, requirements, legal, and contracting personnel, with approval from the Competition Advocate for Marine Corps Systems Command.

7. Determination of Fair and Reasonable Cost In accordance with FAR 15.402, the Contracting Officer will ensure that supplies and services procured as a result of this J&A are at fair and reasonable prices. The contractor will be required to submit a formal proposal with certified cost and pricing data and sufficient information to support the accuracy and reliability of their estimate. An analysis of the proposal will be performed by technical analysts and contract specialists from
PM GBAD, with the assistance of Defense Contract Management Agency and Defense
Contract Audit Agency, as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, and review the actual costs from previous procurements, if applicable. Furthermore, the Government will also utilize the PM GBAD
IGCE as part of their evaluation. Award will only be made to the contractor if the negotiated pricing is found fair and reasonable based upon all available data.
8. Actions to Remove Barriers to Future Competition
If future procurements of the components described herein are necessary, and if another potential source emerges, PM GBAD will assess whether competition for future requirements is feasible. Any future actions will be reviewed by PM GBAD to offer competition to the greatest extent possible.
