About this file
This is a Memorandum for Use of Other Than Full and Open Competition for an Acquisition Under the Simplified Acquisition Threshold for the Military Sealift Command (MSC). The procurement is for Lights and Panel System components to upgrade the Flight Deck of the USNS Comfort to accommodate V-22 Aircraft, similar to work previously completed on the USNS Mercy. The procurement includes light fixtures, lighting panels, transformers, filters, and other related items, with a performance period from September 15, 2025 to September 30, 2026.
The document justifies sole-source procurement from CVI based on proprietary rights, standardization, and form/fit/function requirements. Specific components include dual flood blue NVG filters, deck edge light assemblies, auxiliary control panels, rotary beacons, aviation blue filters, transformers, and control panels. The justification emphasizes that CVI has proprietary design rights, previously developed the system for USNS Mercy, and the components must conform to ABS and USCG requirements. MSC indicates they lack the technical expertise to evaluate non-OEM alternatives, necessitating procurement directly from the original equipment manufacturer.

MEMORANDUM
Subj: USE OF OTHER THAN FULL AND OPEN COMPETITION FOR AN ACQUISITION UNDER
THE SIMPLIFIED ACQUISITION THRESHOLD
Ref: (a) PR Number(s): 1301292452
I. BACKGROUND:
1. In considering the references, FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contacting Officers may solicit from one source if the Contracting Officer determines that, under the circumstances of the contract action, only one source is reasonably available (e.g., urgency, exclusive licensing, brand-name, or industrial mobilization).
2. As required by FAR 13.106-3(b)(3)(i), this memorandum explains the absence of competition for this acquisition because only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.
II. DESCRIPTION OF ITEM OR SERVICE:
1. Provide Lights and Panel System components.
a. The name of the required source or brand name:
b. The required delivery date/period of performance:
Location: USNS Comfort, Naval Station Norfolk, VA
POP September 15, 2025 to September 30, 2026
c. Intended use:
MSC requires final procurement of the components associated with the developed and ABS & USCG approved TRANSALT work package to upgrade the Flight Deck to accommodate V-22 Aircraft onboard the USNS Comfort, similar to what was done on the USNS Mercy. Procurement includes (but not limited to) light fixtures, lighting panels, transformers, filters, etc.
2. List the source(s) or known vendor(s) who are able to provide the above described item or service.
The original drawings and work item developed for T-ALT TAH 19-18012 has been accomplished by CVI for the previous vessel. CVI’s experience with this effort from the previous vessel, USNS Mercy, will facilitate a complete product that will support class commonality.
III. THE DETERMINATION FOR USE OF OTHER THAN FULL AND OPEN COMPETITION IS BASED
ON THE FOLLOWING (select all that apply):
A. __X___ Only one responsible source (select all that apply):
1. __X__ RESTRICTIVE RIGHTS: the source has established proprietary rights, limited rights in data, patent rights, copyrights, or secret processes in the item or service.
2 Ver 2.0 (01 June 2018)
a. Explain what is subject to the restrictive rights.
owns the proprietary rights to the design of the flight deck lighting.
b. If drawings are included, who is identified as “owning” the drawings.
2. ___ EXCLUSIVE LICENSING AGREEMENTS: The item or service is only available from the Original Equipment Manufacturer (OEM), or there is ONLY ONE authorized distributor or technical representative for the OEM.
a. Identify the OEM and explain the circumstances surrounding why the item or service is only available from the OEM.
b. Identify the distributor / authorized technical representative for the item or service.
Provide evidence of the exclusive licensing agreement as an attachment to this document.
(NOTE: If there is more than one distributor / authorized technical representative, then use Part B – Brand Name.)
3. __X___ OTHER REASON:
a. _____ CRITICAL SHIP EQUIPMENT:
i. SMS Procedure Number:
b. _X___ STANDARDIZATION / BRAND NAME: Per MSCs standardization initiative, only the specified make/model of the equipment/parts will satisfy the Government’s needs for additional units or replacement items.
i. Identify Make / Model Number(s): See attached MOR with a breakdown of all parts and manufacturers along with Enclosure 1 with a screen shot of the List of Materials from drawing 436-8882275.

ii. Describe how the equipment must be compatible with the existing configuration.
The flight deck lighting system must be in accordance with ABS and USCG Requirements. This specific system has been approved by ABS and USCG for installation onboard the USNS Mercy previously. The compatibility designed specifically for fitting the designated area.
d. _XX__ OTHER:
MSC does not have manufacturing and technical information required to evaluate and determine whether non-OEM service and replacement parts offered are equivalent to the OEM components and replacement parts. The item and/or services described requires technical expertise to this equipment. The OEM has access to provide parts and technical data/drawings as required by USCG and ABS. The Part Number / NSN must be adhered too and must conform to the new Flight Deck Lighting System that has been procured for install
4 Ver 2.0 (01 June 2018) on the previous vessel. Any deviation would result in a Trans-Alteration and require further approvals from MSC Engineering and ABS.
4. _________ UNUSUAL AND COMPELLING URGENCY: The supplies or services are of such unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits. Urgent requirements are supplies or services that will result in work stoppage, or are mission critical and the routine processing time would injure the Government. The determination that the procurement for the above is an urgent and compelling requirement is based on the following:
a. Date on which the requirement was identified: __________
b. Required delivery date / Period of Performance: _________
c. If the difference between a. and b. is more than one week, explain the delay in submitting the requirement. _________
d. Estimated production lead time: __________.
e. Explanation of why delivery / commencement of services by the date required is needed: (explain the impact to the mission, any special circumstances or conditions, etc.)
f. CASREP Number: ____________
IV. ANTICIPATED DOLLAR VALUE OF PROCUREMENT:
