About this file
This document is a Sole Source Justification for a federal contract opportunity. The opportunity is for a three-year, firm-fixed-price purchase order for ICE Mortgage Technology, Inc.'s AllRegs Online web-based platform, which provides the Federal Housing Finance Agency (FHFA) access to online guidelines and compliance information for the single family and multifamily housing industry. The justification states that AllRegs Online is the only known product that can comprehensively meet FHFA's requirements, and that market research found no other sources. The anticipated total value of the three-year purchase order is $45,612. The contract is for the period of December 1, 2024 through November 30, 2027. FHFA has been using the AllRegs Online product under a previous purchase order that expires on November 30, 2024.

SOLE SOURCE JUSTIFICATION
SIMPLIFIED ACQUISITIONS OVER THE MICRO-PURCHASE THRESHOLD
AND UP TO THE SIMPLIFIED ACQUISITION THRESHOLD
Date: 10/16/2024 Solicitation Number: FHF-25-Q-0004
This is a sole source justification in accordance with 41 U.S.C. 1901(e)(2), FAR 13.106-1(b)(1).
1. NATURE AND/OR DESCRIPTION OF THE ITEM/SERVICE BEING
PROCURED AND ITS INTENDED USE (INCLUDE THE ANTICIPATED COST):
ICE Mortgage Technology, Inc. (UEI Number M5QFJYH855C6; 4420 Rosewood Drive, Pleasanton, CA 94588) is the sole source provider of the AllRegs Online web-based platform. The AllRegs Online product is unique in that it provides the Federal Housing Finance Agency (FHFA), Division of Housing Mission and Goals (DHMG) access to an online product publishing historic and current underwriting, servicing, and loan product Guidelines for single family and multifamily housing industry that includes the following organizations: the Federal National Mortgage Association (Fannie Mae) and the Federal Home Loan Mortgage Corporation (Freddie Mac) (i.e. the Enterprises), the United States Department of Agriculture (Rural Housing Service), Department of Veterans Affairs, Federal Housing Administration, the Government National Mortgage Association (Ginnie Mae), Mortgage Insurers, and the Consumer Financial Protection Bureau. Additionally, AllRegs Online includes federal and state Compliance Guides.
Information is uploaded in real time directly from the actual source (e.g. insurers, agencies, the Enterprises, etc.) and the AllRegs Online system additionally maintains a historical database of all updates. As FHFA works with Fannie Mae and Freddie Mac to develop and update single family and multifamily Guidelines in areas such as, but not limited to, underwriting, loan product, loan delivery, reporting, servicing, and quality control policies, then access to the Enterprises’ historic and current Guidelines is crucial. AllRegs Online provides a portal to both Fannie Mae and Freddie Mac Guidelines, lender and servicer announcements and updates, as well as prior versions of policy for comparison using its online tools. Ice Mortgage Technology, Inc.’s AllRegs Online product provides both historical data from 1997 and real time updates for these organizations.
ICE Mortgage Technology, Inc.’s AllRegs Online web-based service is the only known product to provide comprehensive access to all of the Guidelines FHFA needs to perform its duties safely and soundly. In conducting market research, FHFA determined that AllRegs Online is offered in either one-year (with no discount) or multi-year arrangements up to three years with increasing discounts for longer terms. No option years are offered for the product. As such, FHFA will seek a three-year, multi-year, firm-fixed-price purchase order and funding arrangement, which Ice Mortgage Technology, Inc. estimates to be in the amount of $45,612.00.
The anticipated contract type is a single-award, purchase order with firm-fixed price (FFP). The purchase order will be for three (3) years. The anticipated period of performance date is 1 December 2024 through 30 November 2027.

Rationale:
ICE Mortgage Technology, Inc. is the only known available source with capability to meet FHFA’s minimum requirements, which is to have comprehensive access to all of the Guidelines FHFA needs to perform its duties safely and soundly.
FHFA currently uses the AllRegs online product through FHFA purchase order 95314323P0006, which expires on 30 November 2024, and finds that the product more than meets its requirements and support of its mission.
The determination top award a sole source purchase order is further supported by: 1) recent internet-based searches for similar products that provided no other vendors with similar products and capabilities; 2) confirmation by ICE Mortgage Technology, Inc. that it is the sole source provider (i.e. it has no resellers of the product); and 3) previously conducted market research, as outlined below.
3. MARKET SURVEY.
FHFA/DHMG performed internet-based market research and no other sources were found to fulfill the needed requirements other than ICE Mortgage Technology, Inc. In addition, a “Notice of Intent to Sole Source” synopsis was posted on Contract Opportunities of SAM.gov, on 9 October 2024 with a response date and time of 16 October 2024 at 10:00AM Eastern Time requesting that parties express their interest in writing to the Contracting Officer. The FHFA Contracting Officer received no written interests, responses, or challenges.
4. IF THIS IS A DETERMINATION FOR SOLE SOURCE, THE CONTRACTING
OFFICER CERTIFIES:
