About this file
This is a Justification and Approval (J&A) document for Other Than Full and Open Competition authorizing a sole-source contract action exceeding $100 million with The Boeing Company for the Massive Ordnance Penetrator (MOP/GBU-57) weapon system. The contracting activity is the Air Force Life Cycle Management Center (AFLCMC), Armament Directorate, Attack Division at Eglin AFB, Florida. The J&A was approved on 6 February 2026 under the authority of 10 U.S.C. 3204(a)(1) (FAR 6.302-1), citing Boeing as the only responsible source capable of meeting agency requirements without unacceptable delays. Funding will be provided through FY25 Procurement dollars.
The procurement covers production and sustainment of MOP components including additional tail kits and all-up-round (AUR) components, with projected delivery beginning 10 January 2028. Boeing's unique qualifications stem from 18 years of specialized expertise in the weapon system's guidance algorithms, navigation systems, hardware components, specialized test equipment, and proprietary software. The government conducted market research through a Sources Sought posted 1 July 2025 (closed 15 July 2025), receiving 11 responses from various companies; however, analysis determined only Boeing possesses the integrated capabilities required for prime contractor responsibilities. Prior contracts for MOP production include FA8681-18-C-0038 (awarded 8 February 2018), FA8681-19-F-1021 (awarded 30 September 2019), and FA8681-24-F-8062 (awarded 18 September 2024). The contract will utilize both Firm-Fixed-Price and Cost-Plus-Fixed-Fee contract types, with fair and reasonable pricing determination based on certified cost or pricing data, technical analysis of the contractor's Basis of Estimate, and Defense Contract Management Agency inputs.

Although~as solicited for the cost of the MOP Technical Data Package (TDP) the USG was informed the TDP was not for sale. Therefore, there will be no separate CLINs for Intellectual Property (IP) rights under this effort. The IP Cadre recommendations will be considered and incorporated where necessary and proper.
IV. Demonstration that the contractor's unique qualifications or the nature of the acquisition requires use of the authority cited above.
This J&A Authority: 1 O U.S.C. 2304(c)(1 ), as implemented by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.
Sub-section 1: Proposed Acquisition Satisfies Agency Needs:
This current acquisition is a follow-on production of a ACAT-IC major weapons system as a sole-source award to the-11-•Company via contract FA8681-26-C-8001 . The previous contracts and this followon is for continued production of MOP AU Rs~hese items were originally procured under:

;~:r:c~~i~~;:~~~~d~:e1:~;~~~~~::~;!~~:~r;~~nt ?f fie COT ,onrntit? ;u,bcom~o~~: s of c■■••••••1111•••There are various factors contributing to the long-lead times: tariffs, production lines running cold requiring Production Readiness (PRR), First Article Inspections (FAI), re-qualifying sub-suppliers and a post-COVID supplier chain world which complicates and elongates deliveries and quality control.
Sub-Section 2:~ Unique and Highly Specialized Capabilities:
The contractor has uniquely acquired expertise over a period of 18 years of adapting this specialized weapon to meet evolving mission needs as MOP transitioned from proof-of-concept to Full Operational Capability. This expertise and highly specialized capabilities pertain, but is not limited to, knowledge of the guidance algorithms, navigation systems, hardware components, specialized test equipment, and software critical to producing and sustaining the MOP weapon system.
Sub-section 3: The MOP Program Office has determined that award to any other source would result in unacceptable delays in fulfilling the Government's requirement.
No delay in award is acceptable for this effort. Delaying this requirement would undermine force readiness and efficient acquisitions for this key weapons program. A delay undermines Combatant Commanders' capabilities, jeopardizes force readiness and strategic deterrence, hinders nuclear proliferation prevention efforts, and could result in loss of life. The multi-functional team assessed that
August2023 CONTROLLED UNCLASSIFIED INFORMATION Page 4 of 8 all current and planned system advances would need to be put on hold for the next __.,to facilitate all critical path nodes: 1) updating the Technical Data Package~), 2) the Government approval of the Technical Data Package (-3) the Government to conduct a full and open, competitive acquisition (I J 7 J. and 4) sufficient time for a new vendor to become operationally skilled with all of the hardware/software architecture, functional code base and execution of integration activities
With regards to IP rights The 3 C nmpany is the Original Equipment Manufacturer (OEM) of the Ji MOP weapon system and retains ownership of the intellectual property data associated with the munition's tail kit. In particular, ..a.,wns the technical data package and manufacturing process methodologies of the tailkit unit entirely.9lllthas uniquely acquired expertise over a period of ~18 years of adapting this specialized weapon to meet evolving mission needs as MOP transitioned from proof-of-concept to full operational capability. This expertise pertains, but is not limited to, knowledge of the guidance algorithms, navigation systems, hardware components, specialized test equipment, and software critical to producing and sustaining the MOP weapon system.
Over the course of the ~18 years of MOP development to the AU Rs acquired today the USG has, at certain junctures, been able to separate from the sole-source environment for this weapon with Boeing.
The USG was able to break away the Warhead Cases for the MOP under a weapon design agent effort, thereby giving the USG complete IP control over the Warhead TDP. Based on the IP ownership of this TDP the USG awards contracts competitively.
The other components and sub-components, as noted above, have been proprietary to ]lirnm the inception of this weapon system. The USG does not own or control, via license or by other IP rights, any computer software, methodologies, or technical drawings. I A was queried in August 2025 as to the potential of selling IP rights to the USG for the MOP weapon system and the USG was denied.
Historically, the USG has informally asked B g for various licensing and purchase rights of IP to try and drive down component costs but none have been feasible due to funding constraints.
Per IP law and appropriate contract clauses any drawings, etc. marked "Government Purpose Rights" by I C f; after five years convert into "Unlimited Rights." Over the course of this weapons program the USG has evaluated and taken opportunities where possible to utilize any "Unlimited Rights" but due to the integrated and complex nature of the subcomponents and their integration into a AUR any bargaining for IP rights has been unsuccessful.
in August of 2025, the Government successfully reverse engineered a critical subcomponent of the MOP weapon system saving 4-years of design work and enabling the utilization of existing Army ATACMS technology to eliminate obsolescence issues and meet operational demands. However, the time to reverse engineer all MOP components would result in unacceptable delays in meeting mission requirements. If the Government were to redesign the entire MOP tail kit, that effort would take••
. To re-qualify through PRR, FAI, and any CDRs, the additional time would be appropriately 24 months, totaling 60 months.
Sub-section 4: Concluding Rationale for Bases of Sole-Source:
Accordingly, The I Wfnmpany is the only firm capable of providing the supplies described in Section iii above without the Government experiencing unacceptable delays in fulfilling its
August 2023 CONTROLLED UNCLASSIFIED INFORMATION Page 5 of 8 requirements.
No future production is expected upon the completion of achievin-
V. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by subpart 5.2 and, if not, which exception under FAR 5.202 applies.
In order to determine if there were currently any new potential offerors for this effort, the Government posted a Sources Sought on 1 July 2025 with a closing date of 15 July 2025. The posting was used to determine if there were any other potential sources that would support the use of full and open competition to fulfill the requirements. The Sources Sought requested any prospective contractor submit a capability statement demonstrating their capability to provide any or all of the needed work.
The Government's intent for requesting capability statements for any or all of the work was to get a broader understanding of the industry base to allow for any strategic contracting opportunities that could potentially expedite any long lead schedules. Any capability statement had to demonstrate how the source can provide a qualified engineering skill and facilities needed without substantial duplication of costs.
IAW FAR 5.203(a), a Notice of Proposed Contract Action (NOCA) was posted to SAM.gov on 17 July 2025 for at least 15 days prior to release of the solicitation to notify industry of the Government's intent to solicit and negotiate with only one source under the authority of FAR 6.302. The Government evaluated the responses received to determine whether respondents could meet requirements of this acquisition.
Further details can be found in the Market Research Report which notates respondents and Government Engineering reasoning as to their potentiality to produce the MOP weapon system.
VI. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
Based upon (1) certified cost or pricing data provided in the offeror's proposal, (2) the program office's technical analysis of the offeror's Basis of Estimate (BOE), and (3) inputs from the Defense Contract Management Agency, including from the Administrative Contracting Officer, the contracting officer expects they will be able to determine that the anticipated cost to the Government will be fair and reasonable.
VII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
A Sources Sought was released on 1 July 2025 with a closing date of 15 July 2025. Eleven (11) responses received and reviewed. Respondents included The Boeing Company, Advanced Autonomics LLC, Elmet Technologies, EOD Gear, Faxon Machining LLC, Kearfott, L3 Harris, Northrop Grumman, Superior Forge and Steel Corporation, Tungsten Parts Wyoming, and Chemring Energetic Devices.
The market research concluded that even though there are many companies interested in or capable of doing pieces and parts of the requirement, there is only one vendor capable of successfully meeting all of the requirements of MOP. While some of the respondents may already be performing in a role of subcontractor for MOP efforts, they still do not possess the unique/highly specialized capabilities necessary to act as prime for this effort.

VIII. Any other facts supporting the use of Other Than Full and Open Competition.
See Section IV above.
IX. List of any sources that expressed, in writing, an interest in the acquisition.
See Section VII above.
X. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisitions for the supplies or services required.
Competition is limited by the factors and conditions stated in Sections IV and VII. Due to the expected test, technical data cost, and time to qualify a second source for production/sustainment in an acceptable time frame, ? ) £ is the only vendor capable of producing the requirements. The MOP program office will continue to perform market research and investigate any possible competition opportunities. Moreover, the Government will continue to examine the opportunities to procure data packages from the OEM for technologies developed in the future, and to challenge non-conforming or unjustified markings on data the Government currently receives. The Government is leveraging competition to the maximum extent practicable for the overall MOP program. A source qualification effort was completed to increase the industrial base and introduce a lower-cost suitable warhead material. Through that effort, an additional vendor was qualified to manufacture the warhead. The warhead production was competed through contract numbers FA8681-19-D-0020 and FA8681-19- D-0021. These vendors competed to build the warheads that were used in test for this smart fuze effort and the recent production buy. This same competitive strategy will be utilized to purchase the future, warhead production assets.
The MOP program production is concluding after these procurement efforts conclude. The expected follow-on with a similar MOP-like capability is the Next Generation Penetrator (NGP) weapon. To foster innovation and secure superior technology for the NGP the Government is committed to a full and open competition strategy. This includes acquiring comprehensive TDPs with rights sufficient to ensure genuine, future competitive opportunities. Specifically, the Government seeks TDPs that clearly document and allow for the independent development, modification, and improvement of all hardware, software algorithms, and logical interfaces related to NGP and subsequent MOP weapon systems. This approach will empower a diverse supplier base to compete on innovation, performance, and cost, driving technological advancements and ensuring the best possible capabilities for our warfighters.
