FAR Part 16 Exception to Fair Opportunity Justification Under Multiple Award Indefinite Delivery Contracts
For Actions Exceeding the Simplified Acquisition Threshold (SAT)
1. Contracting Activity: The Army, Army Contracting Command-New Jersey, is the agency responsible for the acquisition pursuing exception to fair opportunity as described below.
2. Description of Action: Project Manager Aircraft Survivability Equipment (PM-ASE) requests a new single source, Cost Plus Fixed Fee (CPFF), task order with Wyle Laboratories, Inc. ryvyle), 7800 HWY 20 W , Huntsville, AL 35806-2049. The Government intends to award a single source Task Order off an existing Multiple Award Indefinite Delivery Indefinite Quantity (IDIQ), FA8075-14-D-0025-2T02. The Government projects award for 20 June 2016 uti lizing fiscal year 2016, Research Development Test & Evaluation (RDT&E), Army Procurement Appropriation (APA), and Foreign Military Sales (FMS) funds.

3. Descript ion of Supplies/Services: This proposed contract action is to establish a single source task order with Wyle, under contract FA8075-14-D-0025, with a period of performance from 20 June 2016 through 31 October 2016, with a total estimated value of including APA, RDT&E, and FMS funds. The scope of th is new single source Task Order under the Multiple Award IDIQ, is to provide continued support for PM ASE and Intell igence, Electronic Warfare, and Sensors - Development (IEW&S-D). This effort allows execution of mission-critical services required to provide central ized management for all Army aircraft survivability equipment programs that protect aircraft from threat anti-aircraft systems. The portfolio of programs spans the full spectrum of the acquisition process from systems development to production, fielding, sustainment and eventual retirement from the force. PM ASE and IEW&S-D apply a system-of-systems acquisition approach to meet warfighters' current needs and obtain the desired future capabilities of the Army. PM ASE's mission is to protect and assure survival of Soldiers who operate and maintain rotary-wing and small fixed wing aircraft across the Army.
The Government requ ires th is requ irement to effectively address operations and safety mission requirements. Specific services for continued support under this requirement include: production and field ing, testing, modeling and simulation, readiness sustainment, Train ing Aids Devices Simulations and Simulators (TADSS) development, mission equipment packages, and Foreign Military Sales (FMS) applications. Scientific and Technical Information (STI) generated through th is contract will provide the basis for decisions affecting all PM ASE and IEW&S-D decisions to maintain its systems and to support the next generation of aircraft protection systems.
Period of Performance: 20 June 2016 to 31 October 2016.

4. Authority Cited: In accordance with 10 U.S.C. 2304c (b) (1) as implemented by FAR 16.505(b) (2) (i) (A), the agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
5. Reason for Authority Cited: The Army Contracting Command - New Jersey has been provided with Delegation of Procurement Authority (DPA) from the Air Force Installation Contracting Agency (AFICA/KD) to Compete, Award, and Administer Task/Del ivery Orders under the DTIC's MACs in support of the IAC's TAT Program. The purpose of the DPA is to authorize decentralized ordering to ACC-NJ under the Multiple Award, Indefinite Quantity, Indefinite Delivery Contracts, including Homeland Defense and Security (HD) TATs, and Defense Systems (OS) TATs.

The existing task order, HC1047-05-D-4005-0301, was awarded on 27 November 2013 to Wyle in the amount of with a period of performance of 31 months from date of contract award. The contemplated Task Order to be awarded, as a result of this justif ication , will be awarded under the Multiple Award IDIQs, as a single source task order under Wyle Base Contract. Contract, HC1047-05-D-4005, was established to facilitate the use of scientific and technical information relating to Reliabi lity, Maintainability, Quality, Supportability, and Interoperability (R/M/Q/S/I) in designing, developing, testing, evaluating, operating, and maintaining military systems. The industrial and research base, which supports such systems, maintains and develops methods for collecting and analyzing R/M/Q/S/I information so that R/M/Q/S/I information can be transferred within the U.S. Government and onto authorized customers. In order to facilitate the use of STI, the contractor shall perform studies and analyses; collect, synthesize, and disseminate STI; develop and maintain inventories of relevant information in easily searchable and accessible repositories , and provide scientific and technical advice to Government, industry, academia, and other approved domestic users.
The Government has a critical need for these services currently being provided by Wyle under an expiring task order under contract HC1047-05-D-4005 TAT 301. This critical need requires uninterrupted services to continue coverage and support of the central ized management for all Army aircraft survivability egui ment J:>rograms that protect aircraft from threat ant i-aircraft systems.
Due to the need for continuity of operations, there would be significant risks to PM ASE's program schedules if there were a break in service. The risks if the Government was unable to acquire these services from Wyle include:
a. PM ASE and IEW&S-D's inability to control, interpret, and monitor the current and accurate status of the Army aircraft systems would impact survivability of aviation platforms and associated aircrews.

b . Significant system degradation, ineffective countermeasures solutions, and aircraft threats will go undetected, which would result in level of heightened security and causing high risk to successfully achieve PM ASE's mission to protect and assure survival of Soldiers who operate and maintain rotary-wing and

The incumbent is able to provide the necessary program expertise that is required for data accuracy. In summary, th is requirement is fundamental to the success of the PM ASE mission. A Performance Work Statement (PWS) has been prepared to cover services that are mission-critical for the 4.5 months Period of Performance identified. The time that is required to allow another contractor to put in place the appropriate skilled and cleared resources would cause a break in service that would negatively impact PM ASE's ability to adhere to program schedules.
A break in services can be expected if the Government pursues a competitive effort for these services to meet PM ASE mission, which account for anticipated time it would take to get effort under contract through the acquisition process.
Additionally, competing and awarding these services to another vendor for such a short period of time would require multiple transitions and mobilizations during the 4.5 month time frame (from Wyle to the new contractor that receives the competitive award .) These multiple transitions will incur additional, unnecessary costs for the Government and risk unacceptable delays and interruptions in service . The successful performance of the PM ASE mission relies heavily upon having readily available resources with the familiarity of the effort currently being performed.
There was significant amount of uncertainty regard ing regarding the procurement of follow-on services. Based on responses from contracting offices with in the Army Contracting Command, the average time to award a new contract vehicle at the estimated dollar value is - . These
- includes all associated tasks involved within the acquisition process from contract requirement package (CRP) acceptance through contract award. As a resu lt, PMO ASE would experience a minimum of- interruption of services, with a dedicated acquisition team, based on a CRP submittal date of . A follow-on effort has an estimated cost of - for a f ive-year period of performance. Pre solicitation requirements, to include solicitation review boards and associated acquisition procedures, would take . Due to the size and scope of the requirement, a - solicitation period would most likely be utilized to ensure offerers have enough time to interpret and propose against the requirement. After receipt of proposals, and going into discussions, an additional could be anticipated to include initial evaluations, additional source selection procedures and the Source Selection Authority making the appropriate decision for contract award . An additional-would be required to allow another contractor to staff and transition the appropriate skilled and cleared personnel to support PMO ASE, resulting in further

Competing and awarding these services to another contractor for such a short period of time would requ ire multiple transitions and mobilizations including unacceptable delays and cost impact to the Government. Wyle is capable of providing a workforce that is already performing capability that is already in place that no other MAC holder could immediately transition without an initial ramp up time. This ensures continued performance without any delay due to their knowledge and understanding of PM ASE and IEWS-D's operations and infrastructure. Therefore, it is logical to award th is bridge effort on a sole-source basis to Wyle. The successful performance of the PMO ASE mission relies heavily upon a contractor being immediately available and fully qualified to support ASE and IEW&S-D related systems and platforms.
Wyle provides an existing workforce already in place and can ensure continued performance without any delay due to their existing program knowledge and understanding of PM ASE and IEWS-D's operations and infrastructure;
therefore, it is logical to award the bridge contract on a sole-source basis to Wyle.
6. Actions to Increase Competition: PM ASE is currently developing a contracts requirements package (CRP) for a full and open competitive follow on acquisition .
Util izing best value source selection procedures, the Government will competitively award a single award IDIQ contract vehicle to procure the requ ired services to ful fi ll the PM ASE mission. Formal Market Research has been ongoing since December 2015 in order to identify available capabil ities within industry. Additionally, the Government may util ize other existing contract vehicles to satisfy agency needs for these continued services. No future barriers to competition are anticipated.
7. Market Research: In accordance with FAR Part 10, PM ASE's logistics ch ief, contract specialist has conducted market research for th is acquisition, and software engineers contacted. It was performed between December 2015 and April 2016 . Th is market research indicated that no other sources could meet the Government's urgent requirement. Knowledgeable individuals in Government and industry were contacted regard ing market capabilities to meet PM ASE/ PEO IEW&S-D requ irements. Results of recent market research undertaken to meet similar requ irements. Additionally PM ASE technical experts and representatives contacted contracting officers, contract specialists, and project offices in other Federal agencies and private industry. None of the above market research revealed any other firms that could provide the required services by the date needed . PM ASE considered whether another contracting office could award this effort by June 2016 and only ACC-NJ had the resources to execute. There is insufficient time to conduct a competitive acquisition for this bridge requ irement.

The Director for Defense Procurement and Acquisition (OPAP) encourages requiring offices to use DoD IACS as best value vehicles to acquire services that fall with in the appl icable scope areas such as this OS TAT supporting Survivability/Vulnerabil ity. The OPAP guidance supports PM ASE's decision for continued use of OS TATs as a preferred resource to affordably deliver technical data and analysis in support of mission essential operations to be executed through this bridge effort.
