About this file

This is a Justification Review Document for a sole-source contract awarded to General Dynamics Mission Systems (GDMS) LLC for Tactical Network Transport (TNT) – On The Move (OTM) Sustainment Support Services. The contract, valued at $49,883,944.71, will provide comprehensive support for 11 Configuration Items (CIs) in the TNT OTM communication system, including depot maintenance, obsolescence management, engineering change proposals, and repair services for the Communications-Electronics Command (CECOM) Integrated Logistics Support Center (ILSC).

The justification for sole-source procurement is based on GDMS's exclusive ownership of critical technical data, proprietary test beds, and in-depth knowledge of the system's complex interoperability requirements. Market research conducted through a Request for Information (RFI) revealed that no other vendors possess the necessary technical data rights or comprehensive understanding of the system. The contract will have a five-year performance period from 12 July 2025 to 11 July 2030, utilizing a mix of pricing approaches including Cost-Plus-Fixed-Fee, Firm-Fixed-Price, and Cost-No-Fee methods, with funding sourced through Operations and Maintenance Army and Army Working Capital Funds.

3. Description of Services: This contract will provide Sustainment Support Services in support of Communication-Electronics Command (CECOM), Integrated Logistics Support Center (ILSC) Command, Control Communications Network (C3N) with life cycle management support for 11 Configuration Items (CIs) in the TNT OTM system and associated equipment. The Government projects an award of this contract for TNT OTM sustainment support services on 11 July 2025 with an estimated ceiling of $49,883,944.71. The period of performance (PoP) will be a base period of five (5) years. As a single award IDIQ contract, this effort will utilize a mix of pricing approaches, including Cost-Plus-Fixed-Fee (CPFF) – employing either term-based (e.g., Program Management, Obsolescence Management, etc.) or completion-based (e.g., Repairs, etc.) fee payments, the selection of which will be determined at the order level – Firm-Fixed- Price (FFP), and Cost-No-Fee methods. Funding will be sourced through Operations and Maintenance Army (OMA) and Army Working Capital Funds (AWCF).

TNT OTM is a terrestrial-based communications network that provides soldiers with a secure route of voice and data correspondence while on-the-move. The sustainment support services will include Technical and Engineering Support for obsolescence management and mitigation, Technical Field Service Representatives (FSR) for both Continental United States (CONUS) and Outside Continental United States (OCONUS), Depot Maintenance/Deep Clean for the major end items, Repair of Line Replaceable Units (LRUs), Program Management and other support services and data products related to life cycle deliverables to ensure the ongoing sustainability of 11 TNT OTM CIs. TNT OTM is a system of systems that interoperates in multiple configurations to provide On the Move (OTM) satellite and tactical communications for the Warfighter. The Configuration Items (CIs) that will be sustained by this contract are composed of hundreds of LRUs. These major items and LRUs compose a complex, interdependent communication network. The CIs included in this contract have been in the field since 2012 and there have been multiple manufacturing lots, repairs, and Engineering Change Proposal (ECPs). There have also been obsolescence management and unit-specific configurations which have differentiated each fielded system.

Authority Cited: Title 10 United States Code (U.S.C.) 3204(a)(1) as implemented by Federal Acquisition Regulation (FAR) Part 6.302-1 (a)(2)(iii(B), For DoD, NASA, and the Coast Guard, services may be deemed to be available only from the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in- (A)Substantial duplication of cost to the Government that is not expected to be recovered through competition (See 10 U.S.C. 3204(b)(B)).

5. Reason for Authority Cited: The specific services required under this contract require access to technical data, and technical expertise that the Government does not possess. As technology advances and systems become obsolete, various production lots have been manufactured, each incorporating different LRUs. Over time, obsolescence and repairs have led to further variations, with some LRUs that have been replaced with compatible parts, via an approved https://usg01.safelinks.protection.office365.us/?url=https%3A%2F%2Fuscode.house.gov%2Fview.xhtml%3Freq%3Dgranuleid%3AUSC-prelim-title10-section3204%26num%3D0%26edition%3Dprelim&data=05%7C02%7Cmelody.s.thomas.civ%40army.mil%7C1e7cc5546e4b4aaac47c08dd616449f3%7Cfae6d70f954b481192b60530d6f84c43%7C0%7C0%7C638773805537621614%7CUnknown%7CTWFpbGZsb3d8eyJFbXB0eU1hcGkiOnRydWUsIlYiOiIwLjAuMDAwMCIsIlAiOiJXaW4zMiIsIkFOIjoiTWFpbCIsIldUIjoyfQ%3D%3D%7C0%7C%7C%7C&sdata=8JbT%2FletCPiiV8Zj3fL59zG%2FVUnh50%2F%2Fy1V6ddnKtUU%3D&reserved=0

ECP. In order to perform these services, the Contractor must have the ability to understand appropriate replacements for parts in the major items, and know the complex relationships between parts inside the major item, the various production lots, and possible replacement or repair parts that may exist in any given system. Additionally, the Contractor must possess the detailed knowledge of how the alteration to the major item will affect how it interoperates with other major items.

GDMS is the only contractor equipped to provide the requisite services under this contract, including depot maintenance, obsolescence management, ECPs, and repair equipment. All these processes require testing to ensure the equipment operates properly with replacement parts after being cleaned or repaired. Due to the level of complex interoperability necessary for this system to function, test procedures often must include testing not just for the major item serviced, but also the other major items in the system that interact with it. To perform these services, the Contractor must be capable of providing access to both complete testing procedures and acceptance criteria, along with a suite of equipment necessary to perform tests for replacement parts and upgrades. GDMS remains the only source capable of validating replacements, conducting system-level testing, and maintaining operational effectiveness.

Additionally, GDMS owns proprietary test beds, detailed technical data, and possesses in-depth knowledge of multiple production lots, which are resources essential for obsolescence, and sustaining mission-critical communication networks.

The Government considered several alternatives to a Sole Source award, as described below:

Suspending operations for the TNT OTM program is not feasible due to its required operational lifespan through FY46. However, continued operation and the associated cost of acquiring data rights are not demonstrably beneficial to the government, and the program timeline will be re-evaluated with cost-effectiveness as a primary consideration. The TNT OTM program is the Army’s only satellite Communication and Line of Sight (LOS) network. These systems will require continuous sustainment services to remain mission capable until they are no longer in the field. The CIs have gone through the transition to sustainment and is ILSC C3N’s responsibility. Per AMC, ILSC is to achieve and maintain a stock availability metric of 100% and a readiness metric of 90%. By suspending operations, these metrics will be impossible to achieve or maintain and would cripple the Army’s communication network. A transition to a new vendor would result in extended sustainment gaps due to the time required for data acquisition, testing infrastructure development, and knowledge transfer. These gaps would cause a decline in stock availability and operational readiness, which would lead to increased costs in emergency procurements, system failures, and potential mission degradation.

Reverse engineering the necessary technical data has been evaluated as an alternative, however, market research indicates that this process would take an additional 18 months and involve substantial engineering, testing, and validation costs. Additionally, vendors have indicated that the costs associated with reverse engineering the necessary data would be significant, and there is no guarantee that a fully functional, tested, and validated solution could be developed without introducing risk to the system. Further, either a quality reduction or a gap in the sustainment of the program would occur during the time that a reverse engineering vendor is engaging in research, experimentation, and trial and error to try and reproduce this technical data. This process will produce a reduction in the quality of sustainment services as the time spent reverse engineering technical data will negatively affect the Repair Turn Around Times (RTATs) required by the Government to maintain unit readiness.

Only GDMS owns the technical data rights necessary to meet the Government’s requirements.

The Government initially inquired about purchasing the Technical Data Package (TDP) on 13 April 2021, and again on 16 January 2025. GDMS provided an estimate of for the TDP, and GDMS estimated that the cost to review the existing technical data set and subsequently generate ROM pricing for the sale of a Level III TDP would roughly be .

GDMS also indicated it would take approximately 120 days to prepare a complete proposal.

contract is approximately , spending just for the data rights necessary to complete this effort is not going to be recovered through competition. There is also every indication that the actual cost would be much higher, based on historical contract data, for the TDP and Government Purpose Rights to the TNT OTM system to PdM Mission Network (referenced in their 2018 J&A), was for performing the five (5) year, follow on contract is approximately spending an additional just for the data rights needed to compete would not be recoverable through competitive pricing.

The TNT OTM 2018 Justification and Approval also stated that the actions to obtain data rights were not accomplished due to estimated program costs to the Government for obtaining data rights for associated efforts, and for additional system testing. These estimated costs were derived from historical low level data rights previously purchased for Technical Manuals (TMs), provisioning and cataloging. Estimated testing costs were derived from contract, W15P7T-10-D-C007. The combined costs of the TDP purchase and Government Purpose Rights, additional system testing, and the technical data review & ROM pricing for a Level III TDP sale – totaling respectively – result in approximately in duplicated costs that are not expected to be recovered through competition.

The estimated cost for obtaining data rights, and system testing, represents non-recoupable upfront costs. These costs would be incurred to create competition, but given the significant financial investment required to obtain the data rights competing this requirement would not result in cost savings and would instead introduce substantial risk, with delays likely causing system degradation and mission disruption. The inability to recover these costs, combined with the unacceptable delays in sustaining the program, justifies the sole-source acquisition. The delays are driven by the complex, specialized nature of data rights, testing infrastructure, and technical knowledge needed for effective sustainment.

Depot maintenance would not be available to keep systems operational and in safe working order. In addition, during this time that sustainment support operations are suspended, due to the commercially modified electronic components within the TNT OTM program, rapid obsolescence would be constant, and unmanaged. LRUs that become obsolete would be impossible to repair. Because sustainment support operations, including obsolescence management, would be suspended, suitable replacements for these obsolete LRUs would not be identified during this time and there would be no way to replace unserviceable LRUs, causing a drastic decrease in operational readiness and stock availability.

The Government owns the technical data for Engineering Data for Provisioning (EDFP) and TMs. The Government owns approximately 1,300 of the total 10,000+ TNT OTM drawings.

However, this technical data is insufficient to enable competition and potential contract candidates as technical documentation is required to support all requested services for the requirements outlined in the Performance Work Statement (PWS), and GDMS is the owner of the technical documentation.

To accurately assess, repair, and maintain this equipment, a vendor would need to understand not only the current state of all the equipment, but also how these changes affect the interoperability of the systems and future maintenance. GDMS is the only sustainer of these 11 CIs in the TNT OTM system. Only GDMS has access to this current and historical highly specialized knowledge of the interoperability and entanglement of the multiple CIs. One change can start a ripple effect across multiple CIs that would require each to be addressed. GDMS is the only vendor that has the interconnect diagrams and drawings, as well as various production lots to test out the replacement of items, and the expertise to test and use this knowledge.

Additionally, GDMS exclusively owns key technical data and documents including Computer Aided Design (CAD) models, drawings, cabling diagrams, signal interconnect design documents, and provisioning items and lists associated with the OTM system as well as numerous engineering documents, which are needed to validate system-level functions against Key Performance Parameters (KPPs). Thus, GDMS is the only vendor with access to the technical data required to include test procedures/results, ability to test modified commercially off the shelf Line Replaceable Components to ensure software and hardware interoperability and knowledge of the various CIs and lot variations currently fielded.

6. Efforts to Obtain Competition: A Request for Information (RFI) was posted on SAM.gov to identify any other vendors capable of performing these sustainment services. A detailed breakdown of the responses to the RFI can be found in the Market Research section below.

From the vendors that responded, none possessed the necessary data rights, and GDMS indicated they are not interested in selling the data rights to another vendor, as stated via email in the section below. As previously explained above, efforts to obtain competition are not feasible because only GDMS has the expertise to provide these technical services and holds exclusive ownership of the technical data package required for performance. A synopsis was not conducted under the exception provided in FAR 5.202(a)(11).

a. Effective competition. Obtaining effective competition will not be feasible. While other vendors may be able to develop the capability to perform these services given years of lead time, there are other factors that preclude competition. Competition is also not feasible for this effort due to the complexity of the TNT OTM system of systems design and interoperability requirements. LRUs within the TNT OTM system require interoperability testing against each CI baseline, and the Government does not own a complete suite of CIs nor test beds to provide to a contractor to complete this service. Technical data that is not available to the Government (historical testing documentation, drawings, build to print, etc.)

is essential to manage obsolescence, LRU repairs/replacements and overall maintenance of the 11 TNT OTM CIs.

b. Subcontracting competition. The contractor will be required to submit a Subcontracting Plan as part of its proposal submission. The Government will ensure the prime contractor obtains as much subcontracting competition as possible through the inclusion of the following clauses in the contract: FAR 52.244-5, Competition in Subcontracting, FAR 52.219-8, Utilization of Small Business Concerns, FAR 52.219-9, Small Business Subcontracting Plan and Defense Federal Acquisition Regulation Supplement (DFARS) 252.219-7003, Small Business Subcontracting Plan (DoD contracts) Basic. These clauses ensure that GDMS considers small business concerns and participation in the performance of the proposed contract.

7. Actions to Increase Competition: For competition to be possible, data rights would need to be acquired from GDMS. On January 16,2025, the Government contacted GDMS via email with the following inquiries:

1. Would GDMS provide the Technical Data Package for this effort to the Government? If not, would GDMS sell the Technical Data Package for this effort to the Government?

2. Does GDMS have any intentions of selling the Technical Data Package for this effort to another vendor?

On Friday, January 17, 2025, GDMS provided the following response:

“1. As noted in the “Understanding of the Volume of Technical Data” section of the GDMS RFI response, the technical data set that is required to support to the TNT OTM system does not exist in a consolidated deliverable form that is available to the Government or third parties. The technical data set is comprised of thousands of CAD models, drawings, parts and equipment lists, cabling diagrams, interconnect design documents, assembly and test procedures, software programs/applications and various engineering analyses (e.g. mechanical/structural, thermal, power, EMI) needed to validate system-level functions. The effort to convert such data to a MIL- STD-31000 Level III compliant re-procurement package suitable for Government use would be quite significant in terms of resource allocation, cost and schedule and, as such, may be both cost prohibitive and unachievable in a reasonable time frame. Moreover, GDMS resources available to conduct such an effort are now much more significantly constrained than they were during the active production program years ago.

In response to similar questions received from the Government in April 2021 and again in July 2024, GDMS estimated that the cost to review the existing technical data set and subsequently generate ROM pricing for the sale of a Level III TDP would roughly be and take approximately 120 days to complete. This remains the situation today should the Government seek to explore procuring WIN-T Increment 2 technical data.

2. As noted in our responses to questions 5 through 8, GDMS has no relationship with or intention to collaborate with any third party to provide any data rights for WIN-T Increment 2 technical data.”

The Government subsequently requested a more detailed estimate for the ROM on the same day, January 17, 2025. On January 25, 2025, GDMS responded with the following clarification:

“GDMS does not currently have a fact-based and vetted cost estimate for the effort to develop and deliver a Level III Technical Data Package (TDP) for the WIN-T Increment 2 production baseline. However, in April 2021, GDMS provided a non-binding Rough Order of Magnitude (ROM) estimate in response to essentially the same question posed by ACC in connection with the market survey supporting the original Inc 2 Sustainment acquisition. The ROM comprised the following:

• Proposal Development : Effort to generate a firm offer to convert the existing Increment 2 technical data set to a Level III TDP. The estimate assumes GDMS receives a detailed RFP specifying the TDP content.

• TDP Conversion : Effort to generate a Level III TDP using the existing Increment 2 baseline technical documentation. The estimate does not include consideration to provide TDP content for third party commercial products beyond a basic vendor item drawing. GDMS has assumed Government Purpose Rights would apply to the GDMS design content, while commercial rights would apply to third party content. The estimate also assumes that GDMS is not required to research and resolve any component and/or product obsolescence issues.

• Lost Opportunity Estimated impact to GDMS’s long-term business resulting from lost opportunities related to the TDP content.

Whereas the thought process behind the April 2021 ROM has not materially changed, the estimates outlined above would continue to be relevant for use as a “ballpark” amount to acquire an Increment 2 Level III TDP. I’ve attached the April 2021 ROM for quick reference.

Based on GDMS’s response, the estimated cost for the Technical Data Package is approximately Considering the scope of the current effort, purchasing the TDP at this time may not provide a significant benefit to the Government, as the cost would be greater than the total value of the effort. The Government has determined that pursuing technical data rights are simply too costly and time prohibitive at this time. Therefore, CECOM ILSC has not identified any courses of action to increase competition for this portion of the sustainment effort.

The Government will also continue to assess the feasibility of acquiring the complete technical data package required to compete future efforts in support of this requirement. Additionally, the Government will continue to publish sources sought announcements, RFIs, attend trade shows, and conduct technical interchanges with vendors.

8. Market Research: Market Research was conducted in accordance with FAR Part 10. The Command, Control, Communications, Cyber, Computers, Intelligence, Surveillance and Reconnaissance (C5ISR) Product Realization Systems Engineering and Quality Directorate (PRD) Engineer for ILSC C3N, conducted market research by posting a Request for Information (RFI) on 15 November 2024 as discussed below in the market research section. The RFI was posted on www.SAM.gov, with a closing date on 02 December 2024. In addition to LRU repairs, services requested under the RFI, include obsolescence reporting, identification, mitigation, field service representatives, logistics documentation and depot maintenance of the OTM weapon systems, to determine what sources could provide these sustainment efforts. Four (4) vendors responded to the TNT OTM RFI. The Government’s technical experts have determined from responses received, as detailed below, from the market research, that only large business vendors with previous experience on the TNT-OTM (formerly Warfighter Information Network – Tactical Increment 2 (WIN-T Increment 2) program would be viable to be awarded this contract.

Vendors that responded to the RFI were Delta Defense Services, DCS Corp, Booz Allen Hamiliton, and General Dynamics Mission Systems (GDMS). The requirements of this contract still pose a challenge to any vendor that does not have the TDP or historical technical documentation on the TNT OTM program, and the results of the analysis are described below.

MAG Aerospace did not provide a full response to this RFI. MAG Aerospace stated in an email to the Government that the company is interested, but at this point in time they would like to elicit the customer’s feedback regarding their ideas on how to support the program.

Delta Defense is a small business that has previous experience with supporting Department of Defense (DoD) programs, but they have not directly supported the TNT-OTM program. Delta Defense stated that they do not currently own the technical data rights for the TNT-OTM CIs.

http://www.sam.gov/

Their sustainment support strategy includes engaging with OEMs and the incumbent contractor to explore options for purchasing or licensing technical data. In the case where the technical data cannot be acquired, the vendor plans to utilize reverse engineering as a key component of their strategy to accurately recreate the necessary tech data required for sustaining the TNT- OTM CIs.

Booz Allen does not possess the technical data, or the data rights for the TNT-OTM CIs although they are confident that they will be able to obtain the data rights. However, GDMS has stated that they will not sell the data rights. They state that they have strong relationships with 16 of the 27 listed CAGE code OEM manufacturers from the LRU list provided with the RFI and that they can easily add the final 11 OEMs relatively quickly to meet program needs. They plan to use the following four strategies to obtain technical data which includes building teaming arrangements, purchasing data right, working with OEMs to create technical data and reverse engineering.

DCS Corporation is a large business that has provided relevant services to the Army and Government in the past. DCS does not own the technical data rights for the TNT-OTM CIs and suggests several courses of action (COAs) for their sustainment support strategy. If this data mining is unsuccessful, DCS will collaborate with the OEM/incumbent contractor to purchase the technical data and conduct reverse engineering in parallel.

GDMS was the only respondent to state that they have the technical data package needed to perform the requirements of this effort and have the manpower with adequate training to be able to execute the requirements of the contract without a delay in support. The need for this level of technical data to perform these services is corroborated in the responses from other vendors during the market research performed for this requirement. All offerors that responded, except for GDMS, provided responses needing additional outside subject matter experts to conduct this work to address knowledge and technical gaps. GDMS stated they have the personnel with the required knowledge, direct access to relevant technical data and relationships with equipment manufacturers already in place to repair, test and re-integrate system LRUs. They also have ready access to comprehensive design data and qualified processes, maintaining intimate knowledge of critical program dependencies that may require reach back to design and manufacturing engineering. GDMS will use their existing GUARDIAN system to track all repair activity, including required RTATs for each LRU.
