About this file

This is a Justification and Approval (J&A) for other than full and open competition for architect-engineer services. The U.S. Army Corps of Engineers Norfolk District proposes to award a firm fixed price, sole source contract to Woolpert-RS&H, LLC (CAGE 7JG89; UEI: DFLLQPCKM8F7) for updating 100% design plans and specifications for roof repair on Building 31 at Defense Supply Center Richmond, Virginia. The contract is a new standalone "C" contract with an approximate period of performance of 24 months, including optional support during solicitation and construction phases. Woolpert will not perform work for any other project or program under this contract action. The contracting agency is the U.S. Army Corps of Engineers Contracting Office, Norfolk District, located at 803 Front Street, Norfolk, Virginia 23510.

The justification for sole source procurement is based on Woolpert being the Designer of Record (DOR) for the original design completed in April 2019, which is now out of date and requires updating to comply with current building codes. Key reasons cited include: Woolpert's extensive expertise and site knowledge; the professional engineer liability and responsibility Woolpert assumed for the original design; significant risk and duplication of costs if another firm were selected; and potential schedule delays of five months or more if the requirement were openly competed. The Contracting Officer's estimated cost is not disclosed in the redacted document, though reference is made to an Independent Government Estimate and noting the selected amount matches the awarded value of the related Building 32 roof repair A-E contract (W9123624C2015). A Notice of Intent was published on SAM.gov on November 5, 2025, with a response date of November 20, 2025, which resulted in no responses. The J&A has been approved by the Contracting Officer, Michael Hagerty, and certified as legally sufficient by the Office of Counsel.

JUSTIFICATION AND APPROVAL

FOR OTHER THAN FULL AND OPEN COMPETITION

FOR:

Architect-Engineer Services, Roof Repair on Building 31 (Update 100% Design Plans and Specifications)

Defense Supply Center Richmond, Virginia

Woolpert-RS&H, LLC

CONTRACTING DIVISION

U.S. Army Corps of Engineers Norfolk District

21 November 2025

JUSTIFICATION AND APPROVAL

FOR OTHER THAN FULL AND OPEN COMPETITION

1. CONTRACTING AGENCY:

The U.S. Army Corps of Engineers Contracting Office, Norfolk Contracting District, 803 Front Street, Norfolk, Virginia 23510.

2. DESCRIPTION OF ACTION:

In accordance with FAR 6.302-1, the Norfolk District U.S. Army Corps of Engineers proposes to award, on a sole source basis, a follow-on Firm Fixed Price Architect-Engineering (A-E) Contract to Woolpert RS&H, LLC (CAGE 7JG89; UEI: DFLLQPCKM8F7) in support of the project titled: DSCR Richmond Repair Roof on Building 31. Woolpert is the Designer of Record (DOR) for the original design of the Repair Roofs on Buildings 31 and 32 at Defense Supply Center Richmond (DSCR), Richmond, Virginia. The AE created separate design packages for Buildings 31 and 32. USACE contracted for A-E services to update the Building 32 design in FY 2024 and awarded the corresponding construction contract in FY 2025. The contract numbers are W9123624C2015 and W9123625C2010, respectively.

This action will be procured as a FAR Part 15 stand- to update the previously completed set of 100% plans and specs for Building 31 roof repair at DSCR Richmond. The original set of 100% design documents were completed in April 2019 but now are out of date and require update. The scope will also include related follow-on services supporting bidding and amendments during the solicitation phase and construction phase services. Woolpert will not perform work for any other project or program under this specific contract action.

3. DESCRIPTION OF SUPPLIES/SERVICES OR NATURE OF CONSTRUCTION:

Work will consist of revising and completing the Engineering and Design packages, with optional support to bidding and amendments during the solicitation phase, and construction phase support services. These services are necessary to provide the updates to the 100% plans and specifications for the Building 31 roof repair at DSCR. This action will be a sole source, firm fixed price, new stand-alone Architect-Engineer Contract, estimated in the amount of . While the Independent Government Estimate is , the Contracting Officer has selected this higher amount to allow for some negotiation of costs with the contractor. Additionally, this amount is the same as the awarded value of the A-E contract W9123624C2015 for the related DSCR Repair of Building 32 Roof A-E project, which contains similar scope. The period of performance, including options necessary to continue the A- E support during construction, is approximately 24 months. The work shall be completed in accordance with the Unified Design Criteria, USACE's design guide, and integration of the geographic conditions and site constraints.

4. AUTHORITY CITED:

10 USC 3204(a)(1), as implemented by FAR 6.302-1(a)(2)(iii), Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. REASON FOR AUTHORITY CITED:

(1) Background: Contract W9123617D0004, Task Order No. W9123618F0060 was awarded to

Woolpert RS&H, LLC on 12 July 2018 to develop the complete set of design-bid-build documents for the roof repair of DSCR Buildings 31 and 32. The original scope included:

Architect and Engineering Services to support the complete removal of the existing roof material and replacement with new material in kind. All damaged or deteriorated roofing components such as wood substrate, insulation, wood facia and trim boards shall be removed and replaced. Alterations to the building shall be made as needed. Existing roof mounted equipment and appurtenances shall be removed and replaced to facilitate roof replacement. Fire protection tie off points shall be installed. The upper windows shall be removed and replaced in kind. All access ladders and pipe railings shall be painted as part of this project. Access ladders shall be replaced in kind as needed. The design shall comply with all applicable construction standards and codes. Construction shall be in accordance with DLA Energy Policy. The AE shall identify any permits that may be required for this project. All roofing and insulation will be removed down to the wood deck. Permanent Tie off points are to be provided at the roof edge only. Field verification confirmed there are no windows in the specified bays and thus are excluded from the design and construction scope. Field verification confirmed there are no pipe railings in the specified bays and thus are excluded from the design and construction scope. Rooftop mounted mechanical and electrical equipment will be removed and reinstalled. Capacity or operability of the existing equipment will not be evaluated or addressed in this project.

Mechanical systems internal to the facility will not be addressed as part of this project.

The construction scope shall include cleaning out the existing downspouts. The AE shall submit two design packages for this project: one for Building 31, and one for Building 32.

(2) The AE submitted the RTA package on 8 April 2019. The project has since been on hold due to procurement delays and funding constraints. This contract will be for updating the 100% plans and specifications to be compliant with current building codes for Building 31. Ideally an existing contract vehicle should be used. Woolpert is on General A-E Multiple-Award Task Order Contract (MATOC), IDIQ contract W9123622D2004. However, because this project is expected to be under the $1,000,000.00 threshold, placing this work on this contract is not allowed per the contract term that states: A/E services for Military Construction or military family housing projects up to $1 million that meet the criteria for small business set-aside in accordance with Title 10 U.S. Code Section 2855 will be

(3) This action cannot be a modification of the existing task order W9123618F0060 because the

Period of Performance expired on 12 July 2019. The prior IDIQ contract W9123617D0004 also cannot be used because the ordering period for the contract expired on 17 October 2021.

(4) Justification: As the Designer of Record (DOR), Woolpert-RS&H developed the design for the

Building 31 and 32 roof repairs at DSCR Richmond. As such, Woolpert acquired extensive expertise, experience, and knowledge of the site. They are intimately familiar with the project requirements. They have the design package. As DOR, Woolpert assumed professional engineer/land surveyor responsibility and liability for their contract deliverables. In addition, Woolpert is highly familiar with the customer and has structured an excellent working relationship with all associated stakeholders. If another design firm were to take over this project, significant and intolerable risk would arise with respect to design quality and schedule risk. By allowing the original DOR to provide modification of the original design documents, seamless design support throughout the life of the project and to provide all necessary construction support, it permits the DOR to retain professional engineer/land surveyor responsibility and enable the Government to maintain a single point of accountability. Having served as DOR on the original design, Woolpert is uniquely qualified to provide the necessary services to maintain DOR responsibility and ensure that the required redesign, construction phase services and supplemental design efforts are sufficiently linked and logically related to the original design intent.

It is apparent that the utilization of Woolpert for the Building 31 roof repair at DSCR Richmond is critical to project success. Woolpert is the only responsible source that can provide the most efficient and effective approach that will allow the Government to obtain a comprehensive and complete design/survey package, suitable for construction in accordance with the current schedule requirements.

If this requirement were competed, there would be a substantial duplication of costs associated with this project, as well as unacceptable delays, which likely would not be recovered by the Government. The utilization of a different design firm to complete this project would require substantial procurement time, as well as time for the new designer to become familiar with the customer and project requirements.

Accordingly, Woolpert is the only responsible source to complete the project requirements in a way that will minimize cost and any impact to the schedule.

(5) Impact: If this Justification and Approval is not approved, there will be a substantial duplication of costs associated with this project. Furthermore, obtaining a new design firm will require a complete redesign under a new DOR which will require a significant amount of time added to the overall schedule of this project.

With respect to unacceptable delays, there are numerous items that would cause significant unacceptable delays, of 5 months or more, if an openly competed new consultant were selected to complete the update to the 100% plans and specifications to Building 31 roof repair for DSCR.

This delay would eliminate the ability to complete the construction of this project within the timeline required. Norfolk District estimates the delays associated with openly competing a new requirement for this project would be as follows:

i. In accordance with EP 715-1-7, the optimal timeline for soliciting and awarding a new consultant contract is 145 days, or 5 months. This estimate is from the date of the announcement in SAM.gov. Additional time would be required before the issuance of the announcement to assess the requirement, determine an acquisition approach and prepare the announcement.

ii. Based on past experience it would be highly improbable that any new consultant brought on board would be willing to accept the liability of redesigning a portion of without extensive examination of the site, project requirements and original design documents. In the event that the Government awards this project to a new consultant, it would require a revalidation of the current design by the new consultant that would take months to complete, while also adding an unnecessary duplication of costs to this project.

It is difficult to see how the Government could expect to recover the estimated time and cost lost through competition. Each of the items identified above have a direct impact to the project schedule. Therefore, it is recommended that the updates to 100% plans and specifications to Building 31 roof repair at DSCR Richmond, VA, be continued by the DOR, Woolpert. If this Justification and Approval is not approved, this project will suffer from unacceptable delays and added costs due to the previously stated items.

Approval of the Justification and Approval for a sole source, new stand- would allow the government to avoid an unacceptable increase in cost and delay to the project schedule, as predicted above. This would enable USACE to meet DSCR requirements and to complete this project to the satisfaction of all parties involved.

6. EFFORTS TO OBTAIN COMPETITION:

As stated in paragraph 5 above, Woolpert is the only responsible source for the design upgrades and follow-on work that can provide the most efficient and effective approach which will allow the Government to obtain a comprehensive and complete design package and be suitable for construction. A full and open competition would result in a substantial duplication of costs to the Government, and it would not be expected that the costs incurred would be recovered through such competition. Just as significantly, a full and open competition for this action would introduce unacceptable delays to the project schedule and jeopardize DOR responsibility.

7. ACTIONS TO INCREASE COMPETITION:

This action will be procured to provide code updates to 100% plans and specifications to the Building 31 roof repair at DSCR, Richmond, plus optional services as stated above. Woolpert will not perform work for any other project or program under this specific contract action. While this requirement will not be competed, this will not affect competition for any other projects.

8. MARKET RESEARCH:

As a matter of market research, the contract specialist researched existing contract vehicles and published a Notice of Intent on SAM.gov on 5 November 2025. See Sections 5 and 9. Due to the developed the prior design package. Accordingly, the Contracting Officer has determined that the most appropriate approach to source the work is via FAR 6.302-1 (Only one responsible source).

A multi-discipline A-E MATOC, Contracts W9123622D2003 22D2008, already exists that otherwise could be used to procure this requirement either competitively or on a sole source basis. Woolpert- RS&H LLC is one of the awardees holding Contract W9123622D2004. However, per Title 10 US Code Section 2855, the contract contains a term stating a $1,000,000.00 minimum threshold for A-E services for Military Construction or Military Family Housing. Due to the estimated value of this requirement, the existing IDC may not be used. Therefore, no opportunity to perform a FAR Subpart 36.6 qualifications-based selection is present.

This same federal law 10 USC Section 2855 requires that requirements under $1 million shall be set aside for small businesses;

interest to procure as small business set aside.

9. INTERESTED SOURCES:

This Justification and Approval for other than full and open competition will be made publicly available on the SAM website (https://sam.gov/). Sensitive information will be redacted prior to publication.

As mentioned in Section 8, as required by FAR 5.203(a), a notice of intent to award a sole source contract was published on the SAM website on 5 November 2025 with a response date of 20 November 2025. No responses were received.

10. OTHER FACTS:

The need for this Justification and Approval is based on the to provide A-E services for updates to 100% plans and specifications on Building 31 roof repairs. Woolpert has the background knowledge, necessary experience, and capability to provide such services. The Contracting Officer has determined Woolpert to be the only responsible source. It is recommended to retain the services of Woolpert-RS&H, LLC.
