2. NATURE/DESCRIPTION OF ACTION(S):

(a) The nature of this action is to issue a modification to the AT&T Mobility, LLC (AT&T) Blanket Purchase Agreement (BPA) HC101317A001, and to ensure continuous operations for the DMCC Gateway enterprise offering for classified services and mobile devices. Services include domestic, international and priority service data plans, and mobile devices to include the Samsung Galaxy Tab S7 customer read only memory (CROM) handsets (Tab S7 CROM), Samsung Galaxy S3 CROM tablets (Tab S3 CROM) and hotspots.

Present day, the DISA Mobility PMO has been actively transitioning users from the legacy BPA, HC101317A0001, to the follow-on BPA, HC108421A0001. Due to the large number of users, it is imperative that the legacy BPA be extended to provide the necessary DMCC services for the users until they can be transitioned.

To prevent an interruption of service to all DMCC users, the current service provider must remain the same. These circumstances listed above have influenced the need for the sole source modification to AT&T to continue services while the users are transitioned to the follow-on BPA.

(c) Justification:

(1) Minimum Government requirements. Retransmission device (RDs) (e.g. hotspots) approved by DISA Authorizing Official (AO) that meets National Security Agency (NSA) Commercial Solutions for Classified (CSfC) requirement and is compatible with the DMCC end user devices (EUDs) (Tab S3 CROM and S7 CROM).

(2) Proposed sole source contractor. AT&T is the only contractor capable to continue supporting the DMCC offering with AO approved hotspots and associated data plans that are paired with the DMCC EUDs, while the Mobility PMO transitions DMCC users to the next generation devices and RDs. Only AO approved RDs/hotspots that meet NSA CSfC requirements can be used with DMCC EUDs.

(3) Discussion regarding cause of the limited source situation. In 2017, AT&T won the original BPA, which was competed full and open on GSA Information Technology (IT) Schedule 70, Special Identification Number (SIN) 132-53 – Wireless Services.

As a result, DMCC EUDs were provisioned with AT&T’s AO approved hotspots.

The current DMCC EUDs are at end of life (EOL) and are required to be replaced with the next generation DMCC EUDs, the Tab S7 CROM and S20 CROM handset.

In order to maintain DISA’s current classified mobile device service environment and provide continuity of existing operations, the Government requires the continued use of the AO approved AT&T hotspots and DMCC EUDs, under the legacy BPA, HC101317A0001, until 10,000 DMCC users can be re-provisioned/migrated onto the follow-on BPA, which uses an AO approved, Netgear Nighthawk RD, Tab S7 CROM and S20 CROM next generation DMCC EUDs.

(4) Demonstration of limited source. Other GSA schedule holders cannot meet the requirement to support the DMCC offering. Only AT&T has the AO approved hotspot supporting the Tab S3 CROM and S7 CROM for DMCC use. The original BPA in 2017 and the follow-on BPA in 2021 were competed and both awarded to AT&T. In order to continue providing services to DMCC users, a bridge is required with AT&T until the DISA Mobility PMO can provision devices and users over to the follow-on AT&T BPA, HC108421A0001.

(5) Procurement discussion. The proposed acquisition is for continued use of the legacy BPA to ensure uninterrupted service with the existing AT&T hotspots and EOL

Page 4 of 6 Pages

DMCC EUDs, which are essential to meet the Government's needs. The DISA Mobility PMO cannot transition from the AT&T hotspots, EOL Tab S3 CROM and S7 CROM to the next generation devices, the AT&T Netgear Nighthawk, Tab S7 CROM and S20 CROM, within the existing performance period. A bridge is required for the continued use of the devices and services until the DISA Mobility PMO can transition to the next generation devices and services without impacting the user community.

(6) Impact. Without execution of the procurement requested with continued use under the AT&T legacy BPA, there will be service impact to thousands of DMCC customers as they will not have a mobile device to communicate securely to conduct their work and complete their mission. It will be detrimental in providing the required enterprise classified mobility offering as well as adversely impacting the mission partners' abilities to perform and fulfill their mission-critical functions, made more imperative in the current COVID-19 environment. These devices are critical to the remote capability of classified communication amongst users at the highest levels of the DoD and approved non-DOD, for global and strategic communication.

5. BEST VALUE DETERMINATION:

The GSA has already determined the prices of supplies and services to be fair and reasonable for the purpose of establishing the schedule contract. Prices were established on the GSA schedule and are considered fair and reasonable (FAR 8.404(d)). Additionally, the Contracting Officer will determine the prices offered are fair and reasonable before the bridge modification is issued.

The evaluation of the proposed prices for the bridge will be conducted using FAR 15.404-1 (b)(2)(ii), Comparison of the proposed prices to historical prices paid, FAR 15.404-1 (b)(2)(v), Comparison of proposed prices with independent Government cost estimates and FAR 15.401- 1(b)(2)(vi), Comparison of proposed prices with prices obtained through market research for the same or similar items.

6. MARKET RESEARCH:

(a) The DISA Mobility PMO conducted research from January 2021 through April 2021.

Information was gathered from a variety of sources to include data from previous acquisitions, reviewing current contracts, exchanges with knowledgeable individuals in the industry/Government (to include Original Equipment Manufacturers and authorized resellers), internet searches, reviewing catalogs and/or product literature, conducting internal discussions, reviewing existing DISA-wide contract vehicles and other Government-wide acquisition contracts and determining potential sources.

(b) Market research was first conducted to determine if another company’s products and services can meet the Government’s needs. Other wireless providers with hotspots and associated data plans were reviewed. In order to use another provider’s offering, the DMCC PMO would be required to re-provision the current 10,000 DMCC users to another hotspot and data plans and would not be contractually supported as AT&T is the awardee of the newly completed BPA, HC108421A0001.

(c) Based on current market research stated above, it was determined that only the aforementioned AT&T AO approved hotspots with the DMCC EUDs can fully support the Government’s need. A sole source modification will be issued to AT&T under their GSA contract, 47QTCA19D00MV, BPA HC101317A0001.

7. ANY OTHER SUPPORTING FACTS:

None.

8. ACTIONS THE AGENCY MAY TAKE TO REMOVE BARRIERS THAT LED TO THE

RESTRICTED CONSIDERATION:

(a) Procurement history.

Current BPA: HC101317A0001 Contractor: AT&T Business Size: Large Type of Acquisition: Fair Opportunity among GSA IT Schedule 70, SIN 132-53 – Wireless Services.

BPA Ordering Period: February 6, 2017 to August 5, 2021 Recent Modifications: Modification P00008 was issued to increase the ceiling to and supported via Justification for Other Than Full and Open Competition and approved by the Procuring Activity Competition Advocate on June 8, 2020.

Modification P00009 was an administrative action. Modification P00010 exercised FAR 52.217-8 for the period of February 6, 2021 to August 5, 2021.

(b) The follow-on BPA, HC108421A0001, was awarded on January 21, 2021. The following is a description of the procurement:

Contractor: AT&T Business Size: Large Type of Acquisition: Fair Opportunity among GSA IT MAS, Category 517312 – Wireless Mobility Solutions BPA Ordering Period: February 1, 2021 to January 31, 2025 Recent Modifications: Modification P00001 was issued for administrative changes to the price schedule.

(c) Due to COVID-19, the DISA PMO requires additional time to transition from the legacy BPA to the follow-on BPA to ensure continuous services for 10,000 DMCC users during the transition period. The Government will continue to conduct market research to determine if there are changes in the market place that would enable future competitive actions, i.e. there are similar products and/or product support in the marketplace that provides the same functionality, or it is economically feasible to procure a new system.
