About this file
This is a Justification and Approval (J&A) document for a sole-source, simplified commercial item procurement under FAR Part 13. The Department of the Army, Army Contracting Command - Redstone Arsenal (ACC-RSA) at Corpus Christi Army Depot (CCAD) seeks to award a $1.2 million Firm-Fixed Price Indefinite Delivery Indefinite Quantity (IDIQ) contract to Carl Zeiss Industrial Metrology, LLC (CAGE Code 9DRR4) for preventative maintenance, calibrations, parts, and on-site repair technician services for up to 25 Coordinated Measuring Machines (CMMs). The contract period extends three years from February 28, 2026, through February 27, 2029, consisting of a base year and two one-year ordering periods, to be fully funded through Army Working Capital Funds (AWCF).
The justification establishes sole-source authority under Title 41 U.S.C. 1901(e)(2) and FAR 13.501(a)(1)(ii) based on Carl Zeiss's exclusive ownership of proprietary software (TESO), service manuals, and technical engineering data required to maintain and calibrate the CMMs to DoD and aviation industry standards. Market research conducted from October through December 2025 identified no qualified alternative sources; an RFI posted on SAM.GOV from January 6-12, 2026, yielded one interested party (Tatitlek Business Services, Inc.) that failed to respond with a capability statement. The previous contract (W912NW-25-D-0001) with Carl Zeiss valued at $416,028 covered October 2024 through October 2027. The Contracting Officer approved the procurement as fair and reasonable based on price and independent government estimate analysis, certifying the requirement is necessary to prevent production downtime affecting multiple manufacturing and calibration operations at CCAD.

Authority Cited: Title 41 U.S.C. §1901(e)(2) as implemented in FAR 13.501(a)(1)(ii), sole source under the authority of the simplified procedures for certain commercial items.
Reason for Authority Cited:
Background: The CMMs were manufactured by Carl Zeiss Industrial Metrology LLC (Zeiss), the Original Equipment Manufacturer (OEM). Zeiss retains all proprietary information associated with the CMMs and does not utilize third party service providers.
The CMMs utilize a software known as TESO, which is utilized to optimize the C99 controller and the accuracy of the CMMs. Zeiss possess all proprietary data rights to TESO. Zeiss retains all rights and ability to utilize TESO for machine adjustments. All Zeiss machine service manuals are considered proprietary and only issued to authorized, trained Zeiss personnel.
The Zeiss CMM system comprises of hardware, software, and a measuring machine which takes measurements of 3D items down to the micrometer levels IAW DoD and current aviation industry standards and regulations. The Depot Maintenance Work Requirement (DMWR) requirement varies with each part; however, all parts reworked, repaired, or manufactured shall be measured for tolerance fit prior to final sell off. This measurement shall be associated with a calibrated CMM for traceability. This is a mandatory requirement for CCAD and is utilized daily.
Zeiss is the only source that has the technical knowledge and proprietary engineering data to provide the required services. Zeiss designed and manufactured the CMMs. To have another company attempt to provide maintenance and engineering support would not benefit the functionality of the CMMs . While there are companies that are qualified to provide maintenance services on some of the individual components that make up the machine, there are no qualified companies to provide services on the entire system. Zeiss is the only qualified source to perform all the required the services.
Impact if not approved: If not approved there would be a work stoppage which would affect the CMM machines used to support the multiple production lines and outside calibration efforts. The daily support for the required scheduled preventative maintenance/ calibration, on-site repair requirements for down equipment to include any needed parts replacement during scheduled maintenance/Calibration, and repair. It is critical that production down-time is minimized with these Zeiss Machines.
Efforts to Obtain Competition: To date, no other sources have written to express an interest. Notices required by FAR 5.201 shall be published. Any quotes or proposals received shall be considered.
Actions to Increase Competition: The Government will continue conducting research via the internet and industry representatives to determine if other vendors become available to provide the required services. CCAD continues to monitor the marketplace for future competition via the internet and industry representatives. These actions remain unchanged. See previous J&A included in PCF.
Market Research: Market research was conducted by the assigned Contracting Officer Representative (COR)/Industrial Specialist, XXXX, and XXX, the Contract Specialist from October 2025 through December 2025.
Mr. XXXX had discussions with XXXX, General Engineer, Corpus Christi Army Depot (CCAD), October 2025 through November 2025 regarding new CMM procurements and possible calibration solutions.
Mr. XXX had discussions XXXX, Aftermarket Client Specialist Carl Zeiss, November 2025 regarding proprietary data rights and warranty plan options.
Mr. XXXX had discussions with XXX, Field Technician, Carl Zeiss, November 2025 regarding capabilities/requirements of calibrations.
Mr. XXX had discussions with XXXX, Calibrations Work Lead, Army TMDE, November 2025 for other possible entities for calibration work.
Mr. XXXX reviewed e-mail discussion with XXXX customer and technical support manager, Carl Zeiss, on Zeiss proprietary data rights with XXXX in November 2025 and followed up on proprietary rights issue (still exists).
Mr. XXXX reviewed capabilities from Houston Precision (service@houstonprecision.com) with XXXX in November 2025. Discussed lack of proprietary rights and repair capabilities.
The Contract Specialist posted an RFI on SAM.GOV 06 January 2026 - 12 January 2026. Tatitlek Business Services, Inc sent an email showing interest in this requirement. However, when the contract specialist requested its Capability Statement, there was no response from this company.
Mr. XXXX conducted Electronic Facilities and Equipment Maintenance System (E-FEMS) database review for other contract data regarding calibration and repair support for CCADs fourteen (14) Coordinated Measuring Machines (CMM) on 03 November 2025. Numerous contracts for CMM calibration and repair discovered, all awarded to Carl Zeiss. The previous contract was W912NW-25-D-0001.
