About this file

This justification and approval document outlines a short-term sole-source contract awarded to Akima Technical Solutions to provide aircraft and equipment maintenance services for four UH-1N helicopters supporting pilot training at Fairchild Air Force Base through September 2020. The services include organizational and intermediate-level maintenance, support equipment maintenance, and engine maintenance. A sole-source award to the incumbent contractor was necessary to ensure uninterrupted services until a follow-on indefinite-delivery/indefinite-quantity contract is issued in May 2020, as the current contract expires at the end of March. Market research found no other capable sources. The contract was awarded on March 31st for approximately $1.1 million.

I. Contracting Activity.

338 SCONS/PKC, 2021 First Street West, JBSA-Randolph, TX 78150-4302

II. Nature and/or description of the action being processed.

This J&A is being submitted to gain approval to award a short-term, firm-fixed price (FFP) contract to Akima Technical Solutions, LLC (ATS) for aircraft and equipment maintenance services to support four (4) UH-1N helicopters assigned to the United States Air Force (USAF) Survival School at Fairchild AFB, WA. The pending contract will succeed contract FA3002-14-C-0005, which was competitively awarded to ATS with a base plus 5 option years for a Period of Performance (PoP) of 1 Mar 14 - 30 Sep 19. On 1 Oct 19, a modification was issued in accordance with (IAW) FAR Clause 52.217-8 - Option to Extend Services, to extend the PoP of the contract through 31 Mar 20. No further extensions are available for the current contract.

This short-term, sole-source contract will provide aircraft and equipment maintenance services to support four (4) UH-1N helicopters assigned to Fairchild AFB, WA until the AFICC/KG replacement contract is awarded on or about 1 May 2020. The follow-on contract will be a task order (TO) issued by Barksdale AFB against the Air Force Global Strike Command (AFGSC) multi-award Indefinite Delivery Indefinite Quantity (IDIQ) contract. The AFGSC TO was scheduled to begin performance on 1 Apr 20; however, the AFICC/KG contracting officer determined the AFGSC TO wouldn't be awarded until May 2020 at the earliest. After the AFGSC TO is issued, the incoming contractor will require at least 30 days to mobilize and reach full operating capability (around Jun 2020). It is the delay in awarding the new AFGSC contract that drives the requirement for continued operations at Fairchild AFB under sole-source contract operations. The pending sole-source contract is needed to provide continued aircraft and equipment maintenance support for the UH-1N helicopters for USAF pilot training mission. The PoP for this contract will consist of a 3-month base period and 3 1-month option periods (1 Apr 20 - 30 Sep 20). Given the criticality of this service and the risk of possible future contract delays, FAR clause 52.217-8 - Option to Extend Services will be included in the contract providing the capability of continued service for an additional 6 months should the need exist.

It is therefore imperative that the Government award a short-term contract to ensure continued support until the follow-on AFGSC TO is issued and the incoming Contractor has completed their mobilization process and is available to begin servicing UH-1N helicopters at full production capacity.

III. Description of supplies/services required to meet agency needs.

The Contractor shall provide aircraft and equipment maintenance functions for 4 UH-1N aircraft in support of the USAF Survival School at Fairchild AFB, WA. The Contractor shall support the Tacoma Command Post (TCP) at Cusick, WA; water rescue training in Tillamook, OR; desert rescue training in Vantage, WA; tropical training in Forks, WA; and critical support to the execution of the National Search and Rescue Plan (NSRP). In addition, the Contractor shall support the execution of the Air Education and Training Command (AETC) syllabi and provide critical aircraft and equipment maintenance services to support the evacuation of injured Department of Defense (DoD) personnel from remote training areas.

The Contractor is responsible for the entire scope of the 36 Rescue Squadron (RQS) UH-1N Organizational-level (O-level) aircraft maintenance production and limited Intermediate-level (I-Level) workload. The Contractor shall perform aircraft O-level and limited I-Level maintenance, support equipment maintenance, user maintenance, and engine maintenance required for UH-1N aircraft support as well as support for transient UH-1N aircraft and off-station recovery of assigned 36 RQS UH-1N aircraft.

IV. Statutory authority permitting other than full and open competition.

10 U.S.C. 2304(c)(1), as implemented by FAR Subpart 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

March 2018 SOURCE SELECTION SENSITIVE Page 3 of 4

V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).

The current Fairchild Helo Mx contract expires 31 Mar 20 with no further extensions available. The follow-on AFGSC TO is expected to be issued May 2020. However, the subsequent Contractor will not be available to perform full support of services for at least 30 days after contract award. ATS has performed this service and employs a tenured workforce of over 50 engine mechanics. A sole-source contract awarded to the current Contractor is the only viable way to ensure the continued aircraft and engine maintenance support without interruption of service for the AETC aircrew training needs.

ATS has been providing this service to AETC for the past six (6) years under contract FA3002-14-C-0005. ATS is intimately involved in the AETC UH-1N maintenance process and has a ready force of personnel with the required training and certifications already in place. Awarding a sole-source contract to the incumbent Contractor will allow the Government to utilize the established workforce to support the AETC requirements for the USAF Survival School at Fairchild AFB, WA without mission impact until the follow-on AFGSC TO is issued and the subsequent Contractor can begin service.

Awarding to any other source would result in the substantial loss of the current functionality and sustainment of these aircraft, as well as the time and performance required for continued sustainment the Fairchild UH-1N fleet health. It would require a minimum 30 days for a new Contractor to assess the training and certifications of current employees during the transfer from the current contractor and any new personnel would require time to familiarize themselves with the AETC processes. The employees would then need to catch up on the backlog created during the break in service (approximately 30 days worth of maintenance) as well as the workload from the time lost during the training process (approximately 2-3 weeks). At the same time, the new contractor's employees would need to sustain the new workload. The loss of 50+ days of service compounded by the current workload would require the contractor's employees to either work overtime daily or the Contractor would need to hire additional employees. Else, the AETC training mission would continue to suffer, causing mission failure. In the course of the transfer to a new Contractor, there would be no SERE support, and UH-1N pilot training and rescue missions at Fairchild will cease to exist. Due to the severity of the Fairchild UH-1N mission and the nature of this short-term contract, there is no recognized benefit to the Government in competition as it is likely that day-to-day operations will be adversely affected.

Accordingly, given the current time-line and short PoP of this sole-source effort, ATS is the only firm capable of providing the services described in Section III above without AETC experiencing unacceptable delays and performance gaps.

VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.

On 4 Feb 20, the Government released a synopsis for this requirement on the Government Point of Entry (System for Award Management (SAM)) website at www.beta.sam.gov) indicating the Government's intention to award a short-term, sole-source, FFP contract to ATS. The Government required all interested persons to identify to the Contracting Officer their intent and capabilities to satisfy the Government's requirement before 18 Feb 20. In response to this public notice, no affirmative responses were received indicating interest or capability to meet this requirement; however, the Government will consider any responses received prior to awarding the sole-source contract.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

The pending contract involves comprehensive Mx services on military aircrafts used for training and rescue missions. The majority of the work performed will be IAW the Performance Work Statement, Air Force Instruction, and Technical Orders. This type of Mx is not customarily provided to the general public or non-governmental entities for purposes other than Government. Based on this, the contract does not meet the definition of a commercial item under FAR Part 12. FAR Part 13 will be used to satisfy this requirement.

This acquisition does not meet the required threshold for Certified Cost or Pricing Data therefore costs will be determined fair and reasonable by comparing proposed costs to both current and historical contract pricing, as well as pricing for similar commercial labor categories and services.

VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.

As described in section VI, above, market research, in accordance with FAR Part 10, was conducted for the follow-on acquisition, which included like services as required for this effort. A synopsis of the Government's intent to issue a sole-source award was posted to the Government Point of Entry (SAM) website at www.beta.sam.gov advising industry of the pending action and soliciting inquiries from interested parties. No affirmative responses were received;

however, the Contracting Officer will consider any responses received prior to awarding a sole-source contract.

In addition to posting a synopsis on SAM, market research was conducted using current and historical workload data, and local base and technical order requirements. Market research on similar labor categories and labor rates was conducted using [wage determination] WD 15-5303 (Rev. 13) and the current Collective Bargaining Agreement which expires 30 Sep 20.

IX. Any other facts supporting the use of Other Than Full and Open Competition.

See Sections II and V above.

X. List of any sources that expressed, in writing, an interest in the acquisition.

See Section VI and VIII above.

XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.

All options for the current contract have been exercised. This sole-source contract is a temporary solution that will ensure the continuance of UH-1N maintenance until the follow-on AFGSC TO is issued and the incoming Contractor is available to begin performance. The follow-on AFGSC TO will be competitively solicited by AFGSC under the Global Strike Rotary Maintenance IDIQ with an anticipated date of May 2020.
