1. Contracting Activity, Naval Air Systems Command (NA VAIR) Headquarters

2. Description of the Action Being Approved.

This Class Justification and Approval (CJ&A) authorizes and approves the issuance of contract actions under a modification to contract NOOO 19-18-C-I 066 with Lockheed Corporation Owego (LMCO), NY for an E-2D Advanced Hawkeye (AHE) AN/ALQ-2 l 7 Electronic Support Measures (ESM) System Self-Protection Electronic Attack Processor consisting of two Digital Technique Generators (DIG) and associated signal generation hardware and software.

Additionally, modifications will he made to existing ESM receive antennas to improve performance within the Electronic Attack Processor. This CJ&A also authorizes and approves the issuance of a class of orders under LMCO Basis Ordering Agreement (BOA) NOOOl 9-19- 0029 for procuring the integration of the Electronic Attack Transmit Antenna with the E-2D AHE AN/ALQ-2[ 7 ESM Advanced Digital Receiver Processor (ADRP), Orders will be placed with LMCO on a sole source basis for procurement of supplies, services and data. Authority to award contract actions pursuant to this CJ&A expires 31 July 2024.

3. Description of Supplies/Services.

This CJ&A authorizes and approves the issuance of contract actions in support of ongoing E-2D AHE AN/ALQ-2!7 ESM ADRP including, but not limited to, the following:

LMCO will provide all labor and material, integrated logistics support, obsolescence management, and software support required for the development and qualification of the E-2D AHE AN/ALQ-217 ESM ADRP and receiver antenna upgrades, including any associated management, test, quality and configuration management efforts. LMCO will also provide all labor associated with the integration of a seff-protection antenna and associated software v.rith the ADRP. The total estimated dollar amount is $64.4M.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402(a), the Contracting Officer shall ensure that all supplies, data and services are procured at a fair and reasonable price. The Contractor will submit cost or pricing data in accordance with FAR 15.403-4. Analysis of proposals will be performed by technical analysts, engineers, NAV AIR 4.2 cost department, and contract specialists, with the assistance of Defense Contract Management Agency (DCMA) and Defense Contract Audit Agency (DCAA) auditors as applicable. The Contracting Officer will analyze various cost elements presented in the proposal, requests for information, and data from other programs for comparison. DCAA upon request will assist in evaluating the material and subcontract positions in addition to reviewing the Contractor's use of escalation. Program engineers will evaluate the proposed labor hours and provide a detailed report, which will be used to establish the Navy position. Rate recommendations provided by DCMA will be evaluated for incorporation in the Navy position. The Contracting Officer will utilize the cost and price analysis as the basis for negotiating fair and reasonable prices.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in paragraph 5 above, NA VAIR has no plans at this time to compete future contracts for the types of supplies and services covered by this document. If another potential source emerges, NA VAIR will assess whether competition for future requirements is feasible.
