2. Description of Action: This action is for the procurement of Systems Technical Support (STS) services for the Family of Heavy Tactical Vehicles (FHTV) systems, trailers, and associated kits. The Government proposes to award a new five-year sole-source requirements contract on a Cost-Plus-Fixed-Fee (CPFF) basis to Oshkosh Defense, LLC (Oshkosh) of Oshkosh, Wisconsin. Funding consists of: FY21-26 Other Procurement Army (OPA), FY21-FY26, Operation and Maintenance (OMA) and FY21-FY26 Research, Development, Testing and Evaluation (RDT&E). FOIA #4

FAR 6.302- 1 (a)(2)(ii). "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements" to Oshkosh.

(2) In 2009, PdM-HTV decided to move to a stand-alone STS-type-format contract in lieu of awarding more bridge engineering support hours on the FHTV production contract. Having a stand-alone STS contract would enable more accurate visibility and accountability via the issuance of Work Directives for each STS task. The ordering of engineering support hours on the W56HZV-07-C-0248 contract expired 30 September 2009. Prior to the ordering period's expiration, the Government awarded additional engineering support hours on the FHTV Ill (W56HZV-09-D-0024) contract to Oshkosh on a sole-source basis. These additional hours were to provide engineering coverage until the award of a new STS contract.

(3) The initial stand-alone FHTV STS contract (W56HZV-11-C-0014) to support FHTV Ill was awarded to Oshkosh on a sole source basis on 13 October 2010 for a base year and four option years. The sole source award was made using the statutory authority 10 USC 2304(c)(1) as implemented by FAR 6.302-1, "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements". The contract was awarded for 375,000 labor hours with an estimated value of-

(4) Contract W56HZV-16-D-0041, a five year Cost-Plus Fixed Fee (CPFF), Indefinite Delivery Indefinite Quantity (IDIQ) was awarded for 148,000 labor hours on June 23, 2016 to Oshkosh on a sole source basis using the statutory authority 10 USC 2304(c)(1) as implemented by FAR 6.302-1, "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements". The five year contract has a period of performance from 23 June 2016 through 22 June 2021 with a maximum contract value of- No further efforts to obtain competition for this procurement were made oriniepremise that the production of FHTV was nearing completion and there were no plans for future FHTV STS contracts.

13. Fair and Reasonable Cost Determination: The negotiated price will be determined fair and reasonable through a combination of cost analysis, which will thoroughly analyze each of the proposed individual cost elements, in addition to conducting a price analysis to ensure that the price agreement is consistent with the Independent Government Cost Estimate (IGCE) and/or historical pricing for similar items. ACC-DTA has a dedicated Pricing Division with trained Cost/Price Analysts and Industrial Specialists who will assist the Contracting Officer by performing the Cost and Price analysis. PdM HTV will also support this analysis with a technical review. The Contracting Officer will request that engineers or similar personnel familiar with the end item review labor types and quantities as well as material kinds and quantities to ensure that what is proposed is fair and reasonable. ACC-DTA will request Defense Contract Audit Agency (DCAA) and DCMA expertise and support for input as applicable. The ACC-DTA Cost/Price Analyst will use the recommendations from DCAA and DCMA Technical reports, and/or Program Office engineering technical report to develop a recommended negotiating position. The Government's recommended negotiation position will be detailed in the Business Clearance Review document, which will be reviewed and approved by ACC-DTA leadership prior to the start of negotiations. Certified Cost or Pricing Data will be required and will form the basis for this analysis. ACC-DTA will document the results of negotiations, and the detailed Price Fair and Reasonable determination from the Contracting Officer, in a Price Negotiation Memorandum (PNM) that ACC-DTA senior Contracting personnel within the Pricing Division will review and concur upon.

I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable based on cost analysis and negotiations. Certified cost or pricing data will be required in accordance with FAR 15.403.
