Background

1. Policy. (7 CFR Part 3550.251 (a)) Rural Housing Service (RHS) manages custodial property and Real Estate Owned (REO) property to protect the Government’s interest, and may dispose of REO property through direct sales, sealed bid, or auction. RHS follows affirmative fair housing marketing policies.

2. REO Property. (7 CFR Part 3550.251 (c))

a. Assignments. REO property will be assigned to the exclusive broker, by the Government, using the RD Form 1955-43, Notice of Real Property for Sale. If the property has not been assigned using the RD 1955-43, then the broker is not authorized to sell it.

b. Classification. When RHS takes title to a security property, it is classified as either program or non-program (NP) property. A REO property that is eligible for financing under the Section 502 program, or which could reasonably be repaired to be eligible, is classified as program property. An REO property that cannot reasonably be repaired to be eligible and properties that have been improved to a point that they no longer qualify as “modest” are classified as NP property.

c. Disclosing decent, safe and sanitary defects. When RHS determines that an REO property to be sold is not decent, safe and sanitary, or does not meet cost effective energy conservation standards, it will disclose the reasons why. The deed by which such an REO property is conveyed will contain a covenant restricting it from residential use until it is decent, safe and sanitary and meets the RHS cost-effective energy conservation standards. RHS will also notify any potential purchaser of any known lead-based paint hazards.

d. Property on Indian tribal allotted or trust land. REO property, which is located on Indian tribal allotted or trust land, will be sold or otherwise disposed of only to a member of the particular tribe having jurisdiction over the allotted or tribal land, to the tribe, or to an Indian housing authority serving the tribe on a first-come, first-served basis.

Other Requirements:

1. Advertising. Broker will advertise RHS properties in the same manner that their non-RHS properties are advertised, including, but not limited to, yard sign, print media and MLS listings. All advertising must meet equal housing opportunity requirements (including the equal opportunity housing statement and logo, and must state any occupancy or environmental restrictions. Sample ads are available upon request. In the event that a Broker has five (5) or more RHS properties listed at one time, an Affirmative Fair Housing Marketing Plan (form HUD-935.2) must be prepared by the Broker and submitted to the Contracting Officer for review and approval.

2. Sales Schedules and Administrative Price Reductions. The sale of REO program property is restricted for Direct or Guaranteed SFH loans when a property is first offered for sale and any time an administrative price reduction is taken. The schedule of price reductions is shown below for both program and non-program properties. The sales price is fixed when a sales contract is executed and does not decrease further based upon scheduled price reductions.

3. Listing After Exclusive Period: In accordance with 7 CFR Part 3550, Rural Development reserves the right to withdraw any property assigned to the Broker, for purposes of selling under sealed bid procedures or auction, after the exclusive period has expired (see sales schedule above).

4. Receiving and Considering Offers: Offers must be date stamped when received. When a property is first offered for sale, all offers received during the first 4 business days after the effective date will be considered as if they were received on the same day. Any offer on a program property from other than a program applicant during the 60 day reservation period will be held and considered received on the 61st day and after.

For non-program properties and for program properties after the 60-day reservation period, offers received on the same day are considered in the following order:

a. An offer from an eligible Direct or Guaranteed SFH loan-applicant with a request for credit on program terms. All offers are evaluated as if they were submitted at the listed price, regardless of the offering price.

b. An offer from a nonprofit or public body for use as transitional housing, multifamily housing or affordable housing under Section 510 (e) of the Housing Act of 1949.

c. A cash offer, from the highest to the lowest.

d. An offer to purchase with non-program credit, from the highest to the lowest. An offer with a request for credit in excess of the market value of the property is not acceptable. If an excessive amount of credit is requested, the offeror will be given the opportunity to reduce the credit request to an amount equivalent to or lower than the market value less any required down payment. However, no change is made in the offered price.

Within categories a. and b. above, offers received on the same day will be selected for consideration by lot. Within Categories c. and d., offers received on the same day will be selected in order of which offer will provide the Agency with the best net price. If the offers provide the same net price, they will be selected for consideration by lot. When a lot is held, names will be placed in a receptacle, drawn, and numbered sequentially. Offers drawn after the first are held as back-up and the offeror so notified.

5. Offer Submission Requirements: An offer to buy must be submitted on Form 1955-45, Standard Sales Contract, Sale of Real Property by the United States. Offers received on any other form must be returned to the offeror. Any offer that is made contingent upon Agency credit should be accompanied by a completed Form RD 410-4, Application for Rural Housing Assistance (Nonfarm Tract) Uniform Residential Loan Application.

6. Earnest Money: The notice of sale must specify any earnest money requirements. An earnest money deposit in an amount that is customary for the market is required when the sales contract is signed. Earnest money is held by the Broker and is applied to the purchaser’s closing costs.

7. Cancellation of Sales Contracts: If an offer contingent upon obtaining Agency financing on program terms is selected and the credit request is subsequently rejected, the next offer is considered. Property is not held off the market pending the outcome of an appeal. If there are no back-up offers, the notice of sale is revised to indicate the new status of the property. When a sales contract is canceled due to offeror default, any earnest money collected is forwarded to the local USDA office where it will in turn be forwarded to the CSC for application to the General Fund.

8.Commission Schedule and Payment: The commission will be due and payable at the time a sale transaction is closed and title has passed to the purchaser. Commissions will be paid at closing where sufficient down payment is made by the purchaser; otherwise, commissions will be paid through the National Finance Center in accordance with the Prompt Payment Act. If being paid through NFC, the Broker must submit in invoice for payment to the Contracting Officer for payment processing. The following will be required to be submitted with the invoice.
Copy of Closing Settlement Statement
Copy of Form 1955-43

Broker will be responsible for division of commissions with cooperating brokers using industry standards.

The Broker must notify USDA whenever they, or one of their salespersons, or a member of the Broker’s or salesperson’s household, or a legal entity in which the Broker or salesperson has an interest, buys REO property.

If Agency credit is required, no commission will be paid to the Exclusive Broker who purchases REO property, and only half of the commission will be paid to cooperating brokers who purchase REO property.

9. Maintenance, Repair or Security Problems: The Broker will notify the Contracting Officer Representative (COR) as soon as possible after identifying any maintenance, repair or security problems at any RHS property.

10. Bilingual Services: The Broker will have Spanish speaking personnel available to accommodate potential buyers who are fluent in Spanish.

11. Assignment/Selling of Broker Company: Sixty (60) days prior to selling or assignment of the Broker company to another company/person during the contract period, the Broker shall provide written notification of assignment to the Contracting Officer, who will, upon receipt of the notification, provide approval or disapproval for continuation of services under the contract to the new contractor.

12. Documentation of Discount Commissions.

It is recognized by the contracting officer that the prevailing real estate commission rate for routine marketplace transactions in the area encompassed by the solicitation is 6 percent. If you propose a commission rate that is less than the prevailing rate, to aid in evaluation of its reasonableness to potential success in selling the RD inventory in the competing commercial marketplace, please provide in your write-up what commission rate will be paid to the selling agent and provide the following information on other properties successfully sold at the lower rate:

LIST OF DISCOUNTED SALES COMMISSIONS

Date of Sale
Number of Days on Market
Amount of Commission Received
Client and Phone Number (incl. Area Code)
Selling Agent Name and Phone Number (incl. Area Code)

Instructions for completing: Please provide the information indicated as follows:

The date of sale must be within the year prior to the issuance date of this request for proposal. The sale must have been within the geographical area covered by the request for proposal.

The “commission received” must be the total combined percentage commission received by both the listing and the selling agents.

The commission cited can only be for the sale of a single-family detached dwelling and can only be equal to or less than the rate proposed in your offer under this request for proposal.

Please list at least three properties sold at the discounted rate.

13. Evaluation Factors for Award.

The contract resulting from this solicitation will be awarded to that responsible offeror whose offer/proposal, conforming to the solicitation, is determined most advantageous to the Government, price and other factors considered. Proposals shall be judged on a competitive basis and the proposal offering the greatest value to the Government will be considered for award.

(t) System for Award Management (SAM).

1) Unless exempted by an addendum to this contract, the Contractor is responsible during performance and through final payment of any contract for the accuracy and completeness of the data within the SAM database, and for any liability resulting from the Government‟s reliance on inaccurate or incomplete data. To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(2)

(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day‟s written notification of its intention to:

(A) Change the name in the SAM database;

(B) Comply with the requirements of Subpart 42.12 of the FAR;

(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name.

(ii) If the Contractor fails to comply with the requirements of paragraph (t)(2)(i) of this clause, or fails to perform the agreement at paragraph (t)(2)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the SAM information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the electronic funds transfer (EFT) clause of this contract.

(3) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the SAM record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the SAM database. Information provided to the Contractor‟s SAM record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the “Suspension of payment” paragraph of the EFT clause of this contract.

(4) Offerors and Contractors may obtain information on registration and annual confirmation requirements via SAM accessed through https://www.sam.gov.

(End of Clause) Alternate I (Aug 2012) When a time-and-materials or labor-hour contract is contemplated, substitute the following paragraphs (a), (e), (i), (l), and (m) for those in the basic clause.

(a) Inspection/Acceptance.

(1) The Government has the right to inspect and test all materials furnished and services performed under this contract, to the extent practicable at all places and times, including the period of performance, and in any event before acceptance. The Government may also inspect the plant or plants of the Contractor or any subcontractor engaged in contract performance. The Government will perform inspections and tests in a manner that will not unduly delay the work.

(2) If the Government performs inspection or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish and shall require subcontractors to furnish all reasonable facilities and assistance for the safe and convenient performance of these duties.

(3) Unless otherwise specified in the contract, the Government will accept or reject services and materials at the place of delivery as promptly as practicable after delivery, and they will be presumed accepted 60 days after the date of delivery, unless accepted earlier.

(4) At any time during contract performance, but not later than 6 months (or such other time as may be specified in the contract) after acceptance of the services or materials last delivered under this contract, the Government may require the Contractor to replace or correct services or materials that at time of delivery failed to meet contract requirements. Except as otherwise specified in paragraph (a)(6) of this clause, the cost of replacement or correction shall be determined under paragraph (i) of this clause, but the “hourly rate” for labor hours incurred in the replacement or correction shall be reduced to exclude that portion of the rate attributable to profit. Unless otherwise specified below, the portion of the “hourly rate” attributable to profit shall be 10 percent. The Contractor shall not tender for acceptance materials and services required to be replaced or corrected without disclosing the former requirement for replacement or correction, and, when required, shall disclose the corrective action taken.

(5)

(i) If the Contractor fails to proceed with reasonable promptness to perform required replacement or correction, and if the replacement or correction can be performed within the ceiling price (or the ceiling price as increased by the Government), the Government may—

(A) By contract or otherwise, perform the replacement or correction, charge to the Contractor any increased cost, or deduct such increased cost from any amounts paid or due under this contract; or

(B) Terminate this contract for cause.

(ii) Failure to agree to the amount of increased cost to be charged to the Contractor shall be a dispute under the Disputes clause of the contract.

(6) Notwithstanding paragraphs (a)(4) and (5) above, the Government may at any time require the Contractor to remedy by correction or replacement, without cost to the Government, any failure by the Contractor to comply with the requirements of this contract, if the failure is due to--

(i) Fraud, lack of good faith, or willful misconduct on the part of the Contractor‟s managerial personnel; or

(ii) The conduct of one or more of the Contractor‟s employees selected or retained by the Contractor after any of the Contractor‟s managerial personnel has reasonable grounds to believe that the employee is habitually careless or unqualified.

(7) This clause applies in the same manner and to the same extent to corrected or replacement materials or services as to materials and services originally delivered under this contract.

(8) The Contractor has no obligation or liability under this contract to correct or replace materials and services that at time of delivery do not meet contract requirements, except as provided in this clause or as may be otherwise specified in the contract.

(9) Unless otherwise specified in the contract, the Contractor‟s obligation to correct or replace Government-furnished property shall be governed by the clause pertaining to Government property.

Labor hours incurred to perform tasks for which labor qualifications were specified in the contract will not be paid to the extent the work is performed by individuals that do not meet the qualifications specified in the contract, unless specifically authorized by the Contracting Officer.

If at any time the Contractor has reason to believe that the hourly rate payments and material costs that will accrue in performing this contract in the next succeeding 30 days, if added to all other payments and costs previously accrued, will exceed 85 percent of the ceiling price in the Schedule, the Contractor shall notify the Contracting Officer giving a revised estimate of the total price to the Government for performing this contract with supporting reasons and documentation. If at any time during the performance of this contract, the Contractor has reason to believe that the total price to the Government for performing this contract will be substantially greater or less than the then stated ceiling price, the Contractor shall so notify the Contracting Officer, giving a revised estimate of the total price for performing this contract, with supporting reasons and documentation.
