H001 ON-RAMP (DATE)

a. The Government will establish an initial awardee pool by competitively awarding multiple-award Indefinite Delivery Indefinite Quantity (IDIQ) contracts. Initial awardees of the United States European Command (USEUCOM) Area of Responsibility (AOR) IBDSS contract will be awarded contracts with a base ordering period of three (3) years, plus one optional ordering period of 4 years (if exercised). The overall ceiling price of the contract shall be $91M.

b. The Contractor acknowledges that On-Ramping is authorized under this contract. The Government reserves the right to utilize the On-Ramping procedures described below at any time during the ordering period, including options. The award of new IDIQ contracts shall not extend beyond the overall ordering period of the contract, and shall not increase the overall ceiling of the contract.

c. On-Ramp Eligibility: USEUCOM IBDSS IDIQ contract awardees shall not compete for On-Ramping. Offerors who were not selected during the initial award of the IDIQ contract are eligible to compete for On-Ramping. Contractors who did not compete for the initial award of the IDIQ contract are eligible to compete for On-Ramping. Contractors who were Off-Ramped in accordance with H002 Off-Ramp are ineligible to receive a contract via On-Ramping.

d. On-Ramping Procedures: If the Government determines that it is in its best interest to add additional contractors to the awardee pool, the following shall apply:

1. A notice shall be published in accordance with FAR Part 5, Publicizing Contract Actions

2. The solicitation shall:

a. Identify the total approximate number of new awards that the Government intends to make. The Government may decide to award more or fewer contracts than the number anticipated in the solicitation.

b. Include terms and conditions that are materially identical to the existing version of the IDIQ contract(s). Solicitation provisions and clauses may be updated to the current version, if necessary. If the solicitation includes updated provisions and clauses, the terms in paragraph e below shall be followed.

c. Comply with current Federal procurement law (i.e. “all current laws, regulations, and policies).

3. The award decision shall be based on substantially the same evaluation factors/sub-factors, and the evaluation methodology as the original solicitation.

4. The highest rated Offeror(s) may receive awards; their ratings will not be compared to the ratings of the original awardees.

5. Immediately upon award, the On-Ramped Contractor is eligible to submit a proposal in response to any task order solicitation and receive task order awards with the same rights and obligations as any other Contractor.

e. To the maximum extent practicable, the Government agrees to maintain materially identical terms and conditions for all awardees. If the On-Ramp solicitation included updated clauses, the Government agrees to issue a modification updating the clauses within the existing contract(s) to the current version. Only Task Orders awarded after the date of the modification shall comply with the updated clauses.

H002 OFF-RAMP (DATE)

a. The Contractor acknowledges that Off-Ramping is authorized under this contract. The Government, in its sole discretion, reserves the unilateral right to Off-Ramp a contractor for reasons including, but not limited to:

1. The Contractor receives three (3) or more Contract Action Reports (CARs) within a two (2) year period. The CARs may have been received on one (1), or multiple Task Orders.

2. The Contractor fails to submit at least one (1) responsive proposal within a two (2) year period.

b. If the Government exercises its right to unilaterally Off-Ramp a Contractor, the Contracting Officer will notify the Contractor of its decision in writing. The Off-Ramp notice will at a minimum:

1. Notify the Contractor of the method in which Off-Ramping will occur. The Contracting Officer may utilize the following methods:

a. Termination as defined in FAR Part 49

b. The Government may elect not to exercise the five (5) year option to extend the ordering period. This method does not preclude the Government from exercising the option for other awardees.

2. Provide rationale in support of the Government’s decision to Off-Ramp.

3. Provide the Contractor with instructions for completion of active Task Orders.
